Uraian Informasi atau Fakta Material A. Pada tanggal 8 September 2025 telah dilaksanakan
Rapat Umum Pemegang Saham Tahunan (RUPST) dan
Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) PSI
secara sirkuler.
Berdasarkan RUPST, pemegang saham menyetujui
pembagian dividen sejumlah Rp434.085.000.000, yang
berasal dari saldo laba sebagai dividen final yang akan
dibagikan secara proposional kepada seluruh pemegang
saham PSI.
Berdasarkan RUPSLB, pemegang saham menyetujui
sejumlah Rp297.999.352.500, yang merupakan dividen untuk
Perseroan dan Logicalis Singapore Pte. Ltd. akan
dikonversikan menjadi saham. Dengan demikian, Perseroan
akan memperoleh Dividen Saham sebanyak 304.586 lembar
saham PSI atau senilai dengan Rp88.987.425.000, sehingga
kepemilikan saham Perseroan pada PSI yang sebelumnya
sebesar 20,5% meningkat menjadi 27,7%.
Sisanya akan dibagikan sebagai dividen tunai kepada
pemegang saham individu.
B. Selain itu, pada tanggal 8 September 2025 telah
dilaksanakan penandatanganan Call Option Agreement
Pemegang saham PSI, dimana Perseroan menyetujui untuk
menerima Hak Eksklusif atas Opsi beli dan pengalihan saham
dari beberapa pemegang saham individu PSI dengan periode
Opsi selama 2 tahun sejak tanggal Surat Keputusan Menteri
Hukum terhadap Akta konversi dividen saham PSI.

Perusahaan Publik A. Sesuai dengan hasil RUPSLB PSI, susunan
kepemilikan saham PSI menjadi sebagai berikut :
1. PT Metrodata Electronics Tbk dengan kepemilikan
saham 367.316 lembar saham, dan persentase kepemilikan
27,7% yang sebelumnya 20,5%;
2. Logicalis Singapore Lte. Ltd. dengan kepemilikan
saham 879.115 lembar saham, dan persentase kepemilikan
66,3% yang sebelumnya 53,5%;
3. Handy Surya Wirawan, Lukas Dharmawan Wibowo,
Wirjanto Yuwono, dan Widjatmoko dengan kepemilikan
masing-masing 19.890 lembar saham, dan persentase
kepemilikan masing-masing 1,5%, yang sebelumnya 6,5%.
Berikut adalah jumlah kepemilikan Saham Perseroan pada
PSI sebelum dan setelah dividen saham:
Jumlah lembar saham sebelum RUPSLB 62.730 lembar
saham dengan % kepemilikan 20,5%
Jumlah lembar saham setelah RUPSLB 367.316 lembar
saham dengan % kepemilikan 27,7%
B. Tidak terdapat dampak hukum yang timbul pada
Perseroan dari kesepakatan Call Option Agreement.
Dampak kondisi Keuangan :
Terkait dengan Dividen Saham yang diterima Perseroan,
maka pembukuan pengakuan laba atas entitas asosiasi PSI ini
meningkat menjadi 27,7%, efektif 1 September 2025, yang
sebelumnya 20,5%.

Type of Material Information or Facts
Description of Material Information or A. On September 8, 2025, it was held an Annual
Facts General Meeting of Shareholders (AGMS) and Extraordinary
General Meeting of Shareholders (EGMS) of PSI circularly.
Based on the AGMS, shareholders approved the distribution of
dividends amounting to Rp.434,085,000,000, which comes
from retained earnings as a final dividend which will be
distributed proportionally to all PSI shareholders.
Based on the EGMS, the shareholders approved the amount
of Rp.297,999,352,500, which is a dividend for the Company
and Logicalis Singapore Pte. Ltd. will be converted into shares.
Thus, the Company will receive a Stock Dividend of 304,586
shares of PSI or equivalent to Rp.88,987,425,000, so that the
Company's share ownership in PSI which was previously
20.5% increased to 27.7%.
The rest of them will be distributed as cash dividend to
individual shareholder.
B. In addition, on September 8, 2025, PSI Shareholders
have signed the Call Option Agreement, where the Company
has agreed to receive the Exclusive Rights for Call Option and
transfer share from several individual PSI shareholders with
the Option period for 2 years since the date of the Decree of
Minister of Law regarding the Deed of PSI stock dividend
conversion.

B. In accordance with results of the PSI EGMS, PSI
shares ownership composition become as follows:
1. PT Metrodata Electronics Tbk with shares ownership
of 367,316 shares, and percentages ownership of 27.7%
which was previously 20.5%;
2. Logicalis Singapore Lte. Ltd. with shares ownership
879,115 shares, and percentages ownership of 66.3% which
was previously 53.5%;
3. Handy Surya Wirawan, Lukas Dharmawan Wibowo,
Wirjanto Yuwono , and Widjatmoko with shares ownership of
19,890 shares, and percentages ownership of 1.5% each,
which was previously 6.5%.
Following is amount of Company's share ownership in PSI
before and after dividend share :

ownership 20,5%
Number of share after EGMS 367.316 shares with %
ownership 27,7%
B. There is no legal impact arising to the Company from
the signing of Call Option Agreement.
Financial Condition Impact:
In relation to the Stock Dividends received by the Company,
the profit recognition for PSI's associated entities has
increased to 27.7%, effective September 1, 2025, from the
previous 20.5%.
Business Continuity Impact:
None
