7 Agustus 2025 yang diterbitkan oleh Perseroan, Bel S.A.
(“Bel”) dan Perseroan selaku pengendali eksisting dari PT
Mulia Boga Raya Tbk. (“MBR”) telah menandatangani
Framework Agreement tertanggal 6 Agustus 2025
(“Perjanjian”). Berdasarkan ketentuan dalam Perjanjian dan
tunduk pada dipenuhinya persyaratan tertentu dalam
Perjanjian, Bel akan memperoleh hak-hak pengelolaan
tertentu atas MBR yang pada akhirnya akan memungkinkan
Bel, bersama-sama dengan Perseroan, untuk menentukan
kebijakan keuangan dan operasional MBR dan dengan
demikian menjadi pengendali tambahan MBR sebagaimana
dimaksud dalam Peraturan Otoritas Jasa Keuangan No.
9/POJK.04/2018 Tahun 2018 tentang Pengambilalihan
Perusahaan Terbuka dan sesuai dengan ketentuan dalam
Perjanjian.

Dengan ini kami sampaikan bahwa seluruh persyaratan
tertentu sebagaimana tersebut di atas telah dipenuhi
sehingga Perjanjian telah berlaku efektif pada tanggal 8
September 2025 (“Tanggal Efektif”). Dengan demikian,
terhitung sejak Tanggal Efektif, Perseroan (sebagai pihak
yang telah menjadi pengendali MBR sebelum Tanggal Efektif)
bersama-sama dengan Bel menjadi pengendali bersama
MBR. Untuk menghindari keraguan, Perseroan tetap menjadi
pengendali MBR dan memiliki hak penuh untuk melakukan
konsolidasi laporan keuangan MBR di laporan keuangan
Perseroan.

As announced in the Report on Information or Material Facts
No. 015/KI/LGL/VI!1/2025 dated August 7, 2025, published by
the Company, Bel S.A. (“Bel”) and the Company as the existing
controller of PT Mulia Boga Raya Tbk. (“MBR”) have signed a
Framework Agreement dated August 6, 2025 (“Agreement”).
Pursuant to the provisions of the Agreement and subject to the
Julfillment of specific conditions set forth in the Agreement, Bel
will obtain certain management rights over MBR which will
ultimately enable Bel, together with the Company, to
determine the financial and operational policies of MBR and
thus become an additional controller of MBR as referred to in
Financial Services Authority Regulation No. 9/POJK.04/2018
Of 2018 concerning Takeovers of Public Companies and in
accordance with the provisions of the Agreement.

We hereby inform that all specific conditions as referred to
above have now been fulfilled on September 8, 2025 (“Effective
Date”). Therefore, as of the Effective Date, the Company (as the
party who have become the controller of MBR prior to the
Effective Date) together with Bel are the joint controller of

pursuant to OJK Regulation No. 17/POJK.04/2020 concerning
Material Transactions and Change of Business Activities.
