3. Uraian Informasi atau Fakta Tujuan Transaksi
   Material                    Dengan tujuan peremajaan armada milik Perseroan dan
                               meningkatkan efisiensi operasional serta memperkuat struktur
   Detail of Information or keuangan Perseroan, pada tanggal 3 September 2025,
   Material Facts              Perseroan telah menandatangani Akta Jual Beli Kapal untuk
                               penjualan aset milik Perseroan yaitu 1 (satu) unit kapal tug boat
                               yang bernama TB. Jeneponto 01.

                                   Purpose of Transaction
                                   The purpose of rejuvenating the Company’s fleet, is to improve
                                   operational efficiency, and strengthening the Company’s
                                   financial structure, on 3 September 2025, the Company
                                   executed a deed of sale and purchase for the sale of its asset,
                                   namely 1 (one) unit tugboat named TB. Jeneponto 01.

                                   Jenis Aset
                                   Jenis aset yang dijual oleh BSML adalah 1(satu) unit kapal
                                   tugboat bernama TB. Jeneponto 01.

                                   Type of Assets
                                   Type of asset being sold by BSML is 1 (one) unit of tugboat
                                   named TB. Jeneponto 01.

                                   Nilai Transaksi
                                   1 Unit kapal tongkang bernama TB. Jeneponto 01 dijual dengan
                                   harga Rp 11.000.000.000 (sebelas miliar rupiah).

                                   Transaction Value
                                   1 (one) unit of tugboat named TB. Jeneponto 01 is sold IDR
                                   11.000.000.000 (eleven billion Rupiah).

                                   Pihak-pihak yang bertransaksi
                                   Penjual adalah BSML dan pembeli adalah PT Humpuss
                                   Transportasi Curah, suatu Perseroan Terbatas yang didirikan
                                   berdasarkan ketentuan hukum yang berlaku di Negara Republik
                                   Indonesia yang berkedudukan di Jakarta.

                                   Pihak yang bertransaksi (Pembeli) merupakan pihak ketiga dan
                                   bukan merupakan Pihak yang memiliki hubungan afiliasi
                                   dengan bukan Perseroan.

                                     The seller is BSML and the buyer is PT Humpuss Transportasi
                                     Curah, a limited liability company established under the laws of
                                     the Republic Indonesia domiciled in Jakarta.

                                     The counterparty (Buyer) is a third party and is not an affiliated
                                     party of the Company.
4.   Dampak kejadian, informasi      Kegiatan Operasional
     atau fakta material tersebut    Penjualan Kapal ini bertujuan untuk peremajaan Kapal kapal
     terhadap kegiatan               milik Perseroan dan efisiensi operasi. Dengan penjualan dan

                                     Kondisi Keuangan
                                     Dana hasil penjualan kapal digunakan Perseroan untuk
                                     menurunkan kewajiban kepada kreditur. Penjualan kapal
                                     tersebut menurunkan beban keuangan perseroan dan tidak
                                     memberikan dampak signifikan terhadap kemampuan
                                     perseroan dalam menghasilkan pendapatan atau kondisi
                                     keuangan lain selain hal tersebut diatas.

                                     Financial Condition
                                     The proceeds from the vessel sale will be used by the Company
                                     to reduce its obligations to creditors. This vessel sale reduces the
                                     Company’s financial burden and does not have a significant
                                     impact on the Company’s ability to generate revenue or on
                                     other financial conditions apart from the aforementioned.

                                     Transaksi berlangsung dalam wilayah hukum Indonesia dan
                                     Kelangsungan Usaha Perseroan masih tetap terjaga dan
                                     terjamin dengan baik.

                                     Sampai dengan tanggal keterbukaan informasi ini, tidak ada
                                     dampak kejadian, informasi dan fakta material lain selain yang
                                     disebutkan diatas.
