Penandatanganan Akta Jual Beli Saham sehubungan
dengan penjualan saham PT BRI Manajemen Investasi
(“BRI MI") oleh Perseroan kepada PT Danantara Asset
Management ("DAM"). /

relation to the sale of shares in PT BRI Manajemen
Investasi (“BRI MI”) by the Company to PT Danantara
Asset Management ("DAM ").

Pada tanggal 22 Juli 2026, DAM dan Perseroan telah
menandatangani Akta Jual Beli Saham No. 265 tanggal
22 Juli 2026, yang dibuat di hadapan Jose Dima Satria,
S.H., M.Kn. ("Akta Jual Beli Saham"), dalam rangka
pembelian oleh DAM atas 10.500.000 (sepuluh juta
lima ratus ribu) lembar saham BRI MI yang dimiliki oleh
Perseroan. Jumlah saham tersebut setara dengan 35Y6
(tiga puluh lima persen) dari seluruh modal ditempatkan
dan disetor yang dikeluarkan oleh BRI MI. Total nilai
transaksi adalah sebesar Rp420.000.000.000 (empat
ratus dua puluh miliar Rupiah).

Penandatanganan Akta Jual Beli Saham tersebut
dilakukan sebagai pelaksanaan penyelesaian transaksi
penjualan saham sebagaimana diatur dalam Perjanjian
Jual Beli Bersyarat tertanggal 1 April 2026 antara

Perseroan sebagai penjual dan DAM sebagai pembeli.

Dengan ditandatanganinya Akta Jual Beli Saham
tersebut, kepemilikan atas 10.500.000 saham BRI MI
atau setara dengan 3596 saham BRI MI yang
sebelumnya dimiliki oleh Perseroan telah beralih
seluruhnya kepada DAM. /

On July 22, 2026 , DAM and the Company entered into
Deed of Sale and Purchase of Shares No. 265 dated July
22, 2026, drawn up before Jose Dima Satria, S.H.,
M.Kn. (the “Deed of Sale and Purchase of Shares”), in
relation to DAM's purchase of 10,500,000 (ten million
Five hundred thousand) Shares in BRI MI owned by the
Company. Such number of shares is eguivalent to 3596
(thirty-five percent) of the total issued and paid-up

capital of BRI MI. The total transaction value is
Rp420,000,000,000 (four hundred twenty billion
Rupiah).

The execution of the Deed of Sale and Purchase of
Shares was carried out in implementation of the
completion of the share sale transaction as
contemplated under the Conditional Sale and Purchase
Agreement dated 1 April 2026 between the Company
as seller and DAM as purchaser.

Upon the execution of the Deed of Sale and Purchase
of Shares, ownership of 10,500,000 shares in BRI MI,
representing 3596 of the Shares in BRI MI, which were
previously owned by the Company, has been fully
transferred to DAM.

Dengan telah ditandatanganinya Akta Jual Beli Saham
antara Perseroan dengan DAM sebagai pelaksanaan
penyelesaian transaksi penjualan saham, maka seluruh
saham yang dimiliki Perseroan dalam BRI MI telah
beralih kepada DAM. Sehubungan dengan hal tersebut,
Perseroan tidak lagi memiliki kepemilikan saham pada
BRI MI, sehingga BRI MI tidak lagi menjadi Entitas
Asosiasi Perseroan. /

Following the execution of the Deed of Sale and
Purchase of Shares between the Company and DAM,
which completed the share sale transaction, the
Company's entire shareholding in BRI MI have been
transferred to DAM. Accordingly, the Company no
longer holds any shares in BRI MI, and BRI MI is no
longer an associate entity of the Company.

Other Information.

Laporan ini disampaikan untuk memenuhi ketentuan
Pasal 6 Peraturan OJK No. 31/2015 sehubungan dengan
informasi atau fakta material berupa penandatanganan
Akta Jual Beli Saham antara DAM dan Perseroan pada
tanggal 22 Juli 2026 terkait pengalihan 10.500.000
saham BRI MI milik Perseroan. /

This report is submitted to comply with Article 6 of OJK
Regulation No. 31/2015 in relation to material
information or facts in the form of the execution of the
Deed of Sale and Purchase of Shares between DAM and
the Company on July 22, 2026 in connection with the
transfer of 10,500,000 shares in BRI MI owned by the
Company.
