Hereby, we, for and on behalf of the Company, submit the Report on Information or Material Facts of PT Nusantara
Infrastructure Tbk (the “Company”) in order to comply with (i) the Financial Services Authority Regulation

3. Uraian Informasi atau Fakta Material Dalam rangka mendukung perkembangan usaha Perseroan
Description of Information or Material maka Perseroan melalui Entitas Anak (sebagaimana didefinisikan
Facts. di bawah) telah mendirikan entitas anak dengan nama PT Hikari
Infra Indonesia (“HII”). Akta Pendirian HII sebagaimana termaktub
dalam Akta Notaris Emmyra Fauzia Kariana, S.H., M.Kn., Nomor
2 tanggal 2 September 2025 yang telah disetujui dan disahkan
oleh Menteri Hukum Republik Indonesia pada tanggal
3 September 2025 sesuai Keputusan Menteri Hukum Republik
Indonesia Nomor AHU-0075331.AH.01.01.TAHUN 2025 perihal
Pengesahan Pendirian Badan Hukum Perseroan Terbatas
PT Hikari Infra Indonesia tanggal 3 September 2025. Adapun
pada pelaksanaannya Perseroan melalui Entitas Anak
(sebagaimana didefinisikan di bawah) telah melakukan
penyetoran dana sebesar Rp1.000.000.000,00 (satu miliar
Rupiah) atau setara dengan 1.000,00 (seribu) lembar saham HII.
In order to support the Company’s business development, the
Company through its subsidiaries (as defined below) has
established a subsidiary under the name of PT Hikari Infra
Indonesia ("HII"). The Deed of Establishment of HII as stipulated
in Notarial Deed of Emmyra Fauzia Kariana, S.H., M.Kn., Number
2 dated 2 September 2025 which was approved by the Minister of
Law of the Republic of Indonesia on 3 September 2025 in
accordance with the Decree of the Minister of Law of the Republic
of Indonesia Number AHU-0075331.AH.01.01.TAHUN 2025
regarding Approval Establishment of the Limited Liability
Company PT Hikari Infra Indonesia dated 3 September 2025. As
for its implementation, the Company through its Subsidiary (as
defined below) has deposited funds amounting to
Rp1,000,000,000,00 (one billion Rupiah) or equivalent to 1,000,00
(one thousand) shares of HII.
Berikut adalah uraian mengenai kepemilikan dan komposisi
pemegang saham HII, oleh PT Portco Infranusantara (“Portco”)
dan PT Metro Tekno Media Infranusantara (“MTMI”), (Portco dan
MTMI selanjutnya disebut sebagai “Entitas Anak”):

Metro Tekno Media Infranusantara (“MTMI”), (Portco and MTMI

A brief description of the Company's Subsidiaries in relation to the
establishment of HII:
PT Portco Infranusantara
Portco merupakan suatu perseroan terbatas yang berkedudukan
hukum di Equity Tower Lantai 38, Sudirman Central Business
District, Jl. Jend. Sudirman Kav. 52-53, Jakarta, 12190 Indonesia.
Portco didirikan berdasarkan Akta Notaris Nomor 3 tertanggal
8 Maret 2011 dibuat dihadapan Karin Christiana Basoeki, S.H.m
Notaris di Jakarta Pusat. Portco merupakan salah satu entitas
anak Perseroan yang bergerak di bidang usaha pelayanan sektor
kepelabuhanan.
PT Portco Infranusantara
Portco is a limited liability company domiciled at Equity Tower 38th
Floor, Sudirman Central Business District, Jl. Jend. Sudirman Kav.
52-53, Jakarta, 12190 Indonesia. Portco was established based
on Notarial Deed Number 3 dated 8 March 2011 made before
Karin Christiana Basoeki, S.H.m Notary in Central Jakarta. Portco
is one of the Company's subsidiaries engaged in the business of
port services.
Saat ini Perseroan secara mayoritas atau sebanyak 99,95%
(sembilan puluh sembilan koma sembilan lima persen) memiliki
saham dalam Portco.
Currently, the Company majority or 99.95% (ninety-nine point nine
five) owns shares in Portco.
PT Metro Tekno Media Infranusantara
MTMI merupakan suatu perseroan terbatas yang berkedudukan
hukum di Equity Tower Lantai 38, Sudirman Central Business
District, Jl. Jend. Sudirman Kav. 52-53, Jakarta, 12190 Indonesia.
MTMI didirikan berdasarkan Akta Notaris Nomor 243 tanggal 30
Oktober 2015, dibuat dihadapan Hasbullah Abdul Rasyid, S.H.,
M.Kn, Notaris di Jakarta Selatan. MTMI merupakan salah satu
entitas anak Perseroan yang bergerak di bidang usaha Digital,
Periklanan dan Aktivitas Parkir.
PT Metro Tekno Media Infranusantara
MTMI is a limited liability company domiciled at Equity Tower 38th
Floor, Sudirman Central Business District, Jl. Jend. Sudirman Kav.
52-53, Jakarta, 12190 Indonesia. MTMI was established based on
Notarial Deed No. 243 dated 30 October 2015, made before
Hasbullah Abdul Rasyid, S.H., M.Kn, Notary in South Jakarta.
MTMI is one of the Company's subsidiaries engaged in the
business of Digital, Advertising and Parking Activities.
Saat ini Perseroan secara mayoritas atas sebanyak 99,98%
(sembilan puluh sembilan koma sembilan delapan persen)
memiliki saham dalam MTMI.
Currently, the Company majority or 99.98% (ninety-nine point nine
eight percent) owns shares in MTMI.

Dengan demikian, Perseroan akan memiliki 99,95% (sembilan
puluh sembilan koma sembilan lima persen) saham secara tidak
langsung dalam HII.
As such, the Company will indirectly own 99.95% (ninety-nine
point nine five percent) of shares in HII.
4. Dampak kejadian, informasi atau Pendirian HII tidak akan memiliki dampak secara material
fakta material tersebut terhadap terhadap operasional, hukum, kondisi keuangan dan
