PT Petro Synergy Manufaduing ('PSM'), a limited
liability company established and doniciled in Gunung
Putri, Bogor, lndonesia, which is a suhsidiary of the
Company and dircctly mntrolled by the Company with
60% share ownership.

Berdasarkan Akta Keputusan Pemegang Saham
No 390 tanggal 29 Agustus 2025, Perseroan
meningkatkan penyertaan modal ke dalam PSM
sebesar 132.000,000 lembar saham atau sebesar
Rp 13.200.000.000 (tiga belas miliar dua ratus juta
rupiah).
Total kepemilikan saham Peseroan yang semula
sebesar 135.000.000 lembar saham atau sebesar
Rp 13.500.000.000 (tiga belas miliar Iima ratus juta
rupiah) menjadi sebesar 267.000,000 lembar
saham atau sebesar Rp 26,700.000,000 (dua
puluh enam miliar tujuh ratus juta rupiah).
Peningkatan penyertaan saham ini sekaligus untuk
mempertahankan kepemilikan saham Perseroan
ke dalam PSM sebesar 60%. Peningkatan modal
ini dllaksanakan pada harqa par sehinooa seluruh

Perseroan dan PSM merupakan pihak terafiliasi
karena PSi.4 merupakan anak perusahaan
Perseroan yang dikendalikan secara langsung oleh
Perseroan dengan kepemilikan saham sebesar
60%.
A. Object and Value of Trcnsaction
Based on Deed of Shareholders' Resolution No.
390 dated August 29, 2025 the Company increased
132,000,000 shares of ls investnent in PSM or Rp
1j,200,000,000 (hifteen billion two hundred million
rupiah)
Total ownership of the Company's shares, which
was Neviously 135,000,000 shares or Rp
13,500,000,000 (thifteen billion flve hundred mittion
rupiah) inueased to 267,000,000 shares or Rp
26,700,000,000 (twenty-six billion seven hundred
million rupiah).
The inuease in share capital is also to maintain the
Company's 60% shareholding in PSM. This capital
lncrease ls canied out at par price so that all
sharcholderc deposited Rp 1 q1/share.

The Conpany and PSM are affiliated parties
because PSM ls the subsldiary of the Cunpany
which is directly contrclled by the Company with
60% share ownership.

PSM has been operating conmercially and plans
to increase its operational activities. requiing
additional working capital to implement this plan.
B. Effect of Transaction on the Company's
Financial Condition
The plan to increase PSM operctional activly is
carried out to anticipate additional demand from
customers, thus PSM ls expected to contribute in
increasing the Company's sales and profit in the
future.

Perseroan tidak wajib melakukan prosedur
sebagaimana dimaksud dalam Pasal 3 serta tidak
wajib memenuhi ketentuan dalam Pasal 4 ayat (1)
berdasarkan ketentuan Pasal 6 ayat (1b) huruf f,
mengingat transaksi tersebut merupakan transaksj
penambahan penyertaan modal untuk
mempertahankan persentase kepemilikannya setelah
penyertaan dimaksud dilakukan selama paling singkat
1 (satu) tahun.
Transaksi ini tidak mengandung benturan kepentingan
dan semua informasi material telah diungkapkan dan
informasi tersebut tidak menyesatkan,
Transaksi ini bukan merupakan transaksi material
sebagaimana diatur dalam Peraturan otoritas Jasa
Keuangan N0.17lP01K.0412020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha karena nilal
transaksi kurang dari 20% ekuitas Perseroan, dimana
nilai transaksi adalah sebesar Rp 13.200.000.000.
Presentase nilai transaksi terhadap ekuitas adalah
sebesar '1,69% dari ekuitas Perseroan yaitu Rp
7 82,460,497,384, berdasarkan Laporan Keuangan
Konsolidasian Perseroan yang berakhir pada 31
Desember 2024 yang telah diaudit oleh Kantor
Akuntan Publik Kanaka Puradiredla Suhartono.

Regulalion No. 42/POJ K.04/2020 concerning Affiliated
