sebesar Rp210.000.000.000,-. GCM akan
menerbitkan sejumlah 1.300.000 lembar
saham baru dengan nilai Rp100.000,- per
lembar saham. Terhadap penerbitan saham
baru tersebut, TSJ tidak akan mengambil
bagian, sehingga seluruh saham baru yang
diterbitkan akan diambil bagian sepenuhnya
oleh Perseroan dengan mengkonversi
sebagian dari hutang GCM kepada Perseroan
sebesar Rp130.000.000.000,-

d. Setelah adanya peningkatan — modal
ditempatkan dan modal disetor tersebut,
komposisi kepemilikan saham Perseroan
berubah menjadi 2.099.200 lembar saham
dengan nominal sejumlah
Rp209.920.000.000,- sedangkan komposisi
kepemilikan saham TSJ tidak berubah, yaitu
tetap 800 lembar saham dengan nominal
sejumlah Rp80.000.000,-.

Dear Sir/Madam,

Herewith we, PT Enseval Putera Megatrading Tbk ("EPMT"), submit a Report on Information
or Material Facts as follows:

1 | Date of Event August 29, 2025.

Submission of information in connection with the
increase of issued and paid-up capital in the
subsidiary under the name of PT Global Chemindo
Megatrading.

2 | Type of Information or Material Facts

In order to comply with the Financial Services
Authority Regulation No. 31/POJK.04/2015 dated
December 16, 2015 regarding Disclosure of
Information or Material Facts by Issuers or Public
Companies, the Company hereby conveys that:

a. PT Global Chemindo  Megatrading
(“GCM”) is a company whose shares are
directly owned by the Company in the
amount of 799,200 shares and directly by
PT Tri Sapta Jaya (“TSJ”) in the amount of
800 shares, each share having a nominal
value of IDR 100,000, resulting in a total
nominal — share value of IDR
80,000,000,000.

b. The Company and TSJ agreed to increase
the authorized capital from IDR
80,000,000,000 to IDR 300,000,000,000.

C. In relation to the increase of issued and
paid-up capital to IDR 210,000,000,000,

GCM will issue 1,300,000 new shares at
IDR 100,000 per share. Forthe issuance of
such new shares, TSI will not take part,
hence all newly issued shares will be fully
subscribed by the Company through the
Conversion of part of GCM's debt to the
Company in the amount of IDR
130,000,000,000.

After the increase of issued and paid-up
Capital, the Companys shareholding
composition will change to 2,099,200
shares with a nominal value of IDR
209,920,000,000, while TSI's shareholding
composition remains unchanged at 800
shares with a nominal value of IDR
80,000,000.
