Terkait Pengambilalihan Saham dalam PT Nissan Motor
Indonesia, suatu perseroan terbatas yang berkedudukan di
Kabupaten Purwakarta (“NMI")./The Execution of the Deed of
Shares Sale and Purchase dated 29 August 2025 Regarding the Share
Acguisition in PT Nissan Motor Indonesia, a limited liability company
domiciled in Kabupaten Purwakarta (“NMI”).
Salah satu anak perusahaan Perseroan, yakni PT National
Assemblers (“NA”) yang 99,996 sahamnya secara efektif dimiliki
oleh Perseroan, telah menandatangani Akta Jual Beli Saham
No. 80 tanggal 29 Agustus 2025, dibuat di hadapan Notaris
Ashoya Ratam, S.H., M.Kn., Notaris di Jakarta, mengenai
pengambilalihan saham milik Nissan Motor Co., Ltd., dalam NMI
(“Pengambilalihan Saham”). Setelah Pengambilalihan Saham
dilakukan, NA akan memiliki 99,994 kepemilikan saham dalam

Dampak Kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik/The Impact of the Occurrence, material information, or facts on the operational activities, legal aspects, financial condition, or the continuity of the Issuer or Public Company 5. Keterangan lain-lain/Others One of the Company's subsidiaries, namely PT National Assemblers (“NA”), of which 99.94 of its shares are effectively owned by the Company, has signed a Deed of Shares Sale and Purchase No. 80 dated 29 August 2025, made before Ashoya Ratam, S.H., M.Kn., Notary in Jakarta, regarding the acguisition of shares owned by Nissan Motor Co., Ltd., in NMI (“Share Acguisition”). Upon completion of the Share Acguisition, NA will hold 99.92 ownership in NMI. Meningkatkan kinerja usaha di Indomobil Group dengan menambahkan portofolio perusahaan yang bergerak di bidang perakitan kendaraan bermotor./Increasing business performance within the Indomobil Group by adding to its portofolio a company engaged in motor vehicle assembly.
