Ahmad Dahlan, SH, MSA.Ak, BKP, CA Penunjukan dan Pengangkatan ini terhitung sejak tanggal berlakunya Resolusi Sirkuler ini untuk masa jabatan sesuai ketentuan dalam Pasal 8 Peraturan OJK No. 55/POJK.04/2015. Resolusi Dewan Komisaris dalam sirkuler ini dibuat sesuai dengan pasal 19 ayat 13 Anggaran Dasar Perseroan dan karenanya sah dan berkekuatan hukum yang sama dengan keputusan yang diambil dalam rapat Dewan Komisaris Perseroan, dan dengan ini juga menyatakan bahwa masing-masing Komisaris secara individu tidak berkeberatan atas pengambilan keputusan dengan cara tersebut. Resolusi Sirkuler ini dapat ditandatangani secara terpisah, masing-masing dianggap sebagai asli, dan secara bersama-sama merupakan satu kesatuan instrument yang berlaku sejak tanggal penandatanganan oleh CIRCULAR RESOLUTION (IN LIEU OF A MEETING) OF THE BOARD OF COMMISSIONERS Ref No. : 127/ES/VI/2025 With reference to OJK regulation No. 55/POJK.04/2015 about Formation and Execution Guideline of Audit Committee, We, the undersigned, in our capacity as the Board of Commissioners of PT. Eratex Djaja Tbk. (the “Company”), hereby decide the appointment of the Chairman of Audit Committee of the Company as per below: Chairman of Audit Committee: t - Drs. Ahmad Dahlan, SH, MSA.Ak, BKP, CA This appointment will be effective from the date of this Circular Resolution for term office period as per stipulated in Article 8 of OJK Regulation No. 55/POJK.04/2015. Board of Commissioners Resolution set out in this Circular are made pursuant to Article 19 Paragraph 18 of the Articles of Association of the Company which therefore have the same effect as resolutions validly passed in a meeting of Board of Commissioners of the Company, and it is hereby confirmed that each Commissioner does not have any objection to adopt the resolution in this manner.
