Livzon Pharma Indonesia (entitas anak yang dimiliki melalui
PT Global Chemindo Megatrading).
Uraian Informasi atau Fakta Material Dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan
No. 31/POJK.04/2015 tanggal 16 Desember 2015 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten
atau Perusahaan Publik, Perusahaan menyampaikan bahwa:
a. PT Livzon Pharma Indonesia (Livzon) merupakan
perusahaan yang sahamnya dimiliki oleh Perseroan melalui
entitas anak PT Global Chemindo Megatrading (GCM) secara
langsung sejumlah 65.304 lembar saham dan secara langsung
oleh PT Lian SGP Holding PTE. LTD (Lian) sejumlah 261.216
lembar saham, masing-masing saham bernilai nominal Rp1.
000.000 sehingga nilai nominal saham keseluruhannya
sejumlah Rp326.520.000.000,-;
b. Perseroan dan Lian sepakat untuk meningkatkan
modal dasar dari semula sejumlah Rp326.520.000.000,-
menjadi Rp653.040.000.000,-.
c. Dalam rangka peningkatan modal ditempatkan dan
modal disetor menjadi sebesar Rp653.040.000.000,-. GCM
akan mengambil bagian atas 65.304 lembar saham baru
dengan nilai Rp65.304.000.000 dan Lian akan mengambil
bagian atas 261.216 lembar saham baru dengan nilai Rp261.
216.000.000.
d. Setelah adanya peningkatan modal ditempatkan dan
modal disetor tersebut, komposisi kepemilikan saham GCM
berubah menjadi 130.608 lembar saham dengan nominal
sejumlah Rp130.608.000.000,- sedangkan komposisi
kepemilikan saham Lian menjadi 522.432 lembar saham
dengan nominal sejumlah Rp522.432.000.000,-.

Increase of issued and paid-up capital in PT Livzon Pharma
Type of Material Information or Facts Indonesia (subsidiary owned through PT Global Chemindo
Megatrading).
Description of Material Information or In order to comply with the Regulation of the Financial
Facts Services Authority No. 31/POJK.04/2015 dated December 16,
2015 concerning Disclosure of Information or Material Facts by
Issuers or Public Companies, the Company hereby informs
that:
a. PT Livzon Pharma Indonesia (Livzon) is owned by
the Company through PT Global Chemindo Megatrading
(GCM) amounting to 65,304 shares and by PT Lian SGP
Holding PTE. LTD (Lian) amounting to 261,216 shares. Each
share has a nominal value of Rp1,000,000, with total nominal
value of Rp326,520,000,000.
b. The Company and Lian agreed to increase Livzon
authorized capital from Rp326,520,000,000 to Rp653,
040,000,000.
c. In connection with the increase of issued and paid-up
capital to Rp653,040,000,000, GCM will subscribe to 65,304
new shares valued at Rp65,304,000,000 and Lian will
subscribe to 261,216 new shares valued at Rp261,
216,000,000.
d. Following the increase of issued and paid-up capital,
the shareholding composition of GCM will become 130,608
shares with a nominal value of Rp130,608,000,000, while Lian
shareholding composition will become 522,432 shares with a
nominal value of Rp522,432,000,000.
