Uraian Informasi atau Fakta Material A. Pada tanggal 21 Agustus 2025, Perseroan dan BRI
telah menandatangani: (i) Akta Perjanjian Fasilitas Kredit
Berjangka (Term Loan Facility) Nomor 60, dibuat dihadapan
Mala Mukti, S.H., LL.M, Notaris di Jakarta ("Perjanjian Kredit");
dan (ii) Akta Perjanjian Fasilitas Forex Line Nomor 61, dibuat
dihadapan Mala Mukti, S.H., LL.M, Notaris di Jakarta
("Perjanjian Forex Line").
Berdasarkan Perjanjian Kredit, Perseroan
mendapatkan fasilitas kredit berjangka yang bersifat commited
dan non-revolving dengan plafond sebanyak-banyaknya
sebesar USD252.754.500 (dua ratus lima puluh dua juta tujuh
ratus lima puluh empat ribu lima ratus Dollar Amerika Serikat).
Berdasarkan Perjanjian Forex Line, Perseroan
mendapatkan fasilitas dengan plafond sebanyak-banyaknya
sebesar USD252.754.500 (dua ratus lima puluh dua juta tujuh
ratus lima puluh empat ribu lima ratus Dollar Amerika Serikat).
B. Seluruh dana yang diperoleh dari Perjanjian Kredit akan
dipergunakan sepenuhnya oleh Perseroan untuk mendukung
operasional secara umum (general corporate purposes)
termasuk namun tidak terbatas untuk melakukan pelunasan
atas utang Perseroan berdasarkan Facility Agreement for a
Term Loan/Standby Letter of Credit Facility tanggal 5 Agustus
2020 (berikut setiap perubahan dan penambahan
terhadapnya).
Seluruh dana yang diperoleh dari Perjanjian Forex Line,
akan dipergunakan oleh Perseroan untuk keperluan lindung
nilai transaksi derivative dengan jenis Interest Rate Swap
(IRS).
Transaksi ini bukan merupakan:
a. Transaksi Afiliasi dan/atau Transaksi yang
mengandung Benturan Kepentingan sebagaimana dimaksud
dalam Peraturan Otoritas Jasa Keuangan Nomor 42/POJK.
04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan; dan
a. Transaksi Material sebagaimana dimaksud dalam
Peraturan Otoritas Jasa Keuangan Nomor 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Dengan diperolehnya pinjaman dari BRI berdasarkan
material tersebut terhadap kegiatan Perjanjian Kredit dan Perjanjian Forex Line, maka akan
operasional, hukum, kondisi keuangan, meningkatkan kemampuan finansial dan aspek pendanaan
atau kelangsungan usaha Emiten atau bagi Perseroan dalam menjalankan usaha kedepannya.

Description of Material Information or A. On 21 August 2025, the Company and BRI have
Facts entered into: (i) Deed of Term Loan Facility Agreement
Number 60 made before Mala Mukti, S.H., LL.M., Notary in
Jakarta ("Term Loan Agreement"); and (ii) Deed of Forex Line
Facility Agreement Number 61, made before Mala Mukti, S.H.,
LL.M., Notary in Jakarta ("Forex Line Agreement").
Based on Term Loan Agreement, the Company obtains a
committed and non-revolving term loan facility in the maximum
amount of USD252,754,500 (two hundred fifty two million
seven hundred fifty four thousand five hundred United States
Dollar).
Based on Forex Line Agreement, the Company obtains
facilities in the maximum amount of USD252,754,500 (two
hundred fifty two million seven hundred fifty four thousand five
hundred United States Dollar).
B. All proceeds of the Term Loan Agreement will be fully
utilized by the Company to fund its general corporate
purposes, including but not limited to repay the Company's
outstanding debt based on the Facility Agreement for a Term
Loan/Standby Letter of Credit Facility dated 5 August 2020
(and any amendments and additions thereto).
All proceeds under the Forex Line Agreement will be used by
the Company for the purpose of hedging derivative
transactions in the form of Interest Rate Swap (IRS).
This transaction is not classified as:
a. Affiliate Transaction and/or Conflict of Interest
Transaction as stipulated in the Regulation of the Financial
Services Authority Number 42/POJK.04/2020 on Affiliate
Transactions and Conflict of Interest Transactions; and
b. Material Transaction under the Regulation of the
Financial Services Authority Number 17/POJK.04/2020 on
Material Transactions and Change of the Main Business
Activities.
Impact of event, material information or By obtaining the loan from BRI based on Term Loan
facts towards Issuers or Public Agreement and Forex Line Agreement, will enhance financial
Company’s operational activities, legal, capability and funding aspect of the Company in conducting its
financial condition, or going concern business in the future.
