Uraian Informasi/ Fakta Material:

Berdasarkan keputusan para Pemegang
Saham Perseroan sebagaimana dinyatakan
pada Keputusan Sirkuler Pemegang saham
sebagai Pengganti Rapat Umum Pemegang
Saham Luar Biasa Perseroan (“Keputusan
Sirkuler”) tanggal 19 Agustus 2025 dan
persetujuan dari Otoritas Jasa Keuangan
(“OJK”) No. S-185/PL.02/2025 tanggal 05
Agustus 2025, para Pemegang Saham
Perseroan menyetujui beberapa hal berikut
Ini:

1. Menerima dan menyetujui pengalihan

11.312.502 (sebelas juta tiga ratus dua
belas ribu lima ratus dua) lembar saham
di dalam Perseroan atau setara dengan
5,00Y6 (lima persen) dari modal yang
ditempatkan dan disetor di dalam
Perseroan, masing-masing dengan nilai
nominal sebesar Rp1.000,00 (seribu
Rupiah) setiap lembar dengan jumlah
total — nominal — saham sebesar
Rp11.312.502.000 (sebelas miliar tiga
ratus dua belas juta lima ratus dua ribu
Rupiah) (“Penjualan Saham”) dari PT
Finansia Pacifica Raya (“FPR”) kepada
KB Kookmin Card Corp. (“KBC”) dengan
Syarat dan ketentuan berdasarkan Akta
Jual Beli Saham tertanggal 19 Agustus
2025 antara FPR sebagai Penjual dan
KBC sebagai Pembeli.

2. Para Pemegang Saham menyetujui

untuk mengesampingkan haknya untuk
membeli saham terlebih dahulu
sehubungan dengan Penjualan Saham
berdasarkan Anggaran Dasar
Perseroan.

3. Setelah menyelesaikan Penjualan

Saham, Para Pemegang Saham
menyepakati dan menyetujui
perubahan komposisi pemegang saham
Perseroan menjadi sebagai berikut:

Description of Material
Information/Facts:

Based on the decision of the Company's
Shareholders as stated in the Circular
Resolutions of Shareholders in Lieu of the
Company's Extraordinary General Meeting
of Shareholders (“Circular Resolution”)
dated August 19th, 2025, and the approval
from the Financial Services Authority
(“OJK”) Number S-185/PL.02/2025 dated
August 5" 2025, the Shareholders of the
Company agreed to the following matters:

1. To approve and resolve the transfer of
11,312,502 (eleven million three
hundred twelve thousand five hundred
two) shares in the Company or
eguivalent to 5,0096 (five percent) of
issued and paid-up capital of the
Company, each with a nominal value of
IDR1,000.00 (one thousand Rupiah) per
share, with the total nominal value of
IDR11,312,502,000 (eleven billion three
hundred twelve million five hundred two
thousand Rupiah) (“Shares Sale”)
from PT Finansia Pacifica Raya (“FPR”)
to KB Kookmin Card Corp. (“KBC”) with
the terms and conditions as stipulated
Under the Deed of Shares Sales and
Purchase dated August 19? 2025
between FPR as the Seller and KBC as
the Buyer.

2. The Shareholders agree to waive all its
pre-emptive rights over the Shares Sale
pursuant to the Artide of Association of
the Company.

3. Upon completion of the Shares Sale, the
Shareholders agree and approve the
change of the composition of
shareholders of the Company to be as
follows:

hadapan Jose Dima Satria, S.H., M.Kn.,
Notaris di Jakarta Selatan dan telah
diberitahukan kepada Menteri Hukum
Republik Indonesia dan telah diterima
berdasarkan Penerimaan Pemberitahuan
Perubahan Data Nomor AHU-AH.01.09-
0326599 tanggal 19 Agustus 2025.

This decision is also stipulated in Deed of a
Statement of Shareholders'” Resolution
concerning the Changes in the Composition of
Shareholders of the Company No. 108 dated
August 19" 2025, drawn before Jose Dima
Satria, S.H., M.Kn., Notary in South Jakarta, that
has been duly notified to the Minister of Law of
the Republic of Indonesia and has already
acknowledged based on the Receipt of
Notification of Change of Company Data No.
AHU-AH.01.09-0326599 dated August 19"
2025.
