Dalam rangka memenuhi (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No 31/POJK.04/2015 tentang Keterbukaan
atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik, sebagaimana telah diubah sebagian oleh
Peraturan OJK No. 45 Tahun 2024 tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik; dan (ii)
peraturan Nomor I-E tentang Kewajiban Penyampaian Informasi, Lampiran Keputusan Direksi PT Bursa Efek
Indonesia No. KEP-00066/BEI/09-2022 tanggal 30 September 2022, dengan ini Perseroan menyampaikan Laporan

In order to comply with (i) Financial Services Authority (“OJK”) Regulation No 31/POJK.04/2015 on Disclosure of
Material Information or Facts by Issuers or Public Companies; and (ii) Rule Number I-E on the Obligation for
Information Submission, Attachment to the Decree of the Board of Directors of the Indonesia Stock Exchange No.
KEP-00066/BEI/09-2022 dated 30 September 2022, hereby the Company submits a Report of Material Information

Description of Material Information Perseroan sebelumnya, berdasarkan surat Perseroan nomor
or Facts 134/DOID/OJK-BEI/XI/2024 tertanggal 25 November 2024
(“Keterbukaan Informasi Awal”). Seluruh istilah dalam huruf
kapital sebagaimana digunakan dalam Laporan Informasi atau
Fakta Material ini memiliki arti yang sama sebagaimana
digunakan dalam Keterbukaan Informasi Awal, kecuali
ditentukan lain di sini.
Peabody mengumumkan pada tanggal 19 Agustus 2025 bahwa
mereka telah mengakhiri perjanjian pembelian dengan Anglo
American (“Anglo”) terkait dengan aset steelmaking coal milik
Anglo, karena tidak tercapainya kesepakatan mengenai
Material Adverse Change.
Pada hari yang sama, PT Bukit Makmur Internasional (“BMI”),
sebagai entitas anak terkendali Perseroan melalui PT Bukit
Makmur Mandiri Utama, menerima surat pemberitahuan dari
Peabody yang antara lain mengakhiri perjanjian antara BMI dan
Peabody tertanggal 25 November 2024 sehubungan dengan
Rencana Transaksi.
This Report of Material Information or Facts is a continuation of
the Company's previous Report of Material Information or
Facts, based on the Company’s letter number 134/DOID/OJK-
BEI/XI/2024 dated 25 November 2024 ("Initial Disclosure of
Information"). All capitalized terms used in this Report of
Material Information or Facts shall have the same meaning with
capitalized terms used in Initial Disclosure of Information, unless
otherwise defined herein.
Peabody announced on 19 August 2025 that it has terminated
purchase agreements with Anglo American (“Anglo”) relating
to Anglo's steelmaking coal assets, due to the failure to reach
an agreement concerning the Material Adverse Change.
On the same day, PT Bukit Makmur Internasional (“BMI”), as a
controlled subsidiary of the Company through PT Bukit Makmur
Mandiri Utama, received a notice letter from Peabody
terminating the agreement between BMI and Peabody dated 25
November 2024 (amongst others) with regards to the Proposed
Transaction.
