Perusahaan yaitu PT Rizki Lancar Sentosa
Uraian Informasi atau Fakta Material I. Bahwa PT Sinar Mas Multiartha Tbk, telah
melakukan tambahan setoran modal / investasi pada PT
Rizki Lancar Sentosa, berkedudukan di Jakarta Barat
sebesar Rp. 365.055.000.000,- ( tiga ratus enam puluh lima
miliar lima puluh lima juta Rupiah ), dengan perincian sebagai
berikut :
1. Melalui konversi utang menjadi saham ( debt-to-
equity swap ) sebesar Rp.340.000.000.000,- ( tiga ratus
empat puluh miliar rupiah ) atau sebanyak 340.000 ( tiga
ratus empat puluh ribu ) saham , dan ;
2. Melalui pengeluaran saham - saham dalam
portepel sebanyak 25.055 ( dua puluh lima ribu lima puluh
lima ) saham atau sebesar Rp. 25.055.000.000,- ( dua puluh
lima miliar lima puluh lima juta Rupiah ) dan disetorkan secara
tunai kedalam kas Perseroan.
II. Jumlah penyertaan modal tersebut tidak melebihi
20 % dari ekuitas Perusahaan , sehingga penyertaan
modal tersebut tidak bersifat material.
III Transaksi tersebut telah disetujui dalam Risalah
Rapat Umum Pemegang Saham Luar Biasa ( RUPSLB ) PT
Rizki Lancar Sentosa tanggal 5 Agustus 2025, dan akan
dilaksanakan pada tanggal 15 Agustus 2025.

Description of Material Information or I. That PT Sinar Mas Multiartha Tbk has made an additional
Facts capital injection/investment in PT Rizki Lancar Sentosa,
domiciled in West Jakarta, amounting to Rp 365,055,000,000
(three hundred sixty-five billion fifty-five million Rupiah), with
the following details:
1. Through a debt-to-equity swap of Rp 340,000,000,000
(three hundred forty billion Rupiah) or 340,000 (three hundred
forty thousand) shares, and;
2. Through the issuance of 25,055 (twenty-five thousand fifty-
five) shares of portfolio stock, or Rp 25,055,000,000 (twenty-
five billion fifty-five million Rupiah), deposited in cash into the
Company's treasury.
II. The amount of the capital participation does not exceed
20% of the Company's equity, therefore, the capital
participation is not material.
III. The transaction was approved in the Minutes of the
Extraordinary General Meeting of Shareholders (EGMS) of PT
Rizki Lancar Sentosa on August 5, 2025, and will be
consummated on August 15, 2025.
