Uraian Informasi atau Fakta Material Pada tanggal 22 Juli 2026, SSS entitas anak Perseroan, telah
menerima penyerahan:
- 1 (satu) unit Tugboat SENTOSA 24001 (Hull No. MPS027
dengan ukuran 30,00m x 8,60m x 4,12m); dan
- 1 (satu) unit Tongkang SENTOSA 3301 (Hull No. MPS028
dengan ukuran 330 x 90x 22 Feet),
berdasarkan Berita Acara Serah Terima yang ditandatangani
oleh PT Merah Putih Shipyard selaku pihak yang
menyerahkan dan SSS selaku pihak yang menerima.
Pengadaan kedua kapal tersebut dilaksanakan berdasarkan:
- Shipbuilding Agreement No.009/MPS-SSS/I/2026 untuk
pembangunan 1 (satu) unit Tugboat; dan
- Shipbuilding Agreement No.010/MPS-SSS/I/2026 untuk
pembangunan 1 (satu) unit Tongkang.
Nilai transaksi adalah sebagai berikut (belum termasuk PPN):
- Tugboat Rp21.000.000.000;
- Tongkang Rp41.000.000.000;
Total Rp62.000.000.000.
Pengadaan kedua kapal tersebut merupakan tindak lanjut
pelaksanaan keputusan Rapat Umum Pemegang Saham Luar
Biasa Perseroan tanggal 24 Desember 2025. Dengan
demikian, penyerahan kapal pada tanggal 22 Juli 2026
merupakan realisasi atas transaksi yang telah memperoleh
persetujuan pemegang saham dan bukan merupakan
transaksi baru.
Berdasarkan Laporan Keuangan Konsolidasian Perseroan per
31 Desember 2025, transaksi tersebut memenuhi kriteria
Transaksi Material sebagaimana dimaksud dalam POJK
Nomor 17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha. Mengingat transaksi dilakukan
oleh SSS yang merupakan entitas anak yang dikendalikan
Perseroan dengan kepemilikan sebesar 99,99%, maka
berdasarkan Pasal 11 POJK Nomor 17/POJK.04/2020
transaksi ini termasuk transaksi material yang dikecualikan
dari beberapa persyaratan, termasuk kewajiban memperoleh
Pendapat Kewajaran dan persetujuan RUPS.
Transaksi ini tidak merupakan Transaksi Afiliasi sebagaimana
dimaksud dalam Peraturan Otoritas Jasa Keuangan Nomor
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan, karena PT Merah Putih Shipyard
selaku pihak penjual bukan merupakan pihak afiliasi
Perseroan maupun SSS.
Dampak kejadian, informasi atau fakta Penambahan armada kapal tersebut diharapkan
material tersebut terhadap kegiatan meningkatkan kapasitas operasional SSS dalam menjalankan
operasional, hukum, kondisi keuangan, kegiatan usaha jasa pelayaran dan pengangkutan laut.

Acquisition of 1 (one) tugboat and 1 (one) barge by the
Type of Material Information or Facts Company's Subsidiary, PT Samudera Sejahtera Shipping

Description of Material Information or On July 22, 2026, SSS, the Company's subsidiary, took
Facts delivery of:
- 1 (one) unit of Tugboat SENTOSA 24001 (Hull No. MPS027,
measuring 30.00 m x 8.60 m x 4.12 m); and
- 1 (one) unit of Barge SENTOSA 3301 (Hull No. MPS028,
measuring 330 x 90 x 22 feet),
pursuant to the Minutes of Handover executed by PT Merah
Putih Shipyard, as the delivering party, and SSS, as the
receiving party.
The acquisition of the two vessels was carried out pursuant to:
- Shipbuilding Agreement No.009/MPS-SSS/I/2026 for the
construction of 1 (one) tugboat; and
- Shipbuilding Agreement No.010/MPS-SSS/I/2026 for the
construction of 1 (one) barge.
The transaction value is as follows (exclude VAT):
- Tugboat IDR21,000,000,000
- Barge IDR41,000,000,000
Total IDR62,000,000,000.
The acquisition of the two vessels constitutes the
implementation of the resolution approved at the Extraordinary
General Meeting of Shareholders of the Company held on
December 24, 2025. Accordingly, the delivery of the vessels
on July 22, 2026 constitutes the completion of a transaction
that had previously been approved by the shareholders and
does not constitute a new transaction.
Based on the Company's Consolidated Financial Statements
as of December 31, 2025, the transaction meets the criteria of
a Material Transaction as stipulated under OJK Regulation
No.17/POJK.04/2020 concerning Material Transactions and
Changes in Business Activities. As the transaction is
undertaken by SSS, a subsidiary controlled by the Company
with a 99.99% ownership interest, pursuant to Article 11 of
OJK Regulation No.17/POJK.04/2020, the transaction
constitutes a Material Transaction that is exempt from certain
regulatory requirements, including the obligation to obtain a
Fairness Opinion and the approval of the General Meeting of
Shareholders.
The transaction does not constitute an Affiliated Transaction
as referred to in OJK Regulation No. 42/POJK.04/2020
concerning Affiliated Transactions and Conflict of Interest
Transactions, as PT Merah Putih Shipyard, as the seller, is not
an affiliated party of either the Company or SSS.
Impact of event, material information or The addition of the vessels is expected to enhance SSS's
facts towards Issuers or Public operational capacity in conducting its shipping and sea
Company’s operational activities, legal, transportation business activities. With the expansion of its
financial condition, or going concern operational fleet, the Company is expected to increase its
business volume, strengthen its revenue base, and contribute
positively to its future operational performance and financial
condition.
