Dampak kejadian, informasi atau fakta a. Dampak Operasional
material tersebut terhadap kegiatan - Penambahan armada tersebut, mencerminkan langkah
operasional, hukum, kondisi keuangan, diversifikasi portofolio usaha Perseroan, yang
atau kelangsungan usaha Emiten atau sebelumnya lebih berfokus pada armada jenis dry bulk.
Perusahaan Publik Dengan masuk ke segmen Offshore Support Vessel,
Perseroan berpotensi menjangkau pasar baru dan
memperluas cakupan kegiatan usaha di sektor jasa
maritim.
- Diversifikasi ini juga diharapkan dapat meningkatkan
ketahanan operasional Perseroan dalam menghadai
dinamika industri pelayaran, serta memberikan
fleksibilitas yang lebih besar dalam pengelolaan armada
dan penjadwalan operasional kapal.
b. Dampak Hukum
- Pembelian kapal jenis tersebut oleh Perseroan memiliki
implikasi dalam bidang hukum seperti adanya kewajiban
dari Peseroan untuk melakukan pendaftaran kapal,
penggantian bendera (reflaging), perubahan status
hukum kapal, persetujuan untuk melakukan importasi,
kewajiban Perseoran untuk melengkapi legalitas dan
sertifikat layak operasi kapal.
- Pembelian armada baru menyebabkan Perseroan
mengalami penambahan bidang usaha.
c. Dampak Keuangan
- Pembelian armada kapal baru menjadikan aset
Perseoran semakin bertambah dan dapat membawa
potensi segmen pendapatan (revenue stream) baru
sehingga akan memperkuat struktur pendapatan
Perseroan.
- Pembelian kapal Offshore Support Vessel dapat menjadi
potensi Perseroan untuk memperoleh kontrak proyekproyek
offshore (diversifikasi usaha), dimana dalam hal
ini Perseroan tidak hanya bergantung pada pendapatan
dari jasa pelayaran drybulk.
- Perseroan akan mengalami lonjakan CapEx,DER,
kenaikan biaya operasional, dampak depresiasi, dan
risiko pembiayaan yang harus dikelola cermat

Company’s operational activities, legal, -The addition of this Vessel represents a step toward
financial condition, or going concern diversifying the company's business portofolio, which has
previously been more focused on dry bulk vessels. By enterin
the offhsore support vessel segment, the company has the
potential to tap into new market expand and its business
activities within the maritime sector.
-This diversification is also expected to enhance the
company's operational resilince in facing the dynamics of the
shipping indusrty, as well as provide greater flexibility in fleet
management and vessel scheduling.
b. Legal Impact
- The purchase of such vessel by the company carries legal
implications, including to obligantion to register vessel,
reflagging, changing the vessel;s legal status, obtaining imprt
approvals, and the company's obligation to complete the
necessary legal documents and obtain certificates of
seaworthiness.
- The purchase of the new vessel may result in the addition of
new business segments to the company's operations.
c. Financial Impact
- The purchase of a new vessel will increase the company's
assets and maycreate a new revenue stream, thereby
strengthening company's income structure.
-The acquisition of an offshire support vessel presents an
opportunity for the company to secure contracts for offshore
projects (business diversification), reducing it's reliance solely
on revenue from dry bulk shipping service.
-The company will experience a surge in capital expenditure
(CapEx), an increase in Debt to Equity Ratio (DER), higher
operational costs depreciation impacts, and financing risk that
will need to be carefully managed.
