Dr. Makaliwe Raya No. 16 B, Grogol, Grogol Petamburan, Jakarta Barat, Kode Pos : 11450 Telp: (021) 21192523, Faksmile: (021) 21192523 Tanggal Kejadian / Date of Event 20 Juli 2026 Jenis Informasi atau Fakta / Material Type of Material Information or Facts Pemberitahuan — atas — Pengumuman Negosiasi Rencana Pengambilalihan PT Asia Sejahtera Mina Tbk / Announcement for the Proposed Agcuisition of PT Asia Sejahtera Mina Tbk Uraian Informasi atau Fakta Material / Description of Material Information or Facts Merujuk pada surat Suprajitno Sutomo tanggal 20 Juli 2026 Perihal Pemberitahuan Pengumuman Negosiasi Pengambilalihan Saham PT Asia Sejahtera Mina Tbk., maka bersama ini kami informasikan bahwa Suprajitno Sutomo (“Calon Pengendali Baru”) berencana untuk mengambil alih saham PT Indo Kreasi Pratama (“Penjual”) sebanyak 450.000.000 (empat ratus lima puluh juta) lembar yang dimiliki oleh Penjual, dan Calon Pengendali Baru serta Penjual akan mengusahakan sedemikian sehingga Calon Pengendali Baru agar dapat membeli dari pemegang saham penjual lainnya untuk jumlah tambahan saham paling sedikit 60.000.000 (enam puluh juta) lembar saham sehingga jumlah total saham yang akan dibeli Calon Pengendali Baru dalam Rencana — Pengambilalihan adalah paling sedikit 510.000.000 (lima ratus sepuluh juta) lembar saham Perseroan atau mewakili paling sedikit 5196 (lima puluh satu persen) dari saham yang ditempatkan dan disetor penuh dalam Perseroan. / Referring to the letter of Suprajitno Sutomo (the “Prospective New Controlling Shareholder”) dated July,20 2026 regarding Notice of Announcement of Negotiation for the Acguisition of Shares PT Asia Sejahtera Mina Tbk., we hereby inform you that Suprajitno Sutomo intends to acguire the shares of PT Indo Kreasi Pratama (the “Seller”) as many as 450,000,000 four hundred fifiy million) shares owned by the Seller, and the Controlling Shareholder along with the Seller will endeavour such that the Prospective New Controlling Shareholder may purchase from the other selling shareholder an additional shares amounting at least 60,000,000 (sixty million) shares s0 that the total number of shares to be purchased by the Prospective New Controlling Shareholder under the Proposed Acguisition shall be at least 510,000,000 (five hundred ten million) shares of the Company, or representing at least 5196 (fifty one percent) of the total issued and fully paid-up share Prospective New capital of the Company.
