Rencana Transaksi adalah sebagai berikut:
• Para Pihak yang bertransaksi
a. Ruhong Holding Pte Ltd sebagai Pemberi
Pinjaman
b. PT Perma Plasindo Tbk sebagai Penerima
Pinjaman
• Sesuai dengan perjanjian tersebut Ruhong
Holding Pte Ltd telah sepakat untuk memberikan
peminjaman dana untuk kebutuhan perputaran
modal kerja PT Perma Plasindo Tbk.
• Jumlah pinjaman sebesar sebesar Rp
55.000.000.000 (Lima Puluh Lima Miliar Rupiah)
dan akan ditransfer sebelum Agustus 2025. Suku
bunga pinjaman dikenakan bunga sebesar 6% p.a
• Pelunasan Pokok Pinjaman beserta bunga yang
telah terakumulasi dilakukan kepada Pemberi
Pinjaman paling lambat tanggal 31 Juli 2027.
Apabila pada tanggal 31 Juli 2027 pinjaman

tersebut belum dapat dilunasi secara penuh, maka
perjanjian ini dapat diperpanjang berdasarkan
kesepakatan bersama antara Pemberi Pinjaman
dan Penerima Pinjaman.
• Perseroan telah menerima dana pinjaman dari
Ruhong Holding Pte Ltd pada tanggal 1 Agustus
2025
Dampak kejadian, informasi atau fakta material • Membantu memperbaiki struktur modal kerja
tersebut terhadap kegiatan operasional, hukum, Perseroan yang digunakan untuk melunasi
kondisi keuangan, atau kelangsungan usaha Emiten pinjaman bank dan kebutuhan modal kerja dalam
atau Perusahaan Publik pengembangan produk - produk baru.
• Pemberian pinjaman menunjukkan bahwa
Ruhong Holding tidak hanya sebagai pemegang
saham pasif, melainkan investor aktif yang
mendukung penuh pertumbuhan Perseroan.
• Transaksi ini tidak mengandung benturan
kepentingan sebagaimana dimaksud dalam POJK
No. 42/POJK.04/2020. Namun demikian, karena
melibatkan pihak afiliasi, maka transaksi ini
disampaikan sebagai keterbukaan informasi sesuai
ketentuan yang beriaku
• Perseroan dapat memperoleh pinjaman yang
cepat dengan syarat pinjaman yang dapat
dinegosiasikan dengan lebih fleksibel, termasuk
tenor, bunga, dan pelunasan.
5. Keterangan Iain-lain • Transaksi dilakukan secara wajar dan tidak
merugikan kepentingan Perusahaan maupun
pemegang saham minoritas.
• Transaksi ini merupakan realisasi dari keputusan
Rapat Umum Pemegang Saham Luar Biasa (RUPS
LB) yang diselenggarakan pada tanggal 17 Juli 2025,
yang telah menyetujui Transaksi Afiliasi berupa
Pemberian Pinjaman Dana oleh Pemegang Saham
Pengendali kepada Perseroan.

3. Description of Material Information or Fact Based on the Loan Agreement dated 19 May 2025,
the terms agreed upon in the Transaction Plan are
as follows:
• Parties to the transaction
a. Ruhong Holding Pte Ltd as the Lender
b. PT Perma Plasindo Tbk as the Borrower
• In accordance with the agreement, Ruhong
Holding Pte Ltd has agreed to provide a loan facility
to support the working capital cycle of PT Perma
Plasindo Tbk.
• The loan amount is IDR 55,000,000,000 (Fifty-Five
Billion Rupiah) and was to be transferred before
August 2025. The interest rate applied is 6% per
annum.
• Repayment of the Loan Principal along with the
accrued interest shall be made to the Lender no
later than 31 July 2027, If the loan is not fully repaid
by that date, the agreement may be extended
based on mutual agreement between the Lender
and the Borrower.

• The Company is able to obtain financing quickly
with loan terms that are more flexible and
negotiable, including tenor, interest rate, and
repayment terms.
5. Other Information • The transaction was carried out fairly and does
not harm the interests of the Company or minority
shareholders.
• This transaction is a realization of the resolution
o f the Extraordinary General Meeting of
Shareholders (EGMS) held on July 17, 2025, which
approved the Affiliate Transaction in the form of a
Loan Facility granted by the Controlling
Shareholder to the Company.
