Jenis Informasi atau Fakta Material Penandatanganan Perjanjian Jual Beli Saham Bersyarat (CSPA). Information or Material Fact. Signing of the Conditional Share Sale and Purchase Agreement (CSPA). 3. Uraian Informasi atau Fakta Material Pada tanggal 21 Juli 2026, PT Galley Adhika Arnawama selaku pemegang saham mayoritas Perseroan (“Penjual”) telah menandatangani CSPA dengan PT Wibowo Group Capital selaku pembeli (“Pembeli”) sehubungan dengan penjualan saham milik Penjual sebanyak 1.443.766.800 saham atau mewakili 82,5”p dari total modal ditempatkan dan disetor penuh dalam Perseroan Penandatanganan CSPA merupakan tahap awal yang mengikat para pihak dalam pelaksanaan transaksi akuisisi saham Perseroan. Penyelesaian transaksi (closing) akan dilakukan setelah seluruh persyaratan pendahuluan (conditions precedent) sebagaimana diatur dalam CSPA telah dipenuhi atau dikesampingkan sesuai dengan ketentuan dalam CSPA. Perseroan akan menyampaikan keterbukaan informasi lebih lanjut kepada pemegang saham dan masyarakat apabila terdapat perkembangan material terkait penyelesaian transaksi tersebut sesuai dengan ketentuan peraturan perundang-undangan yang berlaku di bidang pasar modal. Transaksi antara Penjual dan Pembeli tidak terdapat hubungan afiliasi dan tidak mengandung benturan kepentingan sebagaimana dimaksud dalam POJK No.42/POJK/04/2020 tentang — Transaksi Afiliasi dan Transaksi Benturan Kepentingan. Description of Information or Material Fact. | On 21 July 2026, PT Galley Adhika Arnawama, as the majority Company's shareholder (the "Seller", entered into a Conditional Share Purchase Agreement (CSPA) with PT Wibowo Group Capital (the "Purchaser") in connection with the sale of 1,443,766,800 shares or

The execution of the CSPA constitutes a binding preliminary agreement between the parties in relation to the proposed share acguisition transaction. Completion of the transaction (closing) will take place after all conditions precedent set out in the CSPA have been satisfied or waived in accordance with the terms and conditions of the CSPA. The Company will make further disclosures to its shareholders and the public should there be any material developments relating to the completion of the transaction, in accordance with the prevailing capital market laws and regulations. The transaction between the Seller and the Purchaser does not constitute an affiliated transaction and does not involve any conflict of interest as referred to in OJK Regulation No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions. 4 Dampak kejadian, informasi atau fakta | Penandatanganan CSPA ini tidak memberikan material tersebut terhadap kegiatan | dampak material pada kegiatan usaha operasional, hukum, kondisi keuangan, | Perseroan. atau kelangsungan usaha Perseroan Impact of event, information, or material | The CSPA signing does not have any material fact on the operational, legal status, | impact on the Company's business activity. financial condition, or Company business uustainability. 5.
