Uraian Informasi atau Fakta Material Penyampaian informasi sehubungan dengan peningkatan
modal ditempatkan dan modal disetor pada entitas anak atas
nama PT Tri Sapta Jaya.
Dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan
No. 31/POJK.04/2015 tanggal 16 Desember 2015 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten
atau Perusahaan Publik, Perusahaan menyampaikan bahwa:
a. PT Tri Sapta Jaya (TSJ) merupakan perusahaan
yang sahamnya dimiliki oleh Perseroan secara langsung
sejumlah 1.769.999 lembar saham dan secara langsung oleh
PT Bifarma Adiluhung (BIFARMA) sejumlah 1 lembar saham,
masing-masing saham bernilai nominal Rp100.000 sehingga
nilai nominal saham keseluruhannya sejumlah Rp177.
000.000.000;
b. Perseroan dan BIFARMA sepakat untuk
meningkatkan modal dasar dari semula sejumlah Rp177.
000.000.000,- menjadi Rp291.000.000.000,-.
c. Dalam rangka peningkatan modal ditempatkan dan
modal disetor menjadi sebesar Rp177.000.000.000,-. TSJ
akan menerbitkan sejumlah 1.140.000 lembar saham baru
dengan nilai Rp100.000,- per lembar saham. Terhadap
penerbitan saham baru tersebut, BIFARMA tidak akan
mengambil bagian, sehingga seluruh saham baru yang
diterbitkan akan diambil bagian sepenuhnya oleh Perseroan
dengan mengkonversi sebagian dari hutang TSJ kepada
Perseroan sebesar Rp114.000.000.000,-
d. Setelah adanya peningkatan modal ditempatkan dan
modal disetor tersebut, komposisi kepemilikan saham
Perseroan berubah menjadi 2.909.999 lembar saham dengan
nominal sejumlah Rp290.999.900.000,- sedangkan komposisi
kepemilikan saham BIFARMA tidak berubah, yaitu tetap 1
lembar saham dengan nominal sejumlah Rp100.000,-.

Description of Material Information or Submission of information regarding the increase in issued
Facts and paid-up capital of a subsidiary named PT Tri Sapta Jaya.
In compliance with Financial Services Authority Regulation No.
31/POJK.04/2015 dated December 16, 2015, concerning
Disclosure of Material Information or Facts by Issuers or Public
Companies, the Company hereby informs that:
a. PT Tri Sapta Jaya (TSJ) is a company whose shares are
directly owned by the Company, totaling 1,769,999 shares,
and directly by PT Bifarma Adiluhung (BIFARMA), totaling 1
share, each with a nominal value of Rp100,000, bringing the
total nominal value of the shares to Rp177,000,000,000;
b. The Company and BIFARMA have agreed to increase the
authorized capital from the original Rp177,000,000,000 to
Rp291,000,000,000.
c. In order to increase the issued and paid-up capital to
Rp177,000,000,000, TSJ will issue 1,140,000 new shares at a
value of Rp100,000 per share. BIFARMA will not participate in
the issuance of these new shares, so all new shares issued
will be fully subscribed by the Company by converting a portion
of TSJ's debt to the Company amounting to
Rp114,000,000,000.
d. Following the increase in issued and paid-up capital, the
Company's shareholding composition will change to 2,909,999
shares with a nominal value of Rp290,999,900,000, while
BIFARMA's shareholding composition will remain unchanged,
