dengan PT Tri Sapta Jaya
Uraian Informasi atau Fakta Material Keterbukaan Informasi ini memuat informasi mengenai
transaksi peningkatan modal ditempatkan dan disetor PT Tri
Sapta Jaya ('TSJ') dengan penerbitan saham baru melalui
konversi sebagian hutang TSJ kepada PT Enseval Putera
Megatrading Tbk ('EPMT') ('Transaksi'), yang masing-masing
merupakan perusahaan terkendali Perseroan dengan
komposisi pemegang saham sebagai berikut:
1) EPMT, dimiliki secara langsung oleh Perseroan sebanyak
2.496.785.795 saham dan oleh Masyarakat sebanyak
211.854.205 saham;
2) TSJ, dimiliki secara langsung oleh EPMT sebanyak
2.909.999 saham dan oleh PT Bifarma Adiluhung (perusahaan
terkendali Perseroan) sebanyak 1 saham.
Objek Transaksi adalah peningkatan modal ditempatkan dan
disetor TSJ dengan penerbitan saham baru sejumlah
1.140.000 saham dengan nilai nominal per saham sebesar
Rp100.000 dengan nilai nominal seluruhnya
Rp114.000.000.000 yang seluruhnya diambil bagian oleh
EPMT melalui konversi sebagian hutang TSJ kepada EPMT.
Dampak kejadian, informasi atau fakta Transaksi ini dilakukan sebagai pengembangan bisnis untuk
material tersebut terhadap kegiatan masa mendatang. Atas Transaksi tersebut, tidak ada dampak
operasional, hukum, kondisi keuangan, signifikan pada keuangan dan operasional yang dapat
atau kelangsungan usaha Emiten atau menggangu keberlangsungan usaha Perseroan.

Description of Material Information or This Disclosure of Information contains information regarding
Facts capital increase transaction placed and paid up by PT Tri
Sapta Jaya ('TSJ') through the issuance of new shares by
converting part of TSJ's debt to PT Enseval Putera
Megatrading Tbk ('EPMT') ('Transaction'), each of which is a
controlled company of the Company with the following
shareholder composition:
1) EPMT, directly owned by the Company with 2,496,785,795
shares and by the Public with 211,854,205 shares;
2) TSJ, directly owned by EPMT with 2,909,999 shares and by
PT Bifarma Adiluhung (a controlled company of the Company)
with 1 share.
The Transaction Object is an increase in TSJ's issued and
paid-up capital through the issuance of 1,140,000 new shares
with a par value of Rp100,000 per share and a total par value
of Rp114,000,000,000, all of which will be acquired by EPMT
through the conversion of part of TSJ's debt to EPMT.
Impact of event, material information or The transaction is carried out as business development for the
facts towards Issuers or Public future. For the Transaction, there is no significant financial and
Company’s operational activities, legal, operational impact that may disrupts the Company's business
financial condition, or going concern continuity.
