Uraian Informasi atau Fakta Material Dalam rangka memenuhi ketentuan Peraturan Otoritas Jasa
Keuangan (POJK) No. 31/POJK.04/2015 tanggal 22
Desember 2015 tentang Keterbukaan Atas Informasi atau
Fakta Material oleh Emiten atau Perusahaan Publik, serta
sebagai tindak lanjut atas Keterbukaan Informasi Perseroan
No. 018/MR/CS/V/2024 tertanggal 10 Mei 2024 mengenai
penandatanganan perjanjian kerja sama antara PT Mustika
Ratu Tbk (MRAT) dengan SUGI HOLDINGS Co., Ltd, bersama
ini kami sampaikan bahwa Perseroan telah resmi mendirikan
anak usaha baru yaitu perusahaan joint venture bernama PT
Mustika Ratu Sugi, dengan komposisi kepemilikan saham
Perseroan sebesar 51%.
Pengesahaan Pendirian telah dimuat dalam Berita Negara R.I
Tanggal 8/7 2025 No.54., Keputusan Menteri Hukum RI
Nomor AHU-0052509.AH.01.01. Tahun 2025 dan telah
diumumkan secara resmi pada Perum Percetakan Negara RI
(PNRI) Nomor 01.054.018187.01.2025.
Dampak kejadian, informasi atau fakta Saat ini tidak terdapat dampak material terhadap kegiatan
material tersebut terhadap kegiatan operasional, kondisi keuangan, dan kelangsungan usaha
operasional, hukum, kondisi keuangan, Perseroan. Jika kemudian hari terdapat perubahan atau
atau kelangsungan usaha Emiten atau dampak material yang signifikan, Perseroan akan segera
Perusahaan Publik menyampaikan keterbukaan informasi sesuai dengan
ketentuan yang berlaku demi menjaga transparansi kepada
para pemegang saham dan publik.

Transaksi ini bukan merupakan Transaksi Material sebagaimana Peraturan OJK No.17/POJK.04/2020 tanggal 20 April
2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha dan juga bukan merupakan Transaksi Afiliasi
sebagaimana dalam Peraturan OJK No.42/POJK.04/2020 tanggal 1 Juli 2020 tentang Transaksi Afiliasi dan Benturan
Kepentingan.

Description of Material Information or In compliance with the provisions of the Financial Services
Facts Authority Regulation (POJK) No. 31/POJK.04/2015 dated
December 22, 2015 concerning Disclosure of Material
Information or Facts by Issuers or Public Companies, and as a
follow-up to the Company Disclosure of Information No.
018/MR/CS/V/2024 dated May 10, 2024 regarding the signing
of a cooperation agreement between PT Mustika Ratu Tbk
(MRAT) and SUGI HOLDINGS Co., Ltd, we hereby inform that
the Company has officially established a new subsidiary in the
form of a joint venture company named PT Mustika Ratu Sugi,
with the Company holding a 51% ownership stake.
The ratification of the establishment has been published in the
State Gazette of the Republic of Indonesia dated July 8, 2025,
No. 54, pursuant to the Decree of the Minister of Law of the
Republic of Indonesia Number AHU-0052509.AH.01.01. Year
2025, and has been officially announced by the State Printing
Agency of the Republic of Indonesia (PNRI) under Number
01.054.018187.01.2025.
Impact of event, material information or At present, there is no material impact on the Company's
facts towards Issuers or Public operational activities, financial condition, and business
Company’s operational activities, legal, continuity. Should there be any significant changes or material
financial condition, or going concern impacts in the future, the Company will promptly disclose such
information in accordance with applicable regulations to
maintain transparency for shareholders and the public.
Other Information
This transaction does not constitute a Material Transaction as referred to in Financial Services Authority Regulation
No. 17/POJK.04/2020 dated April 20, 2020, concerning Material Transactions and Changes in Business Activities,
nor does it constitute an Affiliated Transaction as referred to in Financial Services Authority Regulation No.
42/POJK.04/2020 dated July 1, 2020, concerning Affiliated Transactions and Conflicts of Interest.
