Uraian Informasi atau Fakta Material Pada tanggal 17 Juli 2026 Perseroan, sebagai pihak pembeli,
dan Resources Global Development Limited (RGD), sebagai
pihak penjual, telah menandatangani Akta Jual Beli Saham
Nomor 24 dihadapan Yoke Reinata S.H., M.Kn. Notaris di
Jakarta (AJB). Penandatanganan AJB tersebut merupakan
pelaksanaan atas rencana pengambilalihan saham dalam PT
Deli Pratama Angkutan Laut (DPAL) oleh Perseroan sebanyak
6.125 saham seri A atau sebesar 50,52% saham seri A atau
49% dari seluruh saham yang telah ditempatkan dan disetor
penuh yang dimiliki oleh RGD dengan nilai transaksi sebesar
Rp.890.000.000.000,-.
Rencana Pengambilalihan tersebut telah disetujui oleh
pemegang saham independen dalam Rapat Umum Luar Biasa
Pemegang Sahan Independen yang diselenggarakan pada
tanggal 30 Juni 2026.
Dengan telah ditandatanganinya AJB, Perseroan telah
menjadi pemegang saham pengendali dari DPAL dengan
jumlah sebanyak 6.125 saham seri A atau sebesar 50,52%
saham seri A atau 49% dari seluruh saham yang telah
ditempatkan dan disetor DPAL.
Dampak kejadian, informasi atau fakta Dengan memiliki pengendalian terhadap DPAL (yang
material tersebut terhadap kegiatan merupakan perusahaan bidang jasa perkapalan dan
operasional, hukum, kondisi keuangan, transportasi laut), maka hal ini dapat meningkatkan laba
atau kelangsungan usaha Emiten atau Perseroan, menciptakan sinergi usaha, dan efisiensi
Perusahaan Publik operasional Perseroan yang memiliki entitas anak dibidang
pertambangan batu bara.

Description of Material Information or On July 17, 2026, the Company, as the buyer, and Resources
Facts Global Development Limited (RGD), as the seller have
executed Share Sale and Purchase Deed No. 24 executed
before Yoke Reinata, S.H., M.Kn., Notary in Jakarta (AJB).
The execution of AJB is the implementation of the Companys
share acquisition plan in PT Deli Pratama Angkutan Laut
(DPAL) for 6,125 Series A shares, representing 50.52% of the
Series A shares or 49% of all issued and fully paid-up shares
owned by RGD, with a transaction value of IDR
890,000,000,000.-.
The above acquisitions plan has been approved by the
independent shareholders in the Extraordinary General
Meeting of Independent Shareholders on June 30,2026.
Upon the execution of AJB, the Company has become the
controlling shareholder of DPAL with a total of 6,125 Series A
Shares, representing 50,52% of the Series A of 49% of total
issued and paid up capital of DPAL.
Impact of event, material information or As a shareholder of DPAL (a shipping and maritime
facts towards Issuers or Public transportation company), the company would experience
Company’s operational activities, legal, increased profits, business synergies, and operational
financial condition, or going concern efficiency of company owned entities within the coal mining
sector.
