Konawe Selatan, Provinsi Sulawesi Tenggara
(“TMMS”). Penyertaan modal dilakukan
oleh Perseroan dalam bentuk pengambilan
saham baru yang dikeluarkan oleh TMMS
sebanyak 150.000.000 (seratus lima puluh
juta) saham dengan nilai transaksi sebesar
Rp9.000.000.000,00 (sembilan miliar
Rupiah) (“Nilai Transaksi”) atau (9,76)% dari
total ekuitas Perseroan.

contribution in PT Tambang Meranti Mulia
Sejahtera, a limited liability company
established under the laws of the Republic of
Indonesia, having its address in Lapuko
Village, Moramo District, South Konawe
Regency, Southeast Sulawesi Province
(“TMMS”). The capital contribution was
made by the Company in the form of taking
new shares issued by TMMS amounting to
150,000,000 (one hundred and fifty million)
shares with a transaction value of
Rp9,000,000,000.00 (nine billion Rupiah)
(“Transaction Value”) or (9.76)% of the
Company’s total equity
Penyertaan modal ini telah dinyatakan
dalam Akta Pernyataan Keputusan Para
Pemegang Saham PT Tambang Meranti
Mulia Sejahtera No.25 tanggal 30 Juli 2025
yang dibuat di hadapan Arief Yulianto,

mendapatkan Penerimaan Pemberitahuan
Perubahan Anggaran Dasar TMMS dari
Kementerian Hukum Republik Indonesia
nomor AHU-AH.01.03-0200493 tanggal 30
Juli 2025, dan telah didaftarkan dalam
Daftar Perseroan yang diselenggarakan oleh
Kementerian Hukum Republik Indonesia
nomor AHU-0173523.AH.01.11.TAHUN
2025 tanggal 30 Juli 2025.

the Deed of Circular Resolution of TMMS
No. 25 dated 30 July 2025 made before Arief
Yulianto, Bachelor of Law, Master of Notary,
Notary in South Jakarta, which has obtained
Acknowledgment of Notification of
Amendment to the Articles of Association of
TMMS from the Ministry of Law of the
Republic of Indonesia under No. AHU-
AH.01.03-0200493 dated 30 July 2025, and
has been registered in the Company
Register maintained by the Ministry of Law
of the Republic of Indonesia under No. AHU-
0173523.AH.01.11.TAHUN 2025 dated 30
July 2025.
