Usaha, dengan ini kami sampaikan Laporan Informasi Material Transactions and Changes in Business
atau Fakta Material – Keterbukaan Informasi PT Activities, we hereby submit the Report on Material
Newport Marine Services Tbk (”Perseroan”) atas Information or Facts – Information Disclosure of PT
Pelaksanaan Transaksi Material Perolehan Fasilitas Newport Marine Services Tbk (the "Company")
Pinjaman dan Penjaminan Aset kepada PT Bank regarding the completion of a Material Transaction
Negara Indonesia (Persero) dengan uraian sebagai involving the procurement of a loan facility and the
berikut: provision of security over the Company's assets in
favor of PT Bank Negara Indonesia (Persero), with the

3. Uraian Informasi atau Fakta Material Pada hari Jumat, tanggal 17 Juli 2026, Perseroan telah
menandatangani Akta Kuasa Untuk Memasang Hipotik
dan Kuasa Untuk Menjual atas enam kapal milik
Detail of Information or Material Facts Perseroan yang dibuat di hadapan IMELDA NUR PANE,
Sarjana Hukum, Notaris di Kota Administrasi Jakarta
Selatan, sebagai bagian dari penyempurnaan
dokumentasi jaminan atas fasilitas kredit Perseroan
yang diperoleh dari PT Bank Negara Indonesia (Persero)
Tbk (”Bank”).
Penandatanganan Akta tersebut merupakan
pelaksanaan dari keputusan Rapat Umum Pemegang
Saham Luar Biasa Perseroan yang diselenggarakan pada
tanggal 12 Juni 2026, sebagaimana dituangkan dalam
Akta Berita Acara Rapat Umum Pemegang Saham Luar
Biasa Nomor 38 tanggal 12 Juni 2026 yang dibuat di
hadapan Dr. Sugih Haryati, S.H., M.Kn., Notaris di Kota
Administrasi Jakarta Selatan, yang telah menyetujui
pemberian kewenangan kepada Direksi Perseroan untuk
menjaminkan aset Perseroan dalam rangka
memperoleh fasilitas kredit dari lembaga jasa keuangan
perbankan sesuai ketentuan peraturan perundang-
undangan yang berlaku.
Penandatanganan Akta Kuasa Untuk Memasang Hipotik
dan Kuasa Untuk Menjual merupakan tahapan
pelaksanaan administratif yang diperlukan untuk
pembebanan hak jaminan kebendaan berupa hipotik
atas kapal-kapal Perseroan sebagai jaminan atas fasilitas
pembiayaan yang diperoleh Perseroan dari PT Bank
Negara Indonesia (Persero) Tbk.
Adapun kapal-kapal yang menjadi objek
penandatanganan adalah sebagai berikut:

Nilai pengikatan hipotik atas keenam kapal tersebut
berjumlah Rp148.500.000.000 (seratus empat puluh
delapan miliar lima ratus juta Rupiah) atau sekitar 38,4%
(tiga puluh delapan koma empat persen) dari total
ekuitas Perseroan berdasarkan Laporan Keuangan
Konsolidasian yang telah diaudit untuk tahun buku yang
berakhir pada tanggal 31 Desember 2025.
Berdasarkan Peraturan Otoritas Jasa Keuangan Nomor
17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha (POJK 17/2020), nilai
penjaminan tersebut merupakan Transaksi Material
karena melebihi 20% (dua puluh persen) dari ekuitas
Perseroan, namun tidak mencapai 50% (lima puluh
persen) dari ekuitas Perseroan sehingga tidak
memerlukan persetujuan Rapat Umum Pemegang
Saham berdasarkan ketentuan POJK tersebut.
Meskipun demikian, Perseroan tetap memperoleh
persetujuan pemegang saham melalui Rapat Umum
Pemegang Saham Luar Biasa tanggal 12 Juni 2026 karena
persetujuan tersebut merupakan salah satu hal yang
dipersyaratkan oleh PT Bank Negara Indonesia (Persero)
Tbk dalam rangka penyempurnaan dokumentasi
jaminan atas fasilitas kredit Perseroan.
On Friday, 17 July 2026, the Company executed the
Power of Attorney to Establish Ship Mortgages and the
Power of Attorney to Sell over six vessels owned by the
Company before IMELDA NUR PANE, Bachelor of Laws,
Notary in South Jakarta Administrative City, as part of
the completion of the security documentation relating
to the banking facilities obtained by the Company from
PT Bank Negara Indonesia (Persero) Tbk.
The execution of such notarial deeds constitutes the
implementation of the resolution of the Company's
Extraordinary General Meeting of Shareholders
("EGMS") held on 12 June 2026, as set out in Deed of
Minutes of the Extraordinary General Meeting of
Shareholders No. 38 dated 12 June 2026, drawn before
Dr. Sugih Haryati, S.H., M.Kn., Notary in South Jakarta
Administrative City, pursuant to which the shareholders
authorized the Board of Directors to encumber the
Company's assets in connection with the banking
facilities provided by PT Bank Negara Indonesia
(Persero) Tbk.
The Power of Attorney to Establish Ship Mortgages
authorizes PT Bank Negara Indonesia (Persero) Tbk to
establish ship mortgages over the Company's vessels as
security for the banking facilities, while the Power of
Attorney to Sell authorizes PT Bank Negara Indonesia

(Persero) Tbk to dispose of the secured vessels in the
event of default, in accordance with the terms and
conditions of the relevant credit agreements and the
applicable laws and regulations.
The vessels subject to the executed powers of attorney
are as follows:

The aggregate mortgage value amounts to
IDR148,500,000,000, representing approximately 38.4%
of the Company's total equity based on its audited
consolidated financial statements for the financial year
ended 31 December 2025.
Pursuant to Financial Services Authority Regulation
No.17/POJK.04/2020 concerning Material Transactions
and Changes in Business Activities (“POJK17/2020), the
security constitutes a Material Transaction as its value
exceeds twenty percent (20%) of the Company's equity.
However, since the aggregate value does not reach fifty
percent (50%) of the Company's equity, the transaction
does not require prior approval from the General
Meeting of Shareholders under the applicable capital
market regulations.
Nevertheless, the Company obtained shareholders'
approval at the EGMS held on 12 June 2026, as such
approval constituted one of the conditions required by
PT Bank Negara Indonesia (Persero) Tbk for the
completion of the security documentation relating to
the Company's banking facilities.
4. Dampak kejadian, informasi atau fakta material Penandatanganan Akta Kuasa Untuk Memasang Hipotik
tersebut terhadap kegiatan operasional, hukum, dan Kuasa Untuk Menjual merupakan pelaksanaan
kondisi keuangan, atau kelangsungan usaha keputusan Rapat Umum Pemegang Saham Luar Biasa
Perseroan Perseroan serta penyempurnaan dokumentasi jaminan
atas fasilitas kredit Perseroan. Pelaksanaan tersebut
tidak memberikan dampak material terhadap kegiatan
operasional, kondisi keuangan, maupun kelangsungan
usaha Perseroan, dan semakin memperkuat kepastian
hukum atas pengikatan jaminan sesuai dengan
ketentuan peraturan perundang-undangan yang
berlaku.

The execution of the Power of Attorney to Establish Ship
Mortgages and the Power of Attorney to Sell constitutes
the implementation of the Extraordinary General
Meeting of Shareholders resolution and the completion
of the Company's security documentation relating to its
banking facilities. Such execution does not have any
material impact on the Company's operational activities,
financial condition, or business continuity, while further
strengthening the legal certainty of the security
arrangement in accordance with the applicable
laws and regulations.
