Uraian Informasi atau Fakta Material Sehubungan dengan proses Uji Tuntas yang dilaksanakan
Rich Step Internasional Ltd. (RICH) terhadap PT Bangun
Karya Perkasa Jaya Tbk. (Perseroan) untuk melaksanakan
pengambilan saham melalui pemegang saham yakni PT
Bangun Karya Artha Lestari, Bapak Hok Gwan (Dharmo
Budiono), Ibu Brigitta Notoatmodjo, dan Bapak Pramana
Budihardjo yang dalam Keterbukaan Informasi ini disebut
dengan (Calon Penjual) yang akan menyebabkan terjadinya
perubahan pengendalian Perseroan, bersama ini disampaikan
beberapa hal sebagai berikut:
A. Pada tanggal 28 Juli 2025, RICH telah melakukan
penyelesaian Uji Tuntas dan atas hasil Uji Tuntas tersebut,
RICH berencana untuk melanjutkan akusisi atas saham-
saham dari Calon Penjual (Akuisisi) sesuai dengan ketentuan
dan perundang-undangan yang berlaku dibidang pasar modal
termasuk namun tidak terbatas pada Peraturan OJK No.
9/POJK.04/2018 tentang Pengambilalihan Perusahaan
Terbuka.
B. RICH bersama dengan pihak ditunjuk lainnya akan
melakukan pembelian saham 62% (enam puluh dua persen)
dari modal disetor dan ditempatkan penuh dalam Perseroan
atau sebesar 1.031.645.000 (satu miliar tiga puluh satu juta
enam ratus empat puluh lima ribu) dari Calon Penjual dimana
akan dialokasikan kepada pihak-pihak yakni Green City SG
Pte., Ltd. (GCSG) sebuah perusahaan terbatas berdasarkan
hukum negara Singapura, berdomisili di 60 PAYA LEBAR
ROAD, #11-53, PAYA LEBAR SQUARE, SINGAPORE
409051 dimana GCSG mayoritas dimiliki oleh RICH, Yang Jie
dan PT Green Power Group Tbk. (Calon Pembeli) dengan
komposisi yang akan diberitahukan lebih lanjut.
C. Efektif setelah pengambil-alihan dilaksanakan,
Perseroan akan melaksanakan Rapat Umum Pemegang
Saham Luar Biasa (RUPSLB) yang rencananya akan
dilaksanakan pada tanggal 26 Agustus 2025 dalam rangka
penyelesaian transaksi Akuisisi tersebut.
D. Dalam rangka menciptakan bisnis yang berkelanjutan
pada sektor kendaraan listrik (Electronic Vehicle/EV), RICH
berencana untuk melakukan konsolidasi bisnis pada
Perseroan dengan melaksanakan penyertaan sebesar 51%
(lima puluh satu persen) pada suatu perusahaan EV yang
akan di umumkan kemudian (Perusahaan EV).
Dampak kejadian, informasi atau fakta Dengan telah selesainya Uji Tuntas yang dilakukan oleh
material tersebut terhadap kegiatan Pembeli Baru akan berdampak kepada pengambilalihan
operasional, hukum, kondisi keuangan, Perseroan oleh Pembeli Baru dan diharapkan kedepannya
atau kelangsungan usaha Emiten atau akan memberikan nilai tambah kepada Perseroan untuk
Perusahaan Publik masuk dalam rencana pengembangan Perseroan
kedepannya.

Confirmation of Due Diligence Completion in Relation to the
Type of Material Information or Facts Takeover Plan and Disclosure of Material Information or Facts.

Description of Material Information or In connection with the Due Diligence process conducted by
Facts Rich Step International Ltd. (RICH) on PT Bangun Karya
Perkasa Jaya Tbk. (the Company) to carry out the acquisition
of shares through the shareholders, namely PT Bangun Karya
Artha Lestari, Mr. Hok Gwan (Dharmo Budiono), Mrs. Brigitta
Notoatmodjo, and Mr. Pramana Budihardjo, who in this
Disclosure of Information are referred to as the Prospective
Sellers, which will result in a change of control of the
Company, we hereby convey the following:
A. On July 28, 2025, RICH has completed the Due
Diligence process and based on the results thereof, RICH
intends to proceed with the acquisition of shares from the
Prospective Sellers (the Acquisition) in accordance with the
prevailing laws and regulations in the capital market sector,
including but not limited to OJK Regulation No. 9/POJK.
04/2018 concerning the Takeover of Public Companies.
B. RICH, along with other designated parties, will
acquire 62% (sixty-two percent) of the issued and fully paid-up
capital of the Company, or a total of 1,031,645,000 (one billion
thirty-one million six hundred forty-five thousand) shares from
the Prospective Sellers. The shares will be allocated to the
parties, namely Green City SG Pte., Ltd. (GCSG), a private
limited company incorporated under the laws of Singapore,
domiciled at 60 PAYA LEBAR ROAD, #11-53, PAYA LEBAR
SQUARE, SINGAPORE 409051, where GCSG is majority-
owned by RICH, Yang Jie, and PT Green Power Group Tbk.
(the Prospective Buyers) with a composition to be further
announced.
C. Effective upon the completion of the takeover, the
Company will convene an Extraordinary General Meeting of
Shareholders (EGMS), which is planned to be held on August
26, 2025, for the purpose of finalizing the Acquisition
transaction.
D. In order to create a sustainable business in the
electric vehicle (EV) sector, RICH plans to consolidate its
business with the Company by making a 51% (fifty-one
percent) investment in an EV company, 3which will be
announced at a later date (the EV Company).
Impact of event, material information or With the completion of the Due Diligence carried out by the
facts towards Issuers or Public New Buyer, it will have an impact on the takeover of the
Company’s operational activities, legal, Company by the New Buyer and is expected to provide added
financial condition, or going concern value to the Company in the future to be included in the
Companys future development plans.
