Jenis Informasi atau Fakta Material Pembelian atau penjualan aset yang sifatnya penting
Uraian Informasi atau Fakta Material Transaksi jual beli 4 (empat) buah kapal milik Perseroan yaitu
berupa 2 (dua) set kapal jenis tug boat dan 2 (dua) set kapal
jenis tongkang kepada PT Global Marindo Perkasa (GMP)
(selanjutnya disebut sebagai Transaksi).
Transaksi telah dilaksanakan berdasarkan rincian sebagai
berikut:
1) Akta Jual Beli Kapal No. 74 tanggal 21 Juli 2025 antara
Perseroan dan GMP atas Kapal BG Kaltim FT 36-07 jenis
Barge berdasakan Grosse Akta No. 8617 tanggal 31 Januari
2019, dengan harga sebesar Rp. 6.850.000.000,- (enam miliar
delapan ratus lima puluh juta Rupiah);
2) Akta Jual Beli Kapal No. 75 tanggal 21 Juli 2025 antara
Perseroan dan GMP atas Kapal BG Kaltim FT 36-09 jenis
Barge berdasarkan Grosse Akta No. 8607 tanggal 29 Januari
2019, dengan harga sebesar Rp. 6.900.000.000,- (enam miliar
sembilan ratus juta Rupiah);
3) Akta Jual Beli Kapal No. 76 tanggal 21 Juli 2025 antara
Perseroan dan GMP atas Kapal TB Kaltim Dolphin 10-17 jenis
Tug Boat berdasarkan Grosse Akta No. 8624 tanggal 31
Januari 2019, dengan harga sebesar Rp. 4.150.000.000,-
(empat miliar seratus lima puluh juta Rupiah); dan
4) Akta Jual Beli Kapal No. 77 tanggal 21 Juli 2025 antara
Perseroan dan GMP atas Kapal TB Kaltim Dolphin 10-19 jenis
Tug Boat berdasarkan Grosse Akta No. 8622 tanggal 31
Januari 2019, dengan harga sebesar Rp. 4.100.000.000,-
(empat miliar seratus juta Rupiah).

- Direksi Perseroan telah menerapkan dan melaksanakan prinsip kehati-hatiannya (duty of care) secara wajar guna
mendasari setiap tindakan dan keputusannya dalam rangka Fiduciary Duty atas keputusan tersebut guna kepentingan
terbaik dan akan memberikan manfaat bagi Perseroan; - Direksi Perseroan telah memastikan bahwa Transaksi ini
dilaksanakan sesuai dengan praktik bisnis yang berlaku umum (arm s-length principle) dan semua informasi yang telah
diungkapkan dalam laporan ini tidak menyesatkan; - Transaksi ini bukan merupakan transaksi benturan kepentingan
sebagaimana disebutkan dalam Peraturan Otoritas Jasa KeuanganNo. 42/POJK.04/2020 Tahun 2020 tentang Transaksi
Afiliasi dan Transaksi Kebenturan Kepentingan dan bukan merupakan transaksi material sebagaimana didefinisikan
dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 Tahun 2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.

Description of Material Information or The sale and purchase transaction of 4 (four) vessels of the
Facts Company consisting of 2 (two) sets of tug boat and 2 (two)
sets of barges, to PT Global Marindo Perkasa (GMP)
(hereinafter referred to as the Transaction).
The Transaction has been conducted pursuant to the following
details:
1) Deed of Sale and Purchase of Vessel No. 74 dated 21 July
2025 between the Company and GMP for BG Kaltim FT 36-07
Barge Vessel based on the Executorial Deed No. 8617 dated
31 January 2019, in the amount of Rp. 6.850.000.000,- (six
billion eight hundred fifty million Rupiah);
2) Deed of Sale and Purchase of Vessel No. 75 dated 21 July
2025 between the Company and GMP for BG Kaltim FT 36-09
Barge Vessel based on the Executorial Deed No. 8607 dated
29 January 2019, in the amount of Rp. 6.900.000.000,- (six
billion nine hundred million Rupiah);
3) Deed of Sale and Purchase of Vessel No. 76 dated 21 July
2025 between the Company and GMP for TB Kaltim Dolphin

carried out in accordance with generally accepted business practices (arm's-length principle) and that all
information disclosed in this report is not misleading; - This Transaction is not a conflict-of-interest transaction as
stated in the Financial Services Authority Regulation No. 42/ POJK.04/2020 of 2020 concerning Affiliated
Transactions and Conflict of Interest Transactions and it is not a material transaction as defined in the Financial
Services Authority Regulation No. 17/POJK.04/2020 of 2020 concerning Material Transactions and Changes in
Business Activities.
