Uraian Informasi atau Fakta Material 1. Berdasarkan Prospektus, indikasi timeline penyelenggaraan
Pengadaan Pembelian Tenaga Listrik (PPTL) oleh PT PLN
(Persero) (PLN) untuk proyek SS dan LO ditargetkan
berlangsung pada Semester I dan Semester II tahun 2025,
yang selanjutnya menjadi dasar bagi indikasi penyaluran dana
hasil Penawaran Umum serta pembukaan rekening bank
Project Development Cost Account (PDCA).
2. Sampai dengan tanggal Keterbukaan Informasi ini
disampaikan, PLN belum menerbitkan
undangan/menyelenggarakan proses PPTL untuk diikuti oleh
anak usaha Perseroan, yaitu PT Siantar Sitanduk Energi
(SSE) yang menjalankan proyek SS. Adapun PT Multiprima
Hidro Energi (MHE) yang menjalankan proyek LO sedang
mengikuti proses PPTL yang diselenggarakan PLN di tahun
ini, sehingga penyaluran dana hasil Penawaran Umum belum
dapat dilaksanakan sesuai dengan indikasi timeline yang
tercantum dalam Prospektus.
3. Terdampak dari belum terselenggaranya atau belum
selesainya proses PPTL oleh PLN tersebut, realisasi
penggunaan dana hasil Penawaran Umum yang seharusnya
disalurkan pada Semester I dan/atau Semester II tahun 2025
mengalami penundaan (delay), dan sampai dengan saat ini
belum dapat direalisasikan sesuai dengan rencana
penggunaan dana sebagaimana diungkapkan dalam
Prospektus.
4. Sesuai dengan Prospektus, sepanjang PPTL belum
dimenangkan atau Power Purchase Agreement (PPA) belum
ditandatangani, Perseroan akan menempatkan dana hasil
Penawaran Umum pada instrumen yang aman dan likuid,
seperti rekening bank atau time deposit pada bank yang
kredibel.
5. Perseroan selanjutnya terus memantau perkembangan
proses PPTL dari PLN dan akan menyampaikan Keterbukaan
Informasi lebih lanjut kepada Otoritas Jasa Keuangan (OJK)
dan publik apabila terdapat perkembangan material atas hal
tersebut. Adapun pada saat Keterbukaan Informasi ini dibuat,
penyesuaian target waktu adalah berikut ini,
a. Linimasa Proyek SS
(i) Indikasi penyelesaian penyelenggaraan PPTL oleh PLN
menjadi Semester I Tahun 2027;
(ii) Indikasi penyaluran dana hasil penawaran umum perdana
saham menjadi pada Semester II Tahun 2027;
(iii) Indikasi pembukaan rekening bank PDCA menjadi pada
Semester II Tahun 2027.
b. Linimasa Proyek LO
(i) Indikasi penyelesaian penyelenggaraan PPTL oleh PLN
menjadi Semester II Tahun 2026;
(ii) Indikasi penyaluran dana hasil penawaran umum perdana
saham menjadi pada Semester I Tahun 2027;
(iii) Indikasi pembukaan rekening bank PDCA menjadi pada
Semester I Tahun 2027.

Dampak kejadian, informasi atau fakta a. Terhadap Kegiatan Operasional
material tersebut terhadap kegiatan Penundaan penyelenggaraan PPTL oleh PLN menyebabkan
operasional, hukum, kondisi keuangan, tertundanya proses pembangunan pembangkit listrik yang
atau kelangsungan usaha Emiten atau direncanakan pada proyek SS dan proyek LO, termasuk
Perusahaan Publik tahapan pengadaan, konstruksi, dan operasional komersial
(Commercial Operation Date) pembangkit dimaksud. Namun
demikian, penundaan ini tidak mengganggu kegiatan
operasional Perseroan secara keseluruhan yang berjalan saat
ini.
b. Terhadap Aspek Hukum
Tidak terdapat dampak hukum yang material bagi Perseroan,
mengingat penundaan disebabkan oleh belum
terselenggaranya proses PPTL oleh PLN sebagai pihak
eksternal, bukan disebabkan oleh kelalaian atau pelanggaran
ketentuan hukum oleh Perseroan. Perseroan tetap berpegang
pada rencana penggunaan dana sebagaimana diungkapkan
dalam Prospektus dan akan menyesuaikan realisasinya begitu
proses PPTL terlaksana.
c. Terhadap Kondisi Keuangan
Selama dana hasil Penawaran Umum belum disalurkan untuk
keperluan proyek, dana tersebut ditempatkan pada instrumen
keuangan yang aman dan likuid seperti rekening bank/time
deposit, sehingga dana tetap memberikan hasil (yield) bagi
Perseroan dan tidak mengalami penurunan nilai. Kondisi
keuangan Perseroan secara umum tidak terpengaruh secara
material akibat penundaan ini.
d. Terhadap Kelangsungan Usaha
Penundaan ini tidak berdampak signifikan terhadap
kelangsungan usaha (going concern) Perseroan, mengingat
proyek pembangkit listrik dimaksud merupakan salah satu
rencana pengembangan usaha jangka menengah-panjang,
sementara kegiatan usaha utama Perseroan tetap berjalan
lancar. Perseroan selalu berkoordinasi dengan PLN dan
pemangku kepentingan terkait untuk mempercepat proses
PPTL agar rencana penggunaan dana dapat segera
direalisasikan.

Description of Material Information or 1. Based on the Prospectus, the indicative timeline for the
Facts Electricity Procurement (Pengadaan Pembelian Tenaga Listrik,
PPTL) to be conducted by PT PLN (Persero)(PLN) for the SS
and LO projects was targeted to take place in Semester I and
Semester II of 2025, which will then become the basis for the
indication of the distribution of funds from the Public Offering
and the opening of a Project Development Cost Account
(PDCA) bank account.
2. As of the date of this Material Information Disclosure, PLN
has not yet invited to, or commenced, the electricity
procurement process for the Company's subsidiary, PT Siantar
Sitanduk Energi (SSE), which is developing the SS Project.
Meanwhile, PT Multiprima Hidro Energi (MHE), which is
developing the LO Project, is currently participating in the
electricity procurement process being conducted by PLN this
year. Accordingly, the utilization of the proceeds from the Initial
Public Offering has not been carried out in accordance with the
indicative timeline set out in the Prospectus.
3. As a result of the PPTL not yet having been conducted or
completed by PLN, the realization of the use of proceeds from
the Public Offering, which was originally scheduled to be used
in the Semester I and/or Semester II of 2025, has been
delayed, and as of the date, has not been realized in
accordance with the plan for the use of funds as disclosed in
the Prospectus.
4. In accordance with the Prospectus, for as long as the PPTL
has not been won or the Power Purchase Agreement (PPA)
has not been signed, the Company will place the proceeds
from the Public Offering in safe and liquid instruments such as
bank accounts or time deposits with a credible bank.
5. The Company will continue to monitor developments in the
PPTL process by PLN and will submit further Information
Disclosures to the Financial Services Authority (Otoritas Jasa
Keuangan, OJK) and the public in the event of any material
developments in this regard. As of the date of this Material
Information Disclosure, the adjustment to the targeted timeline
is as follows:
a. SS Project Timeline
(i) The indicative completion of the Electricity Procurement
(PPTL) arrangement by PLN is expected in the Semester I of
2027;
(ii) The indicative utilization of the proceeds from the Initial
Public Offering is expected in the Semester II of 2027; and
(iii) The indicative opening of the PDCA bank account is
expected in the Semester II of 2027.
b. LO Project Timeline
(i) The indicative completion of the Electricity Procurement
(PPTL) process by PLN is expected in Semester II of 2026;
(ii) The indicative utilization of the proceeds from the Initial
Public Offering is expected in the Semester I of 2027; and
(iii) The indicative opening of the PDCA bank account is
expected in the Semester I of 2027.

Impact of event, material information or a. Impact on Operational Activities
facts towards Issuers or Public The delay in the conduct of the PPTL by PLN has resulted in
Company’s operational activities, legal, the postponement of the power plant development process
financial condition, or going concern planned by SS Project and LO Project, including the
procurement, construction, and Commercial Operation Date
(COD) stages of the plants in question. Nevertheless, this
delay does not disrupt the Company's overall operational
activities currently in progress.
b. Impact on Legal Aspects
There is no material legal impact on the Company, given that
the delay is caused by the PPTL process not yet having been
conducted by PLN, as an external party, and is not caused by
any negligence or violation of legal provisions on the part of
the Company. The Company continues to hold on to the plan
for the use of funds as disclosed in the Prospectus and will
adjust the realization once the PPTL process has been carried
out.
c. Impact on Financial Condition
For as long as the proceeds from the Public Offering have not
been distributed for project purposes, such funds are placed in
safe and liquid financial instruments, such as bank
accounts/time deposits, so that the funds continue to generate
yield for the Company and do not decrease in value. The
Company's financial condition is generally not materially
affected by this delay.
d. Impact on Business Continuity
This delay does not have a significant impact on the
Company's business continuity (going concern), considering
that the power plant project in question is one of the
Company's medium to long-term business development plans,
while the Company's core business activities continue to run
smoothly. The Company continuously coordinates with PLN
and relevant stakeholders to accelerate the PPTL process so
that the plan for the use of funds can be realized as soon as
possible.
