Uraian Informasi atau Fakta Material Berdasarkan Akta No.21 tertanggal 15 Juli 2025 yang dibuat
oleh Nurhasanah, S.H., M.Kn, berkedudukan di Jakarta Barat,
terdapat perubahan pada Pasal 4 tentang Modal ayat (3);
Akta tersebut diterima oleh Perseroan pada tanggal 16 Juli
2025.
Berikut ringkasan sebelum dan sesudah perubahan Anggaran
Dasar Perseroan pada Pasal 4 ayat (3):

(3) 100% (seratus persen) dari nilai nominal setiap saham
yang ditempatkan tersebut di atas, atau seluruhnya berjumlah
Rp18.332.900.000.000,00 (delapan belas triliun tiga ratus tiga
puluh dua miliar sembilan ratus juta rupiah) telah disetor
penuh oleh Para Pemegang Saham dengan perincian sebagai
berikut:
a. Negara Republik Indonesia sebanyak 1 (satu) lembar
saham seri A Dwiwarna dengan nilai nominal seluruhnya Rp1.
000.000,00 (satu juta rupiah); dan
b. PT Biro Klasifikasi Indonesia (Persero) sebanyak
18.332.899 (delapan belas juta tiga ratus tiga puluh dua ribu
delapan ratus sembilan puluh sembilan) lembar saham Seri B,
dengan nilai nominal seluruhnya sebesar Rp18.

dua miliar delapan ratus sembilan puluh sembilan juta rupiah)

Modal
(3) 100% (seratus persen) dari nilai nominal setiap saham
yang ditempatkan tersebut di atas, atau seluruhnya berjumlah
Rp18.332.900.000.000,00 (delapan belas triliun tiga ratus tiga
puluh dua miliar sembilan ratus juta rupiah) telah disetor
penuh oleh Pemegang Saham dengan perincian sebagai
berikut:
a. Negara Republik Indonesia sebanyak 1 (satu) lembar
saham seri A Dwiwarna dengan nilai nominal seluruhnya Rp1.
000.000,00 (satu juta rupiah); dan
b. PT Danantara Asset Management (Persero)
sebanyak 18.332.899 (delapan belas juta tiga ratus tiga puluh
dua ribu delapan ratus sembilan puluh sembilan) lembar
saham Seri B, dengan nilai nominal seluruhnya sebesar Rp18.

Dampak kejadian, informasi atau fakta Tidak terdapat dampak material terhadap Perseroan atas
material tersebut terhadap kegiatan informasi dimaksud. Perseroan akan tetap menjalankan
operasional, hukum, kondisi keuangan, kegiatan usahanya dengan tetap memperhatikan prinsip
atau kelangsungan usaha Emiten atau kepatuhan terhadap ketentuan peraturan perundang-

Description of Material Information or Based on Deed No. 21 dated July 15, 2025, drawn up by
Facts Nurhasanah, S.H., M.Kn, a Notary domiciled in West Jakarta,
the following amendments have been made Article 4
concerning Capital, paragraphs (3).
The deed was received by the Company on July 16, 2025.
The summary of the amendments to the Articles of Association
of the Company in Article 4 paragraph (3) is as follows:

Capital
(3) 100% (one hundred percent) of the nominal value of the
subscribed shares, or a total amount of IDR
18.332.900.000.000,00 (eighteen trillion three hundred thirty-
two billion nine hundred million Rupiah), has been fully paid up
by the Shareholders with the following breakdown:
a. The Republic of Indonesia holds 1 (one) Series A
Dwiwarna share with a nominal value of IDR 1.000.000,00
(one million Rupiah); and
b. PT Biro Klasifikasi Indonesia (Persero) holds
18.332.899 (eighteen million three hundred thirty-two thousand
eight hundred ninety-nine) Series B shares with a total nominal
value of IDR 18.332.899.000.000,00 (eighteen trillion three
hundred thirty-two billion eight hundred ninety-nine million
Rupiah).

Impact of event, material information or There is no material impact on the Company from the
facts towards Issuers or Public information in question. The Company will continue to carry out
Company’s operational activities, legal, its business activities while still paying attention to the principle
financial condition, or going concern of compliance with regulations and good corporate
governance.
