TRANSCOA/.LPACIFIC Rabu, 9 Juli 2025 Date of Event: Wednesday, July 9, 2025 PT Transcoal Pacific Tbk (“Perseroan”) telah menandatangani Perjanjian Pengangkutan Bijih Nikel (“Kontrak”) dengan salah satu perusahaan tambang bijih nikel di Sulawesi Tenggara, Indonesia (“Pelanggar”). Information or Material 2 PT Transcoal Pacific Tbk (the “Company”) has signed the Nickel Ore Transportation Services Agreement (the “Contract”) with one of the nickel ore mining companies in Southeast Sulawesi, Indonesia (the “Customer”). 3. | Uraian Informasi atau Fakta Material Jenis dan Nilai Transaksi a. Pengangkutan Bijih Nikel melalui laut dengan menggunakan kapal motor jenis bulk carier dari pelabuhan muat ke pelabuhan bongkar yang ditentukan oleh Pelanggan sebagaimana diatur dalam Kontrak. b. Periode kontrak: 5 (lima) tahun dan selanjutnya diperpanjang selama 5 (lima) tahun. c. Estimasi total volume kargo angkutan selama 10 tahun: 100.000.000 MT (seratus juta metrik ton) dengan tunduk pada ketentuan yang terdapat pada Kontrak. d. Estimasi nilai kontrak: USD 885 juta. Penjelasan ada tidaknya hubungan afiliasi dengan Pelanggan Perseroan tidak mempunyai hubungan afiliasi dengan Pelanggan. Fact Type and Value of Transaction a. Transportation of nickel ore by sea using bulk carrier motor vessel from loading port to discharging port as specified by the Customer in accordance with the provision set out in the Contract. b. Contract period: 5 (five) years and will be extended for another 5 (five) years. c. Estimated total cargo transport volume for 10 (ten) years: 100,000,000 MT (one hundred million metric tons), subject to the terms and conditions set forth in the Contract. d. Estimated contract value: USD 885 million. Explanation of whether or not there is an affiliate relationship with the Customer The Company has no affiliate relationship with the Customer. Infori Kegiatan Operasional Kegiatan ini berdampak positif terhadap operasional Perseroan, di mana Perseroan memperoleh kepercayaan dari Pelanggan untuk melaksanakan pengangkutan bijih nikel milik Pelanggan, sehingga memperkuat posisi Perseroan dalam menjalankan usahanya di bidang jasa logistik dan transportasi. Hukum Perseroan — berkewajiban — untuk mengangkut dan menyerahkan bijih nikel milik Pelanggan sesuai dengan ketentuan yang diatur dalam Kontrak. Kondisi Keuangan Perseroan berhak untuk menerima pembayaran biaya pengangkutan bijih nikel sesuai dengan ketentuan yang diatur dalam Kontrak. Kelangsungan Usaha Kelangsungan usaha tetap terjaga dan terjamin dengan baik. rmation or Material Fact: Operational Activities Has a positive impact on the Company's operational activities since the Company has obtained trust from the Customer as the transporter of nickel ore owned by the Customer, thereby strengthening the Company's position in conducting its business in the logistics — and transportation services sector. Law The Company is obliged to transport and deliver the Customers nickel ore in accordance with the provisions stipulated in the Contract. Financial Condition The Company has the right to receive payment for the transport of nickel ore in accordance with the provisions stipulated in the Contract.
