Jenis Informasi atau Fakta Material Penjaminan Perusahaan antara PT Mitra Energi Gas
Sumatera (MEGS) dengan PT Mitra Energi Pelayaran (MEP),
keduanya merupakan anak-anak perusahaan yang seluruh
sahamnya dimiliki secara langsung dan tidak langsung oleh
Perseroan
Uraian Informasi atau Fakta Material Terkait pernyataan kesanggupan dan pemberian jaminan
kepada PT Bank Negara Indonesia (Persero) Tbk (BNI) atas
fasilitas kredit tanggal 1 Juli 2025 yang diberikan secara
langsung kepada MEP sebesar Rp1.826.000.000.000 (satu
triliun delapan ratus dua puluh enam miliar Rupiah) (Fasilitas
Kredit), dimana (i) Perusahaan memberikan pernyataan
kesanggupan dan MEGS bertindak sebagai pemberi jaminan;
serta (ii) BNI sebagai penerima pernyataan kesanggupan dan
jaminan.
Adapun pernyataan kesanggupan dan pemberian jaminan
yang diberikan kepada BNI terdiri dari:
a. Pernyataan kesanggupan Perusahaan untuk
mencadangkan USD 3.500.000 (tiga juta lima ratus ribu Dolar
Amerika Serikat) setiap 2 (dua) bulan sebelum akhir periode
laporan keuangan tahunan, selama 10 (sepuluh) tahun
berturut-turut sebagai sumber kas alternatif untuk pembayaran
kewajiban MEP sebagai penerima kredit kepada BNI sesuai
Fasilitas Kredit;
b. Gadai saham MEGS sebanyak 10.967 (sepuluh ribu
sembilan ratus enam puluh tujuh) lembar saham di MEP; dan
c. Penjaminan perusahaan oleh MEGS.

Corporate Guarantee between PT Mitra Energi Gas Sumatera
Type of Material Information or Facts (MEGS) and PT Mitra Energi Pelayaran (MEP), both are
subsidiaries whose entire shares are directly and indirectly
owned by the Company.
Description of Material Information or In relation to the provision of undertaking and corporate
Facts guarantee of credit facility dated 1 July 2025 from PT Bank
Negara Indonesia (Persero) Tbk (BNI) to MEP in the amount
of IDR1,826,000,000,000 (one trillion eight hundred twenty six
billion Indonesian Rupiah) (Credit Facility), whereby (i) the
Company as the undertaking provider and MEGS acts as a
guarantor and (ii) BNI as the recipient of undertaking provision
and guaranteed beneficiary party.
Types of undertaking provision and guarantee provided to BNI:
a. Undertaking by the Company to reserve USD
3,500,000 (three million five hundred thousand US dollars)
every 2 (two) months before the end of the annual financial
report period, for 10 (ten) consecutive years as an alternative
cash source for payment of the MEPs obligations to PT Bank
BNI according to the Credit Facility;
b. Pledge of MEGS share in MEP in the amount of
10.967 (ten thousand nine hundred sixty-seven) shares; and
c. Corporate guarantee by MEGS.
