Uraian Informasi atau Fakta Material Jenis Aset
2 (dua) unit lahan terletak di Wilayah Galala, Kecamatan Oba
Utara, Kota Tidore Kepulauan, Propinsi Maluku Utara, dengan
keterangan sebagai berikut:
1. 1 (satu) unit lahan seluas 4.789 m2 dengan Sertifikat
Elektronik Hak Milik, (HGB) Elektronik dengan Nomor
Identifikasi Bidang (NIB) 27.04.000000531.0, Edisi 1, terdaftar
atas nama Tommy Budi Setiawan Ardi.
2. 1 (satu) unit lahan seluas 1.327 m2 dengan sertifikat
Hak Guna Bangunan (HGB) Elektronik dengan Nomor
Identifikasi Bidang (NIB) 27.04.000000540.0, Edisi 1, terdaftar
atas nama Tommy Budi Setiawan Ardi.
Nilai Transaksi
Total nilai transaksi sesuai penilaian internal Perseroan telah
memenuhi tingkat kewajaran yang berlaku umum, yaitu
sebesar Rp4.495.260.000,- (empat miliar empat ratus
sembilan puluh lima juta dua ratus enam puluh ribu rupiah)
dengan keterangan sebagai berikut :
1. 1 (satu) unit lahan seluas 4.789 m2, sebesar Rp3.
519.915.000,- (tiga miliar lima ratus sembilan belas juta
sembilan ratus lima belas ribu rupiah).
2. 1 (satu) unit lahan seluas 1.327 m2, sebesar Rp975.
345.000,- (sembilan ratus tujuh puluh lima juta tiga ratus
empat puluh lima ribu rupiah).
Berdasarkan laporan keuangan tahunan tahun buku 2024
yang telah diaudit, total nilai transaksi tersebut diatas memiliki
nilai dibawah 20% (dua puluh persen) dari total nilai ekuitas
Perseroan.
Pihak-pihak yang bertransaksi
a. Tommy Budi Setiawan Ardi (Penjual)
b. PT Carsurin Tbk (Pembeli)
Penjelasan ada tidaknya hubungan afiliasi
Perseroan tidak mempunyai hubungan afiliasi dan/atau
benturan kepentingan dengan pihak penjual. Sumber
Pendanaan untuk pembelian Sumber pendanaan atas rencana
Transaksi Pembelian Lahan sebesar Rp4.495.260.000,-
(empat miliar empat ratus sembilan puluh lima juta dua ratus
enam puluh ribu rupiah) akan menggunakan kas Perseroan.
Bahwa berdasarkan laporan keuangan tahunan Perseroan
tahun buku 2024 yang telah diaudit, pembelian lahan tersebut
diatas memiliki nilai transaksi dibawah 20% (dua puluh persen)
dari total nilai ekuitas Perseroan, sehingga berdasarkan POJK
17/POJK.04/2020 pasal 11, transaksi tersebut dapat dilakukan
tanpa penilai.

Dampak kejadian, informasi atau fakta Kegiatan Operasional
material tersebut terhadap kegiatan Berdampak positif terhadap kegiatan operasional Perseroan,
operasional, hukum, kondisi keuangan, guna melakukan kegiatan utama serta menunjang
atau kelangsungan usaha Emiten atau pengembangan aktivitas bisnis perseroan.

Beralihnya seluruh hak dan kepemilikan Aset dari Pihak
Penjual kepada Pihak Pembeli.
Kondisi Keuangan
Transaksi pembelian lahan yang akan difungsikan sebagai
kantor cabang dan/atau laboratorium Perseroan akan
menimbulkan dampak penurunan terhadap kas Perseroan dan
bertambahnya aset yang dimiliki Perseroan.

Description of Material Information or Asset Types
Facts 2 (two) units of land with an area located in Wilayah Galala,
North Oba, Tidore Kepulauan City, North Maluku Province,
with the following information:
1. 1 (one) unit of land with an area of 4.789 m2 with a
SHM (Certificate of Ownership), Electronic Land Parcel
Identification Number (NIB) 27.04.000000531.0, Edition 1,
certificate in the name of Tommy Budi Setiawan Ardi.
2. 1 (one) unit of land with an area of 1.327 m2 with a
SHGB (Building Use Rights), Electronic Parcel Identification
Number (NIB) 27.04.000000540.0, Edition 1, certificate in the
name of Tommy Budi Setiawan Ardi.
Transaction Value
The total transaction value according to the Company's
internal assessment has met the generally applicable fairness
level, which is IDR4.495.260.000,- (four billion four hundred
ninety five million two hundred sixty thousands rupiah) with the
following information:
1. 1 (one) unit of land with an area of 4.789 m2,
amounting to IDR3.519.915.000,- (three billion five hundred
nineteen million nine hundred fifty thousands rupiah).
2. 1 (one) unit of land with an area of 1.327 m2,
amounting to IDR975.345.000,- (nine hundred seventy five
million three hundred forty five thousands rupiah).
Based on the audited annual financial statements for the 2024
financial year, the total transaction value mentioned above has
a value of less than 20% (twenty percent) of the total value of
the Company's equity.

Explanation of the existence or absence of an affiliate
relationship
The Company does not have an affiliate relationship and/or
conflict of interest with the seller. Source of Funding for the
purchase The source of funding for the Land Purchase
Transaction plan of IDR4.495.260.000,- (four billion four
hundred ninety five million two hundred sixty thousands
rupiah) will use the Company's cash.
That based on the Company's annual financial statements for
the 2024 financial year that have been audited, the purchase
of the land mentioned above has a transaction value of less
than 20% (twenty percent) of the total value of the Company's
equity, so that based on POJK 17/POJK.04/2020 article 11,
the transaction can be carried out without an appraiser.
