Focts ("lMGSt") yang99,99/o sahamnya secara efektif dimiliki oleh
Perseroan, dan ZD Energy Pte., Ltd. telah menandatangani
Joint Venture Agreement Governing the Joint Ownership in PT
lndo Zeeda Energi ("lZE"). Berdasarkan perjanjian tersebut
antara lain disepakati bahwa: a) ZD Energy Pte., Ltd. akan
mengambil sejumlah saham baru di IZE sehingga selanjutnya
ZD Energy Pte., Ltd. mempunyai saham di IZE dengan
kepemilikan sebesar 40% dari seluruh saham yang
ditempatkan dan disetor dalam IZE; dan b) Perseroan akan
membeli seluruh saham milik IMGSL di lzE sehingga
selanjutnya Perseroan akan memiliki 60% dari seluruh saham
yang disetor dan ditempatkan dalam lZE tersebut'
