(the “Prospective Buyer”) for the purpose of acguiring the majority shares of the Company from the Prospective Sellers, which may result in a change of control over PT Bangun Karya Perkasa Jaya Tbk (the “Company”) This negotiation process is intended to formulate a share purchase transaction involving the shares owned by the Prospective Sellers, pursuant to which the Prospective Buyer will become the new controlling shareholder of the Company. The purpose of the proposed acguisition is to support the Company's business expansion and to create future synergies. In Biok 2851-8852 JI. Patimura, Surabaya Jenis Informasi atau Fakta Material Perseroan mendapatkan surat dari Rich Step Internasional Ltd. menyatakan bahwa terdapat proses negosiasi antara PT Bangun Karya Artha Lestari, Bapak Hok Gwan (Dharmo Budiono), Ibu Brigitta Notoatmodjo, Bapak Pramana Budihardjo (secara bersama-sama PT Bangun Karya Artha Lestari, Bapak Hok Gwan (Dharmo Budiono), Ibu Brigitta Notoatmodjo, Bapak Pramana Budihardjo disebutkan dalam Keterbukaan Informasi ini disebut dengan “Calon Penjual”) dan Rich Step Internasional Ltd. (“Calon Pembeli”) untuk melakukan pengambilalihan mayoritas saham dari Calon Penjual pada PT Bangun Karya Perkasa Jaya Tbk. (“Perseroan”), dimana transaksi ini berpotensi menyebabkan terjadinya perubahan pengendali Perseroan. Proses Negosiasi ini bertujuan untuk merumuskan transaksi jual-beli atas saham Calon Penjual, dimana Calon Pembeli akan menjadi pengendali baru Perseroan.
