31”), (ii) Keputusan Direksi BEI No. Kep-00066/BEI/09-2022, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iii) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (iv) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”) dan merujuk pada Surat
Perseroan Nomor: 038/IBST-CSY/VII/2025 tanggal 11 Juli 2025 perihal Keterbukaan Informasi atas
Transaksi Material, dengan ini kami, PT Inti Bangun Sejahtera Tbk. (“Perseroan”), menyampaikan
Keterbukaan Informasi atas Transaksi Material sebagai berikut:
To comply with the (i) OJK Regulation No. 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00066/BEI/09-2022, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), and with
reference to the Company’s Letter No. 031/IBST-CSY/V/2025 dated 20 May 2025 regarding the
Disclosure of Information on Material Transaction, we, PT Inti Bangun Sejahtera Tbk. (the “Company”),

3. Objek dan Nilai Transaksi / Pada tanggal 10 Juli 2026, Bank selaku pemberi pinjaman,
Object and Value of the dan Perseroan, Protelindo, Iforte, SUPR, BIT serta IFEN
Transaction selaku para peminjam (selanjutnya secara bersama-sama
disebut “Para Peminjam”), telah menandatangani Perjanjian
Perubahan atas Perjanjian Perubahan dan Pernyataan
Kembali Fasilitas Pinjaman Bergulir No.
1259/ARA/MZH/1222 tanggal 09 Desember 2022 dengan
nilai maksimum sejumlah Rp1.500.000.000.000 (satu triliun
lima ratus miliar Rupiah) (selanjutnya disebut “Perjanjian
Fasilitas”) ”), berdasarkan Perjanjian Fasilitas, Bank dan
Para Peminjam telah sepakat untuk untuk melakukan
perpanjangan jangka waktu fasilitas kredit sampai dengan
11 Juli 2027. / On July 10, 2026, the Bank, as the lender, and
the Company, Protelindo, Iforte, SUPR, BIT and IFEN as the
borrowers (hereinafter collectively referred to as the
“Borrowers”), entered into an Amendment Agreement to
the Amendment and Restatement of Revolving Loan Facility
Agreement No. 1259/ARA/MZH/1222 dated December 9,
2022, with a maximum facility amount of
Rp1,500,000,000,000 (one trillion five hundred billion
Rupiah) (the “Facility Agreement” ”), based on the Facility
Agreement, the Bank and the Borrowers has agreed to
extend the credit facility term until July 11, 2027.
Berdasarkan Perjanjian Fasilitas, Protelindo memberikan
jaminan perusahaan untuk menjamin pelaksanaan seluruh
kewajiban berdasarkan Perjanjian Fasilitas (selanjutnya
disebut "Perjanjian Penanggungan"). Perjanjian Fasilitas
dan Perjanjian Penanggungan selanjutnya secara bersama-
sama disebut sebagai "Transaksi". / Pursuant to the Facility
Agreement, Protelindo has entered into a corporate
guarantee to secure the due performance of all obligations
under the Facility Agreement (the "Guarantee Agreement").
The Facility Agreement and the Guarantee Agreement shall
hereinafter be collectively referred to as the "Transaction".

4 Penjelasan, Pertimbangan dan Struktur pemberian fasilitas sebagaimana diuraikan di atas
Alasan dilakukannya Transaksi akan memungkinkan Para Peminjam memperoleh
Material / pembiayaan dengan syarat dan kondisi yang lebih baik. / The
Explanation, Considerations and financing structure as stated above will facilitate the
Reasons for Material Borrowers to obtain a preferable financing terms and
Transactions conditions.
5 Hubungan sifat afiliasi dari para a. Perseroan; / The Company;
pihak yang melakukan Transaksi b. Protelindo merupakan pemegang saham Iforte sebesar
Material / The affiliation relation of 99,99% serta pemegang saham tidak langsung
the parties conducting Material Perseroan melalui Iforte./ Protelindo holds 99.99% of the
Transactions shares in Iforte and is an indirect shareholder of the
Company through Iforte.
c. Iforte merupakan pemegang 99,95% saham yang
ditempatkan dan disetor penuh dalam Perseroan./ Iforte
holds 99.95% of the issued and paid-up shares in the
Company.
d. SUPR merupakan anak perusahaan Protelindo, yang
99.91% sahamnya dimiliki secara langsung dan tidak
langsung oleh Protelindo./ SUPR is a subsidiary of
Protelindo, whose 99.91% of the shares are directly and
indirectly owned by Protelindo.
e. BIT, merupakan perusahaan yang 100% sahamnya
dimiliki secara tidak langsung oleh Protelindo / BIT is a
company whose shares are entirely indirectly owned by
Protelindo.
f. IFEN, merupakan perusahaan yang 99,96% sahamnya
dimiliki secara langsung oleh Iforte; / IFEN is a company
of which 99.96% (ninety-nine point ninety-six percent) of
the shares are directly owned by Iforte..
g. Bank, merupakan lembaga perbankan pemberi
pinjaman yang tidak mempunyai hubungan afiliasi
dengan Para Peminjam. / The Bank is a lending bank
with no affiliation with the Borrowers.
6. Dampak kejadian, informasi atau Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
fakta material tersebut terhadap material yang negatif yang merugikan terhadap kegiatan
kegiatan operasional, hukum, operasional, hukum, kondisi keuangan, atau kelangsungan
kondisi keuangan, atau usaha Perseroan. / The performance of such Transaction

7. Keterangan lain-lain / 1. Transaksi diatas merupakan transaksi afiliasi
Other information sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf (d)
POJK 42, yaitu transaksi pinjaman yang diterima secara
langsung dari bank / The Transaction is an affiliated
transaction as referred to Clause 6 section (1) letter (d)
i.e., a loan received directly from banks;
2. Transaksi di atas merupakan transaksi material
sebagaimana dimaksud dalam POJK 17, dengan
mempertimbangkan bahwa nilai fasilitas pembiayaan
mencapai lebih dari 50% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Perseroan yang telah
diaudit per 31 Desember 2025. Transaksi ini merupakan
transaksi material yang dikecualikan sebagaimana
dimaksud dalam Pasal 11 huruf (b) POJK 17/ The above
Transaction constitutes a material transaction as
referred to in POJK 17, considering that the value of the
facility exceeds 50% of the Company’s equity based on
the Company’s audited Financial Statements as of
December 31, 2025. The Transaction constitutes an
exempt Material Transaction as referred to under Article
11 letter (b) of POJK 17.
Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa:
The Board of Commissioners and Directors of the Company hereby declare that:
1. Transaksi merupakan transaksi afiliasi, namun bukan merupakan transaksi benturan
kepentingan bagi Perseroan sebagaimana diatur dalam POJK 42 / The transaction constitutes
an affiliated transaction, but does not constitute a conflict-of-interest transaction for the
Company as regulated under OJK Regulation No. 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan./ This Information Disclosure contains all material information which is true,
accurate, and not misleading.
Keterbukaan Informasi ini juga merupakan pemenuhan atas ketentuan sebagaimana dimaksud dalam
POJK 31 Pasal 8 dan POJK 17 Pasal 33/ This Information Disclosure is also made in compliance with
the provisions of Article 8 of POJK 31 and Article 33 of POJK 17.
