PT Humpuss Transportasi Kimia (“HTK”) transferred shares in PT Humpuss Maritim Internasional, Tbk (“HUMI”) totaling 80,000,000 (cighty million) shares eguivalent to 5.246 (five point two percent) of 1,533,945,000 shares of HTK's entire — shareholding in — HUMI or Rp 4,000,000,000.00 (four billion rupiah) to PTH. 1. Transaksi merupakan Transaksi Afiliasi sebagaimana didefinisikan di dalam POJK 42/2020, karena dilakukan di antara dua Perusahaan, yang berdasarkan ketentuan Pasal 1 angka 1 Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal (“UUPM”), dikategorikan sebagai afiliasi. The Transaction is an Affiliated Transaction as defined in the POJK 42/2020, because it is carried out between two companies, which is based on the provisions of Article 1 number 1 of Law no. 8 of 1995 concerning the Capital Market (“UUPM”), are categorized as affiliates. 2. Berdasarkan ketentuan Pasal 6 POJK 42/2020, Perseroan tidak wajib memenuhi ketentuan dalam Pasal 4 ayat (1), karena nilai transaksi tidak melebihi 0,5y6 (nol koma lima persen) dari modal disetor Perseroan atau tidak melebihi jumlah Rp5.000.000.000,00 (lima — miliar rupiah).
