Uraian Informasi atau Fakta Material Perseroan telah menandatangani Perjanjian Sindikasi
tertanggal 3 November 2017 yang telah diubah beberapa kali
dan terakhir diubah dengan Perjanjian Fasilitas Kredit
tertanggal 2 September 2022 ("Perjanjian Awal").
Sehubungan dengan hal tersebut di atas, Perseroan telah
melakukan
(i) pengumuman Keterbukaan Informasi kepada masyarakat
dan OJK tanggal 23 Januari 2018
(ii) memperoleh persetujuan dari para pemegang saham
Perseroan sebagaimana dibuktikan dalam Akta Berita Acara
Rapat Umum Pemegang Saham Luar Biasa PT FKS Multi
Agro Tbk. No. 15 tanggal 25 Januari 2018 yang dibuat di
hadapan Liestiani Wang, S.H., M.Kn., Notaris di Jakarta.
Pada tanggal 23 Juni 2025, Perseroan telah menandatangani
Term and Revolving Facilities sebesar USD151.500.000 dan
IDR1.615.500.000.000 ("Perubahan Perjanjian Awal") yang
pada pokoknya mengubah
(i) tingkat suku bunga fasilitas
(ii) mengubah agen fasilitas
(iii) Jumlah Fasilitas dan
(iv) Debitur.
Penandatanganan Perjanjian Awal dan Perubahan Perjanjian
Awal untuk selanjutnya disebut sebagai ("Transaksi").
Dampak kejadian, informasi atau fakta Transaksi tidak menyebabkan perubahan yang merugikan
material tersebut terhadap kegiatan terhadap Perseroan.

Transaksi merupakan transaksi yang berkelanjutan berdasarkan POJK No. 42/2020 yang telah memenuhi syarat yaitu
(i) transaksi awal yang mendasari transaksi selanjutnya telah memenuhi ketentuan POJK No. 42/2020 dan (ii) syarat
dan kondisi Transaksi tidak mengalami perubahan yang dapat merugikan Perusahaan Terbuka.

Description of Material Information or The Company has signed a Syndication Agreement dated
Facts November 3, 2017 which has been amended several times
and last amended by the Credit Facility Agreement dated
September 2, 2022 ("Initial Agreement").
In connection with the above, the Company has conducted
(i) announced the Disclosure of Information to the public and
OJK dated January 23, 2018
(ii) obtained approval from the Company's shareholders as
evidenced in the Deed of Minutes of the Extraordinary General
Meeting of Shareholders of PT FKS Multi Agro Tbk. No. 15
dated January 25, 2018 made before Liestiani Wang, S.H.,
M.Kn., Notary in Jakarta.
On June 23, 2025, the Company has signed the Term and
Revolving Facilities amounting to USD151,500,000 and
IDR1,615,500,000,000 ("Amendment to the Initial Agreement")
which in principle changes
(i) the interest rate of the facility
(ii) changes the facility agent
(iii) the Amount of the Facility and
(iv) the Debtor.
Execution of the Initial Agreement and Amendment to the
Initial Agreement hereinafter referred to as the "Transaction".
Impact of event, material information or Transaction does not cause detrimental effect towards the
facts towards Issuers or Public Company.

The Transaction is a subsequent transaction based on POJK No. 42/2020 which has met the requirements, namely
(i) the initial transaction underlying the subsequent transaction has met the provisions of POJK No. 42/2020 and (ii)
the terms and conditions of the Transaction have not changed which could be detrimental to the Public Company.
