Purchase of 780,462,878 shares owned by PT
Supreme Energy (“Supreme”) in PT Supreme
Energy Sriwijaya, a company incorporated
under the laws of Indonesia (“SES”), by a
controlled entity of the Company, PT Energia
Prima Nusantara ("EPN").
3. Uraian Informasi atau Fakta Material / Perseroan dengan ini menyampaikan bahwa
Description of Material Information or pada tanggal 18 Juni 2025, EPN dan Supreme
Facts telah menandatangani Akta Jual Beli di
hadapan Aulia Taufani, S.H., notaris di
Jakarta, untuk penjualan 780.462.878 lembar
saham milik Supreme yang dibeli oleh EPN di

SES dengan total nilai keseluruhan sebesar
US$19.173.002,08 atau setara dengan
Rp311.657.148.792 (“Perjanjian Jual Beli”).
Penandatanganan Perjanjian Jual Beli ini
merupakan bentuk pemenuhan dari jual beli
saham sebagaimana diatur dalam Perjanjian
Pengambilan Bagian Saham dan Jual Beli
Saham yang ditandatangani oleh EPN,
Supreme dan SES tertanggal 13 Mei 2024.
Tujuan dari jual beli saham ini adalah untuk
kelanjutan diversifikasi usaha Perseroan
sebagai bagian dari strategi pertumbuhan
berkesinambungan di bidang pembangkitan
tenaga Listrik yang menggunakan sumber
energi terbarukan di Indonesia.
The Company hereby informs that on 18 June
2025, EPN and Supreme have entered into a
Sale and Purchase Deed before Aulia Taufani
S.H., notary in Jakarta, for the sale of
780,462,878 shares owned by Supreme in
SES and purchased by EPN for a total value of
US$19,173,002.08 or equal to
Rp311,657,148,792 (“Sale and Purchase
Agreement”).
The execution of this Sale and Purchase
Agreement serves as a form of fulfilment of the
sale and purchase of shares as stipulated in
the Share Subscription and Shares Purchase
Agreement signed by EPN, Supreme and SES
dated 13 May 2024.
The purpose of this sale and purchase of
shares is to continue the Company's business
diversification as part of a sustainable growth
strategy in the field of electricity generation that
uses renewable energy in Indonesia.
4. Dampak kejadian, informasi atau Penandatanganan Perjanjian Jual Beli di atas
fakta material tersebut terhadap tidak berdampak secara material terhadap
kegiatan operasional, hukum, kondisi kegiatan operasional, hukum dan kondisi
keuangan, atau kelangsungan usaha keuangan Perseroan saat ini.

Execution of the Sale and Purchase
Agreement is not a material transaction or an
affiliate transaction and conflict of interest
transaction in accordance with the Financial
Services Authority Regulation
No.17/POJK.04/2020 regarding Material
Transaction and Change of Business Line and
the Financial Services Authority Regulation
Number 42/POJK.04/2020 concerning
Affiliated Transactions and Conflict of Interest
Transactions.
