3. Uraian Informasi atau Fakta Pada tanggal 17 Juni 2025, dua entitas anak Perseroan yang
Material masing-masing dimiliki secara langsung sebesar 99% oleh
Perseroan, yaitu PT Arkora Energi Merah Putih (“AEMP”) dan PT
Arjuna Hidro (“AH”), telah mendirikan dua perusahaan baru
dengan nama PT Pembangunan Hydro Indonesia (“PT PHI”) dan

Pendirian PT PHI didasarkan pada Akta Pendirian Nomor 20
tanggal 17 Juni 2025 yang dibuat di hadapan Darmawan Tjoa,
S.H., S.E., Notaris di Jakarta Pusat, dan telah memperoleh
pengesahan sebagai badan hukum dari Menteri Hukum dan Hak
Asasi Manusia Republik Indonesia melalui Surat Keputusan No.
AHU-0048808.AH.01.01.TAHUN 2025 tanggal 17 Juni 2025.
Sementara itu, pendirian PT AMP juga dituangkan dalam Akta
Pendirian Nomor 21 tanggal 17 Juni 2025 oleh notaris yang sama,
dan telah memperoleh pengesahan badan hukum melalui Surat
Keputusan No. AHU-0048809.AH.01.01.TAHUN 2025 tanggal 17
Juni 2025.
Kedua dokumen akta pendirian tersebut diterima oleh Perseroan
pada tanggal 18 Juni 2025 pukul 17.00 WIB.
Dengan susuna pemegang saham PT PHI sebagai berikut:

Pendirian PT PHI dan PT AMP, melalui AEMP dan AH yang
menjadi pemegang saham, menjadikan Perseroan secara tidak
langsung memiliki kepemilikan saham kepada PT PHI dan PT AMP
sebesar 99%.

dalam mendukung rencana perkembangan kegiatan usaha
Perseroan ke depan, termasuk mengantisipasi potensi
penambahan proyek-proyek baru yang akan dijalankan oleh
Perseroan.
On June 17, 2025, two subsidiaries of the Company, each of
which is directly owned by the Company at 99%, namely PT
Arkora Energi Merah Putih (“AEMP”) and PT Arjuna Hidro (“AH”),
established two new companies: PT Pembangunan Hydro
Indonesia (“PT PHI”) and PT Arkora Merah Putih (“PT AMP”).
The establishment of PT PHI is based on Deed of Establishment
No. 20 dated June 17, 2025, drawn up before Darmawan Tjoa,
S.H., S.E., Notary in Central Jakarta, and has obtained legal entity
status through the Decree of the Minister of Law and Human
Rights of the Republic of Indonesia No. AHU- 0048808.AH.01.01
TAHUN 2025 dated June 17, 2025.
Likewise, the establishment of PT AMP is also recorded in Deed of
Establishment No. 21 dated June 17, 2025, before the same
notary, and has obtained legal entity status through the Decree of
the Minister of Law and Human Rights of the Republic of
Indonesia No. AHU-0048809.AH.01.01.TAHUN 2025 dated June
17, 2025.
Both Deeds of Establishment were received by the Company on
June 18, 2025, at 5:00 PM Western Indonesian Time (WIB).
The Shareholding Composition of PT PHI is as follow:

The establishment of PT PHI and PT AMP, through AEMP and AH
as their respective shareholders, has resulted in the Company
indirectly holding 99% ownership in both PT PHI and PT AMP.
The incorporation of these subsidiaries represents a strategic
initiative to support the Company’s long-term business
development objectives, including anticipating potential future
projects that may be undertaken by the Company.
