PT Transcoal Pacific Tbk (Perseroan) telah menandatangani
Perjanjian Jasa Pengangkutan Bijih Nikel (Kontrak) dengan
salah satu perusahaan tambang bijih nikel di Sulawesi
Tenggara, Indonesia (Pelanggan).
Uraian Informasi atau Fakta Material:
Jenis dan Nilai Transaksi
a. Pengangkutan Bijih Nikel dengan menggunakan
kapal tunda dan kapal tongkang dari titik pemuatan ke
titik penyerahan yang ditentukan oleh Pelanggan
sebagaimana diatur dalam Kontrak.
b. Periode kontrak: 5 (lima) tahun dan selanjutnya
diperpanjang selama 5 (lima) tahun.
c. Estimasi total volume kargo angkutan: 100.000.000
MT (seratus juta metrik ton) dengan tunduk pada
ketentuan yang terdapat pada Perjanjian.
d. Estimasi nilai kontrak:
USD 183.000.000
Penjelasan ada tidaknya hubungan afiliasi dengan Pelanggan
Perseroan tidak mempunyai hubungan afiliasi dengan
Pelanggan.
Dampak kejadian, informasi atau fakta Kegiatan Operasional
material tersebut terhadap kegiatan Kegiatan ini berdampak positif terhadap operasional
operasional, hukum, kondisi keuangan, Perseroan, di mana Perseroan memperoleh kepercayaan dari
atau kelangsungan usaha Emiten atau Pelanggan untuk melaksanakan pengangkutan bijih nikel milik
Perusahaan Publik Pelanggan, sehingga memperkuat posisi Perseroan dalam
menjalankan usahanya di bidang jasa logistik dan transportasi.
Hukum
Perseroan berkewajiban untuk mengangkut dan menyerahkan
bijih nikel milik Pelanggan sesuai dengan ketentuan yang
diatur dalam Kontrak.
Kondisi Keuangan
Perseroan berhak untuk menerima pembayaran biaya
pengangkutan bijih nikel sesuai dengan ketentuan yang diatur
dalam Kontrak.
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.

PT Transcoal Pacific Tbk (the Company) has signed an
Agreement on Nickel Ore Transportation Services (the
Contract) with one of the nickel ore mining companies in
Southeast Sulawesi, Indonesia (the Customer).
Detail of Material Information or Facts
Type and Value of Transaction
a. The transportation of nickel ore using tugboats and
barges from the loading point to the delivery point as specified
by the Customer, in accordance with the provisions set out in
the Contract.
b. Contract period: 5 (five) years and will be extended
for another 5 (five) years.
c. Estimated total cargo transport volume: 100,000,000
metric tons (one hundred million metric tons),
subject to the terms and conditions set forth in the
Agreement.
d. Estimated contract value:
USD 183,000,000
Explanation of whether or not there is an affiliate relationship
with the Customer
The Company has no affiliate relationship with the Customer.

financial condition, or going concern the transporter of nickel ore owned by the Customer, thereby

Law
The Company is obliged to transport and deliver the Customer
nickel ore in accordance with the provisions stipulated in the
Contract.
Financial Condition
The Company has the right to receive payment for the
transport of nickel ore in accordance with the provisions
stipulated in the Contract.
Business Continuity
Business continuity is maintained and well guaranteed.
