sebagaimana diubah sebagian dengan Peraturan Otoritas Jasa Keuangan No. 45 Tahun 2024
tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik (“POJK No. 31/2015”)
dan Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan (“POJK 42/2020”), bersama ini kami sampaikan informasi material sebagai

Disclosure of Material Information or Facts of Issuers or Public Companies as partially
amended by the Financial Services Authority Regulation No. 45 of 2024 on the Development
and Strengthening of Issuers and Public Companies (“POJK No. 31/2015”) and Financial
Services Authority Regulation No. 42/POJK.04/2020 concerning Affiliated Transactions and
Conflict of Interest Transactions (“POJK 42/2020”), we hereby inform you the material
information as follows:

3. Uraian Informasi atau Fakta Pada tanggal 10 Juni 2025, Medco Energi
Material / Description of Material Global Pte. Ltd (“MEG”) sebagai debitur dan
Information or Facts Medco Cypress Tree Pte. Ltd. (“MCT”) sebagai
kreditur telah menandatangani Perjanjian
Kredit Antarperusahaan, dengan nilai sebesar
AS$373.609.400 (tiga ratus tujuh puluh tiga
juta enam ratus sembilan ribu empat ratus
Dolar Amerika Serikat) tanpa dikenakan bunga
atas pinjaman dan perjanjian tersebut berlaku
hingga pinjaman dilunasi secara penuh sesuai
permintaan MCT (“Transaksi”).
Adapun pinjaman dari Transaksi ini akan
digunakan oleh MEG untuk melakukan
pembayaran sehubungan dengan Penawaran
Tender atas (i) Senior Notes sebesar
US$650.000.000 dengan bunga 7,375 persen
yang jatuh tempo pada tahun 2026 yang
diterbitkan oleh Medco Oak Tree Pte Ltd; dan
(ii) Senior Notes sebesar US$650.000.000
dengan bunga 6,375 persen yang jatuh tempo
pada tahun 2027 yang diterbitkan oleh Medco
Bell Pte Ltd.
Transaksi merupakan transaksi afiliasi
berdasarkan Pasal 6 ayat (1) huruf b POJK
42/2020, dimana Transaksi hanya wajib
dilaporkan kepada OJK karena dilakukan oleh
MCT dan MEG yang dimiliki secara tidak
langsung sebesar 100% oleh Perseroan. Oleh
karenanya, laporan ini juga merupakan
pemenuhan atas pelaporan atas transaksi
afiliasi sebagaimana dimaksud dalam Pasal 6
ayat (2) POJK 42/2020.

On 10 June 2025, Medco Energi Global Pte.
Ltd. (“MEG”) as the debtor and Medco Cypress
Tree Pte. Ltd. (“MCT”) as the creditor entered
into an Intercompany Loan Agreement in the
amount of US$373,609,400 (three hundred
seventy three million six hundred nine
thousand four hundred United States Dollar),
which bears no interest and shall remain
effective until the loan is fully repaid upon
demand by MCT (the “Transaction”).
The loan from this Transaction will be used by
MEG to make payment in relation to the
Tender Offer of the (i) US$650,000,000 7.375
per cent Senior Notes due 2026 issued by
Medco Oak Tree Pte Ltd; and (ii)
US$650,000,000 6.375 per cent Senior Notes
due 2027 issued by Medco Bell Pte Ltd.

The Transaction constitutes an affiliated party
transaction under Article 6 paragraph (1) letter
b of OJK Regulation No. 42/POJK.04/2020,
whereby the Transaction is only subject to
reporting to the OJK as it is conducted between
MCT and MEG, which are indirectly owned
100% by the Company. Accordingly, this report
also serves as the fulfillment of the reporting
requirement for affiliated party transactions as
referred to in Article 6 paragraph (2) of OJK
Regulation No. 42/POJK.04/2020.
4. Dampak kejadian, informasi atau Transaksi ini tidak memiliki dampak kejadian,
fakta material tersebut terhadap informasi atau fakta material tersebut terhadap
kegiatan operasional, hukum, kegiatan operasional, hukum, atau
kondisi keuangan, atau kelangsungan usaha Perseroan. / This
