PENYESUAIAN SYARAT DAN KETENTUAN
WARAN TERSTRUKTUR
ADROZPCF6A
Kami mengacu pada pengumuman PT ALAMTRI RESOURCES INDONESIA TBK (ADRO) pada tanggal 3 Juni
2025 sehubungan dengan pembagian dividen tunai untuk periode tahun buku 2024 sebesar
USD300.000.000 (tiga ratus juta dolar Amerika Serikat) (“Dividen Tunai”).
Sesuai dengan syarat dan ketentuan yang tercantum dalam Bagian 3.8 Prospektus tertanggal 11 April
2025 dan Term Sheet ADROZPCF6A, Harga Pelaksanaan dan Rasio Konversi waran terstruktur tersebut
akan disesuaikan berdasarkan rumus berikut:

= : 1 Lembar Saham ADRO
Terstruktur
Di mana,
E: 10, adalah Rasio Konversi yang lama 10 Call Waran Terstruktur : 1 Lembar Saham ADRO
sebelum Dividen Tunai.
K: Rp2.350, adalah Harga Pelaksanaan yang lama sebelum Dividen Tunai.
P: Rp2.120, adalah harga perdagangan terakhir ADRO pada cum-date.
D: Rp158,3108, adalah Dividen Tunai untuk setiap saham ADRO.
Penyesuaian terhadap waran terstruktur tersebut akan berlaku pada tanggal Ex Dividen berikut:

ADJUSTMENT TO THE TERMS AND CONDITIONS
OF STRUCTURED WARRANT

We refer to the announcement of PT ALAMTRI RESOURCES INDONESIA TBK (ADRO) dated 3 June 2025
in relation to the distribution of dividends for the fiscal year 2024 amounting to US$300,000,000
(three hundred million United States dollars) (“Cash Dividend”).
In accordance to the terms and conditions stated in Section 3.8 of the Prospectus dated 11 April 2025
and the Term Sheet of ADROZPCF6A, the Exercise Price and Exercise Ratio of the said structured
warrants will be adjusted based on the following formula:

= : 1 ADRO share
Warrants
Where,
E: 10, being the existing Exercise Ratio of 10 Call Warrants : 1 ADRO share immediately prior
to the Cash Dividend.
K: Rp2,350, being the existing Exercise Price immediately prior to the Cash Dividend.
P: Rp2,120, being the last traded price of ADRO on cum-date.
D: Rp158,3108, being the Cash Dividend for each ADRO Share.
The adjustment to the said structured warrants will take effect on the following Ex Dividend dates:
Regular Market and Negotiated Market 13 June 2025
Cash Market 17 June 2025
