Helping Your Business Grow SIARAN PRESS (PRESS RELEASE) Hasil RUPST dan RUPSLB untuk Penambahan KBLI Baru Jakarta, 12 Juni 2025 PT Personel Alih Daya Tbk (kode emiten PADA) sebagai Perusahaan yang bergerak di bidang jasa tenaga alih daya atau outsourcing, telah menyelenggarakan Rapat Umum Pemegang Saham Tahunan (RUPST) dan RUPS Luar Biasa (RUPSLB) pada 12 Juni 2025 bertempat di Kantor Perseroan, Jl Poltangan Raya No.35, Jakarta Selatan. Dalam RUPST tersebut, para pemegang saham telah menyetujui beberapa hal sebagai berikut : 1. Menyetujui pengesahan Laporan Tahunan Perseroan untuk tahun buku 2024, termasuk di dalamnya Laporan Kegiatan Perseroan, Laporan Pengawasan Dewan Komisaris dan Laporan Keuangan Perseroan untuk tahun buku 2024, serta pemberian pelunasan dan pembebasan tanggung jawab sepenuhnya (acguit et de charge) kepada Direksi dan Dewan Komisaris Perseroan atas tindakan pengurusan dan pengawasan yang mereka lakukan dalam tahun buku 2024. 2. Menetapkan remunerasi bagi anggota Dewan Komisaris dan Direksi Perseroan. 3. Menyetujui penunjukan kembali Bapak Doly Fajar Damanik, CPA yang merupakan Akuntan Publik (AP) yang tergabung dalam KAP Kanaka Puradiredja, Suhartono yang akan mengaudit Laporan Keuangan Perseroan untuk Tahun Buku 2025. 4. Mengangkat dan menetapkan susunan anggota Direksi dan Dewan Komisaris Perseroan terhitung sejak ditutupnya RUPST tersebut sebagai berikut: Direksi : Direktur Utama : Cahyanul Uswah Direktur : Yayan Dharmawangsa Dewan Komisaris : Komisaris Utama : Wahono Komisaris : Sigit Kuntjahjo Komisaris : Baden Saprudin Komisaris Independen : Jenal Kaludin Komisaris Independen : Adita Irawati Selanjutnya dalam pelaksanaan RUPSLB para pemegang saham menyetujui sebagai berikut: Menyetujui perubahan pada Pasal 3 Anggaran Dasar Perseroan untuk melakukan penambahan kegiatan usaha KBLI 53201 (Aktivitas Kurir). Maksud dan tujuan dari penambahan Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) 53201 (Aktivitas Kurir) sebagai bagian dari strategi bisnis Perseroan untuk melakukan perluasan kegiatan usaha dalam penyediaan tenaga alih daya outsourcing di industri jasa kurir ekspedisi, yang mencakup layanan pengambilan, pengangkutan, penyortiran, dan pengantaran barang serta dokumen ke seluruh wilayah Indonesia. Adapun pertimbangan Perseroan menambah kegiatan usaha baru ini, berpotensi untuk menambah sumber pendapatan baru bagi Perseroan, karena pertumbuhan industri kurir ekspedisi yang sangat pesat dan semakin ramainya pemain baru. Untuk penambahan KBLI baru ini, Perseroan telah melakukan analisis risiko, kelayakan bisnis terlebih dahulu. Dengan strategi inisiatif ini tentunya akan memberikan dampak yang positif bagi Perseroan guna mendukung peningkatan kinerja berupa peningkatan Pendapatan, Laba Kotor dan Laba Bersih secara jangka panjang. Helping Your Business Grow tenaga kerja outsourcing dengan jumlah yang cukup dan dalam waktu singkat terutama pada daerah-daerah atau lokasi yang baru, serta memiliki sistem yang baik dalam mengelola tenaga outsourcing sehingga dapat meningkatkan efisiensi operasional. Perseroan sebagai perusahaan yang telah berpengalaman 19 tahun dalam mengelola dan menyediakan tenaga kerja outsourcing memiliki keunggulan layanan solusi bisnis yang terintegrasi (one stop services) sehingga Perseroan yakin dapat menggarap peluang pasar ini. Penambahan KBLI baru ini tidak akan mengganggu kegiatan usaha saat ini, namun justru akan semakin memperkuat kegiatan usaha Perseroan. Untuk lini bisnis baru ini, Perseroan telah menyiapkan sumber daya manusia (SDM) atau tenaga ahli yang kompeten yang memiliki pengalaman dalam mengelola dan mengembangkan pelayanan untuk pelanggan Fast-Moving Consumer Good (FMCG) dan segmen Transportasi & Infrastruktur, serta berpengalaman dalam mengelola proses operasional kurir dan logistik. Kinerja 01-2025 Pada kuartal pertama tahun 2025, pendapatan Perseroan sebesar Rp256 miliar atau meningkat 11,396 dibanding periode yang sama tahun lalu. Peningkatan pendapatan ini karena adanya penambahan volume bisnis dari beberapa klien/mitra existing dan penambahan pendapatan yang berasal dari klien/mitra baru. Laba Bersih Perseroan pada O1-2025 meningkat 104,74 dibanding periode yang sama tahun lalu atau menjadi sebesar Rp108,3 juta. Hal ini terjadi karena upaya efisiensi berdampak pada penurunan beban biaya operasional. Dengan kinerja tersebut, secara berkelanjutan Perseroan berkomitmen untuk terus memperkuat fundamental bisnis agar dapat menghasilkan kinerja positif dan konsisten. Prospek Bisnis dan Upaya ke Depan Potensi dan peluang pasar dari layanan jasa outsourcing ke depannya masih sangat terbuka, mengingat adanya perusahaan-perusahaan/klien yang membutuhkan tenaga outsourcing yang berpengalaman dibidangnya dengan cepat dan siap pakai sehingga hal ini membantu klien/mitra dalam menghemat biaya operasional dan mereka bisa lebih fokus pada bisnis utamanya. Perseroan tetap optimistik dengan prospek bisnis ke depannya, kendati masih akan terus menghadapi tantangan persaingan bisnis yang sangat ketat. Mz ho) Helping Your Business Grow PRESS RELEASE Results of AGMS and EGMS for the Addition of New KBLI Jakarta, June 12, 2025 PT Personel Alih Daya Tbk (ticker code PADA) as a company engaged in outsourcing services, has held an Annual General Meeting of Shareholders (AGMS) for the financial year 2024 and an Extraordinary GMS (EGMS) on 12 June 2025 at the Company's office, Jl. Poltangan Raya No.35, South Jakarta. In the AGMS, the shareholders approved the following matters: 1. Approved the ratification of the Company's Annual Report for the financial year 2024, including the Company's Activity Report, the Board of Commissioners' Supervisory Report and the Company's Financial Statements for the financial year 2024, as well as granting full release and discharge (acguit et de charge) to the Board of Directors and the Board of Commissioners of the Company for their management and supervisory actions in the financial year 2024. 2. Determining the remuneration for members of the Board of Commissioners and Board of Directors of the Company. 3. Approved the re-appointment of Mr Doly Fajar Damanik, CPA who is a Public Accountant (AP) incorporated in KAP Kanaka Puradiredja, Suhartono who will audit the Company's Financial Statements for the financial year 2025. 4. Appointed and determined the composition of the Company's Board of Directors and Board of Commissioners as of the closing of the AGMS as follows: The Board of Directors: President Director : Cahyanul Uswah Director : Yayan Dharmawangsa The Board of Commissioners: President Commissioner : Wahono Commissioner : Sigit Kuntjahjo Commissioner : Baden Saprudin Independent Commissioner : Jenal Kaludin Independent Commissioner : Adita Irawati Furthermore, in the EGMS the shareholders approved the following: Approved the amendment to Article 3 of the Company's Articles of Association to add KBLI 53201 (Courier Activities) business activities. The purpose and objective of adding Indonesian Standard Industrial Classification (KBLI) 53201 (Courier Activities) as part of the Company's business strategy to expand business activities in the provision of outsourcing in the expedition courier services industry, which includes services for picking up, transporting, sorting, and delivering goods and documents to all regions of Indonesia. As for the consideration of the Company adding this new business activity, it has the potential to add a new source of income for the Company, due to the rapid growth of the courier expedition industry and the increasing number of new players. For the addition of this new KBLI, the Company has conducted risk analysis, business feasibility in advance. This initiative strategy will certainly have a positive impact on the Company to support performance improvement in the form of increased revenue, gross profit and net profit in the long term. Helping Your Business Grow have good guality and standards, have the ability to provide outsourced workers in sufficient guantities and ina short time, especially in new areas or locations, and have a good system for managing outsourced workers so as to increase operational efficiency. The Company as a company with 19 years of experience in managing and providing outsourced labour has the advantage of integrated business solution services (one stop services) so that the Company is confident that it can take advantage of this market opportunity. The addition of this new KBLI will not interfere with current business activities, but will actually further strengthen the Company's business activities. For this new business line, the Company has prepared competent human resources (HR) or experts who have experience in managing and developing services for Fast-Moving Consumer Good (FMCG) customers and the Transportation & Infrastructure segment, as well as experience in managing courier and logistics operational processes. 01-2025 Performance In the first guarter of 2025, the Company's revenue was Rp256 billion or an increase of 11.3X compared to the same period last year. The increase in revenue was due to additional business volume from several existing clients/partners and additional revenue from new clients/partners. The Company's Net Profit in @1-2025 increased by 104.796 compared to the same period last year orto Rp108.3 million. This was due to efficiency efforts that resulted in lower operating expenses. With this performance, the Company is committed to continuously strengthening its business fundamentals in order to generate positive and consistent performance. Business Prospects and Future Action The potential and market opportunities of outsourcing services in the future are still very open, considering that there are companies/clients who need outsourcing personnel who are experienced in their fields guickly and ready to use so this helps clients/partners in saving operational costs and they can focus more on their main business. The Company remains optimistic about its future business prospects, although it will continue to face the challenges of intense business competition. The Company's strategic initiatives include improving its competitiveness in the market and offering one stop services, better control of cost structure and efficiency to improve positive business performance.
