Akta Jual Beli dan Pengambilalihan Saham dalam PT Bank Victoria Syariah dengan PT Bank Victoria International Tbk (“BVIC”) No. 13 tanggal 5 Juni 2025 yang dibuat di hadapan Ashoya Ratam, S.H., M.Kn., Notaris di Jakarta Selatan. Pengambilalihan BVIS oleh Perseroan telah mendapatkan persetujuan Otoritas Jasa Keuangan (OJK) melalui Surat OJK No. SR-176/PB.02/2025 tanggal 5 Juni 2025 perihal Penyampaian Keputusan Izin Pengambilalihan PT Bank Victoria Syariah oleh PT Bank Tabungan Negara (Persero) Tbk serta Hasil Penilaian Kemampuan dan Kepatutan atas Pencalonan Pemegang Saham Pengendali dan Ultimate Shareholder PT Bank Victoria Syariah (“Surat OJK No. SR-176"). Dengan dilaksanakannya penyelesaian pengambilalihan BVIS, selanjutnya Perseroan memiliki 1.059.982.683 lembar saham BVIS yang mewakili 99,9984”6 dari total saham yang ditempatkan dan disetor penuh dalam BVIS. 3U mn INDONE INDONESIA btn Description of Information or Material Facts. To complete the acguisition of BVIS, on June 5" 2025, the Company has signed the following documents: a. Deed of Sale and Purchase and Acguisition of Shares in PT Bank Victoria Syariah with PT Victoria Investama Tbk (“VICO”) No. 12 dated June 5", 2025 made before Ashoya Ratam, S.H., M.Kn., Notary in South Jakarta, and b. Deed of Sale and Purchase and Acguisition of Shares in PT Bank Victoria Syariah with PT Bank Victoria International Tbk (“BVIC”) No.13 dated June 5tn, 2025 made before Ashoya Ratam, S.H., M.Kn., Notary in South Jakarta, The acguisition of BVIS by the Company has been approved by OJK through OJK Letter No. SR- 176/PB.02/2025 dated June 5th, 2025 regarding Delivery of the Decision on the Approval of the Acguisition of PT Bank Victoria Syariah by PT Bank Tabungan Negara (Persero) Tbk as well as the Results of the Fitand Proper Test of the Nomination of the Controlling Shareholder and Ultimate Shareholder of PT Bank Victoria Syariah (“OJK Letter No. SR-176”). With the completion of the acguisition of BVIS, the Company owns 1,059,982,683 shares of BVIS representing 99,99845 of the total issued and fully paid- up capital in BVIS. 3UMN:., btn With the above shareholding percentage, in accordance with OJK Letter No. SR-176, the Company is deemed to have fulfilled the reguirements to become the Controlling Shareholder of BVIS. 4. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik./ The impact of such events, information or material facts on the operational activities, legal and financial conditions, or business continuity of the Issuer or Public Company. Pengambilalihan BVIS oleh Perseroan akan memberikan dampak positif terhadap kinerja Perseroan yaitu penguatan terhadap bisnis perbankan syariah. Selain itu, proses pengambilalihan ini adalah sebagai bagian dari rangkaian pelaksanaan spin-off UUS menjadi BUS./ The agouisition of BVIS by the Company will give positive impacts on the Company's performance, namely strengthening the sharia banking business. In addition, this agcuisition process is part of a series of implementation of the spin-off of the Sharia Business Unit into a Sharia Commercial Bank. 5. | Keterangan lain-lain./ Other Information.
