00066/BEI/09-2022 Perihal Perubahan Peraturan No. I-E tentang Kewajiban Penyampaian Informasi, dengan ini kami
untuk dan atas nama PT Autopedia Sukses Lestari Tbk (“Perseroan”) menyampaikan Laporan Informasi atau Fakta
Material sebagai berikut:

Information, we hereby for and on behalf of PT Autopedia Sukses Lestari Tbk (the “Company”) submit Information
Report or Material Facts as follows:

2. Jenis Informasi atau Fakta Material Penandatanganan Perjanjian Fasilitas Kredit Nomor 30 tertanggal
03 Juni 2025, yang dibuat di hadapan Notaris Ester Septarini, S.H.,
M.H., M.Kn. antara Perseroan, PT Autopedia Sukses Gadai (“ASG”) dan
PT Autopedia Gadai Jabar (“AGJ”) (selanjutnya disebut “Para
Peminjam”) dan PT Bank CTBC Indonesia (“Bank”) sebagai pemberi
pinjaman (selanjutnya disebut “Perjanjian Fasilitas Kredit”).

Facts 2025, made before Notary Ester Septarini, S.H., M.H., M.Kn. between
the Company, PT Autopedia Sukses Gadai (“ASG”) and PT Autopedia
Gadai Jabar (“AGJ”) (hereinafter referred to as the “Borrowers”) and
PT Bank CTBC Indonesia (“Bank”) as the lender (hereinafter referred
to as the “Credit Facility Agreement”).
3. Uraian Informasi atau Fakta A. Nama pihak yang melakukan transaksi dan hubungan:

Suatu perseroan terbatas yang didirikan berdasarkan hukum
negara Indonesia, berkedudukan di Kota Administrasi Jakarta
Selatan, merupakan entitas anak dari Perseroan dengan
kepemilikan 99,99% (sembilan puluh sembilan koma sembilan
sembilan persen).
• AGJ
Suatu perseroan terbatas yang didirikan berdasarkan hukum
negara Indonesia, berkedudukan di Kota Depok, merupakan
entitas anak dari ASG dengan kepemilikan 99,99% (sembilan
puluh sembilan koma sembilan sembilan persen).
• Perseroan
Pemegang saham mayoritas dan pengendali dari ASG dan
pemegang saham tidak langsung dari AGJ.
B. Uraian informasi:
1. Berdasarkan Perjanjian Fasilitas Kredit tersebut, Para
Peminjam mendapatkan fasilitas kredit dengan nilai sebesar

Rp54.900.000.000,00 (lima puluh empat miliar sembilan ratus
juta rupiah).
2. Bahwa fasilitas kredit tersebut merupakan fasilitas utang
gabungan atau fasilitas bersama yang merupakan satu
kesatuan fasilitas utang yang tidak terbagi-bagi/ terpecah-
pecah dan akan digunakan bersama-sama oleh Para Peminjam.
3. Perseroan melakukan pemberian jaminan dalam bentuk Surat
Utang (Obligasi) Pemerintah (Bond ) sebesar
Rp61.000.000.000,00 (enam puluh satu miliar Rupiah) kepada
Bank untuk fasilitas kredit yang diterima Para Peminjam
(“Pemberian Jaminan“).
4. Para Peminjam akan secara tanggung renteng untuk
memastikan pemenuhan kewajiban diantara Para Peminjam
berdasarkan Perjanjian Fasilitas Kredit.

Indonesia, domiciled in South Jakarta, is a subsidiary of the
Company with 99.99% (ninety-nine-point nine nine percent)
ownership.
• AGJ
A limited liability company established under the laws of
Indonesia, domiciled in Depok City, is a subsidiary of ASG with
99.99% (ninety-nine-point nine nine percent) ownership.
• Company
The majority and controlling shareholder of ASG and indirect
shareholder of AGJ.
B. Description of Credit Facility Agreement:
1. Based on the Credit Facility Agreement, the Borrowers receive
a credit facility with a value of Rp54,900,000,000.00 (fifty-four
billion nine hundred million rupiah).
2. That the credit facility is a joint debt facility or joint facility
which is a single debt facility that is not divided/ fragmented
and will be used together by the Borrowers.
3. The Company provides collateral in the form of Government
Debt Securities (Bonds) amounting to Rp61,000,000,000.00
(sixty-one billion Rupiah) to the Bank for the credit facility
received by the Borrowers ("Provision of Guarantee").
4. The Borrowers will be jointly and severally liable to ensure the
fulfillment of obligations between the Borrowers under the
Credit Facility Agreement.

4. Dampak Kejadian, Informasi atau Pelaksanaan atas Perjanjian Fasilitas Kredit dan Pemberian Jaminan ini

5. Keterangan lain-lain 1. Penandatanganan Perjanjian Fasilitas Kredit dan Pemberian
Jaminan merupakan transaksi afiliasi sesuai POJK No. 42 Tahun
2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan (“POJK 42”), namun tidak wajib memenuhi
ketentuan dalam Pasal 4 ayat 1 POJK 42, dengan dasar:
(i) Pasal 6 ayat (1) huruf b angka 2 POJK 42, yaitu transaksi
sesama Perusahaan Terkendali yang sahamnya dimiliki paling
sedikit 99% (sembilan puluh sembilan persen) oleh
Perusahaan Terbuka;
(ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi pinjaman
yang diterima secara langsung dari bank; dan
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi pemberian
jaminan kepada bank atas pinjaman yang diterima secara
langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali
2. Penandatanganan Perjanjian Fasilitas Kredit dan Pemberian
Jaminan di atas bukan merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42 dan bukan merupakan
transaksi material sebagaimana dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
Other information 1. The signing of the Credit Facility Agreement and the Provision of
Guarantee constitutes an affiliated transaction in accordance with
POJK No. 42 of 2020 concerning Affiliated Transactions and
Conflict of Interest Transactions ("POJK 42"), but is not required
to comply with the provisions in Article 4 paragraph 1 of POJK 42,
on the basis of:
(i) Clause 6 section (1) letter b point (2) of POJK 42, i.e. a
transaction between the subsidiaries whose at least 99% of
their shares are owned by the Public Company;
(ii) Clause 6 section (1) letter (d) of POJK 42, i.e. a loan received
directly from banks; and
(iii) Clause 6 section (1) letter (e) of POJK 42, i.e. a corporate
guarantee provided to bank in relation to the loan granted to
a public company or its subsidiaries.
2. The signing of the Credit Facility Agreement and the Provision of
Guarantee is not a conflict-of-interest transaction of the Company
as referred to POJK 42 and not a material transaction as referred
