Pada tanggal 05 Juni 2025, Perseroan telah menandatangani
Perjanjian Kredit Fleksibel dan Perjanjian Kredit Berjangka
dengan Jaminan Hak Tanggungan ("Perjanjian Kredit”)
dengan PT Bank Perekonomian Rakyat Karyajatnika Sadaya
(“BPR KS”), dengan rincian informasi sebagai berikut:
I. Objek dan Nilai Transaksi
Perseroan memperoleh fasilitas kredit dari BPR KS dengan
total nilai transaksi sebesar Rp 4.000.000.000,- (empat
miliar rupiah), yang terdiri atas dua fasilitas terpisah,
masing-masing sebesar Rp 2.000.000.000,- (dua miliar
rupiah), dengan rincian sebagai berikut:

Hubungan Para Pihak
- Perseroan, dan
- PT Bank Perekonomian Rakyat Karyajatnika Sadaya,
adalah bank perkreditan rakyat yang bergerak di
bidang jasa keuangan, khususnya — dalam
penghimpunan dana dan penyaluran kredit kepada
masyarakat, terutama pelaku usaha mikro, kecil, dan
menengah (UMKM).
Tidak terdapat hubungan afiliasi antara Perseroan dengan
BPR KS.
Persyaratan Efektif Fasilitas Kredit
Perseroan telah memenuhi syarat efektif kredit yang
ditetapkan oleh BPR KS, dengan rincian sebagai berikut:
1. Perjanjian kredit secara Notaril telah ditandatangani
oleh pengurus perusahaan yang berwenang sesuai
Anggaran Dasar Perusahaan yang masih berlaku
2. Pemberian Jaminan berupa 2 (dua) bidang tanah
dengan Sertifikat Hak Guna Bangunan (SHGB) melalui
notaris, yaitu:
- SHGB No. 2375 atas nama PT Hetzer Medical
Indonesia, berlokasi di Komplek Mekarwangi Jl.
Mekar Utama No.112C, Kelurahan Mekarwangi,
Kecamatan Bojongloa Kidul, Kota Bandung, luas
tanah 253 m?
- SHGB No.2376 atas nama Jemmy Kurniawan dan
Yenny Marlina, berlokasi di Komplek Mekarwangi Jl.

Application Approval Letter ("Agreement") with PT Bank
Perekonomian Rakyat Karyajatnika Sadaya ("BPR KS"), with
detailed information as follows:

The Company obtained credit facilities from BPR KS with ad
total transaction value of Rp 4.000.000.000,- (four billion
rupiah), consisting of two separate facilities, each with ad
ceiling of Rp 2.000.000.000,- (two billion rupiah), with

Relationship of the Parties - Company, and - PT Bank Perekonomian Rakyat Karyajatnika Sadaya, isa people's credit bank engaged in financial services, especially in raising funds and lending to the community, especially micro, small, and medium enterprises (MSMEs). There is no affiliation between the Company and BPR KS. Effective Credit Facility Reguirements The Company has met the effective credit reguirements set by BPR KS, with details as follows: 1. The authorized management of the company has signed a notarial credit agreement by the Company's Articles of Association, which are still valid 2. Provision of collateral in the form of 2 (two) plots of land with Building Rights Title Certificate (SHGB) through a notary, namely: - SHGB No. 2375 in the name of PT Hetzer Medical Indonesia, located at Komplek Mekarwangi Jl. Penjelasan, Pertimbangan, dan Alasan dilakukannya Transaksi Material Explanation, Consideration, Reasons for Material Transactions and Sebagai bagian dari strategi pendanaan jangka pendek dan upaya penguatan likuiditas operasional, Perseroan mengajukan fasilitas kredit untuk membiayai kebutuhan operasional dan biaya overhead guna mendukung kelancaran kegiatan usaha. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha The impact of these material events, information, or facts on operational activities, legal, financial conditions, or business continuity Dampak Material dari kejadian, informasi, atau fakta material terhadap kegiatan operasional, atau kelangsungan usaha yang diungkapkan oleh Perseroan ini akan mendukung pertumbuhan dan memperkuat kinerja operasional Perseroan yang lebih baik. Tidak ada dampak material terhadap kondisi keuangan Perseroan, kecuali adanya kewajiban pembayaran bunga dan pokok pinjaman secara periodik. Selain itu tidak ada dampak material dari kejadian, informasi atau fakta material terhadap kondisi hukum Perseroan. The material impact of the events, information, or material facts disclosed by the Company on its operational activities or business continuity will support growth and strengthen the Company's operational performance. There is no material impact on the Company's financial condition, except for the obligation to pay interest and principal of the loan periodically. In addition, there is no material impact of events, information, or material facts on the Company's legal condition. 3.) 11. « 2 PT Hetzer Medical Indonesia Tbk 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha, karena nilai transaksi tersebut tidak melebihi 20x (dua puluh persen) dari total ekuitas Perseroan, dan merupakan transaksi yang diterima langsung dari bank. Transaksi berupa perolehan fasilitas kredit dari BPR KS dan pemberian jaminan atas fasilitas kredit tersebut termasuk dalam pengecualian sebagaimana dimaksud dalam Peraturan OJK Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan, karena transaksi tersebut termasuk dalam transaksi pemberian jaminan kepada bank atas pinjaman yang diterima secara langsung oleh Perusahaan Terbuka. Pernyataan yang disampaikan dalam Keterbukaan Informasi ini tidak memuat pernyataan-pernyataan atau informasi atau fakta yang tidak benar atau menyesatkan, serta telah memuat seluruh informasi atau fakta material yang diperlukan bagi Pemegang Saham untuk mengambil keputusan yang tepat. The Board of Commissioners and Directors of the Company declare that: | This transaction in the form of obtaining a credit facility from BPR KS is not included in the Material Transaction category as referred to in OJK Regulation Number 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities, because the transaction value does not exceed 2096 (twenty percent) of the Company's total eguity. It is a transaction received directly from the bank. Transactions in the form of obtaining credit facilities from BPR KS and providing guarantees for the credit facilities are included in the exceptions as referred to in OJK Regulation Number 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions, because the transaction is included in the transaction of providing guarantees to banks for loans received directly by Public Listed Companies. The statements in the Information Disclosure submitted do not contain statements or information or facts that are untrue or misleading, and contain all material information or facts necessary for Shareholders to make decisions. ke) Jl.
