                                   PT Summit Oto Finance (SOFN)

Merujuk pada surat Bursa tanggal 6 Juli 2026 perihal Permintaan Penjelasan PT Summit Oto Finance
(SOFN/ Perseroan), berikut ini penjelasan yang Perseroan dapat sampaikan kepada Bursa, sebagaimana
berikut:

Kapasitas Keuangan dan Kemampuan Pemenuhan Kewajiban
1. Sebagai Perusahaan Penerima Penggabungan, Perseroan akan menanggung seluruh kewajiban PT
   Oto Multiartha (OTMA), termasuk utang obligasi OTMA sebesar Rp2,74 triliun, sehingga total
   utang obligasi gabungan (proforma) menjadi sekitar Rp4,24 triliun. Agar dijelaskan mengenai
   kemampuan dan strategi pendanaan Perseroan untuk memenuhi seluruh kewajiban obligasi
   tersebut, termasuk profil jatuh tempo gabungan dan rencana refinancing.

   Jawaban:
   Sehubungan dengan pengelolaan pendanaan, Perseroan menerapkan strategi diversifikasi sumber
   pendanaan yang berasal dari pinjaman dalam negeri, pinjaman luar negeri, serta penerbitan obligasi.
   Pada tahun 2026, baik Perseroan maupun OTMA tidak melakukan penerbitan obligasi. Hal tersebut
   mempertimbangkan rencana pelaksanaan aksi korporasi berupa penggabungan usaha yang
   dilaksanakan pada tahun dimaksud.

   Sejak tanggal efektif penggabungan, seluruh aset dan liabilitas OTMA, termasuk seluruh hak dan
   kewajibannya, demi hukum akan beralih kepada Perseroan sebagai entitas hasil penggabungan.
   Sehubungan dengan hal tersebut, pengelolaan portofolio pembiayaan dan liabilitas pendanaan akan
   dilakukan secara terintegrasi oleh Perseroan.

   Dalam melakukan pengelolaan pendanaan pasca-Penggabungan, Perseroan akan senantiasa
   memperhatikan kecukupan kas dan setara kas, ketersediaan fasilitas pendanaan yang belum ditarik
   (undrawn facilities), perolehan fasilitas pendanaan baru, serta pelaksanaan refinancing. Selain itu,
   Perseroan akan mengelola profil jatuh tempo pinjaman bank dan obligasi secara hati-hati guna
   menjaga kecukupan likuiditas, memenuhi kewajiban yang jatuh tempo, serta mempertahankan
   struktur pendanaan yang sehat dan berkelanjutan.

   Sehubungan dengan profil jatuh tempo pinjaman bank dan obligasi dari kedua entitas per posisi
   Juni 2026 berdasarkan data interim (tidak diaudit), adalah sebagai berikut:

   Sehubungan dengan fasilitas yang belum digunakan per posisi Juni 2026 berdasarkan data interim

   Sedangkan untuk posisi kas dan setara kas per posisi Juni 2026 berdasarkan data interim (tidak
   diaudit) adalah sebagai berikut (dalam ekuivalen jutaan rupiah):

2. Perseroan membukukan rugi bersih Rp505,3 miliar pada 2025 dengan penyisihan kerugian
   penurunan nilai sebesar Rp2,50 triliun, dan proforma gabungan menunjukkan rugi bersih Rp2,42
   triliun. Agar dijelaskan mengenai proyeksi pemulihan kinerja pasca-Penggabungan serta asumsi
   utama yang mendasarinya.

   Jawaban:
   Perseroan telah melakukan pembentukan cadangan kerugian sebesar Rp2,42 triliun pada 2
   perusahaan dalam rangka membersihkan buku perusahaan penerima penggabungan (SOFN) setelah
   efektif penggabungan, dimana cadangan kerugian ini dibentuk untuk piutang-piutang bermasalah
   OTMA dan SOFN yang telah direstrukturisasi pada periode tahun 2022-2024. Adapun pemulihan
   kinerja pasca-Penggabungan yang akan dilakukan adalah meningkatkan pembiayaan baru
   Perseroan dengan lebih berhati-hati, meningkatkan manajemen penagihan Perseroan, serta
   implementasi digitalisasi untuk melakukan fine tuning terhadap credit scoring yang dibuat oleh
   Perseroan, serta meningkatkan efektivitas manajemen penagihan yang dilakukan oleh Perseroan.


3. Agar disampaikan perhitungan rasio keuangan proforma pasca-Penggabungan yang relevan bagi
   pemegang obligasi (antara lain gearing ratio, rasio permodalan sesuai POJK, dan rasio-rasio yang
   dipersyaratkan dalam Perjanjian Perwaliamanatan Perseroan maupun OTMA), disertai konfirmasi
   pemenuhannya.

    Berdasarkan realisasi kinerja Perseroan dan OTMA per bulan Mei 2026, Perseroan yakin bahwa
    pasca-Penggabungan rasio-rasio yang diproyeksikan dapat dicapai, dan rasio-rasio yang
    dipersyaratkan juga dapat dipenuhi.

4. Ringkasan Rancangan Penggabungan menyatakan tingkat kesehatan Perseroan pasca-
   Penggabungan berada pada Peringkat Komposit 1 (sangat sehat). Mengingat kedua perusahaan
   membukukan kerugian material pada 2025, agar dijelaskan dasar penilaian dan tanggal posisi
   penilaian tersebut, serta apakah penilaian telah memperhitungkan kondisi keuangan gabungan
   terkini.

   Jawaban:
   Merujuk kepada SE OJK No. 11/SEOJK.05/2020 tentang Penilaian Tingkat Kesehatan Perusahaan
   Pembiayaan, Peringkat Komposit Perseroan didasarkan pada penilaian beberapa faktor seperti Tata
   Kelola, Profil Risiko, Rentabilitas dan Permodalan. Adapun faktor rentabilitas tidak hanya
   didasarkan pada laba atau rugi Perseroan serta rasio-rasio rentabilitas pada tahun yang berjalan,
   namun juga ditentukan berdasarkan Proyeksi rentabilitas di masa datang, serta pelaksanaan fungsi
   sosial oleh Perseroan.

   Tanggal posisi penilaian adalah per 31 Desember 2025 dengan menggunakan angka proforma
   Perseroan dan OTMA.


5. Apakah lembaga pemeringkat efek telah melakukan reviu atas peringkat obligasi Perseroan
   sehubungan dengan rencana Penggabungan dan penambahan beban kewajiban dari OTMA? Agar
   disampaikan perkembangan terkininya.

   Jawaban:
   Berdasarkan Sertifikat Pemantauan Pemeringkatan yang diterbitkan pada tanggal 3 Februari 2026,
   pemantauan atas peringkat obligasi Perseroan telah dilakukan dengan mempertimbangkan hasil
   kajian terhadap data dan informasi awal yang telah disampaikan yang terkait dengan rencana
   penggabungan serta kinerja keuangan Perseroan untuk tahun buku 2025.


Obligasi Perseroan dan Obligasi OTMA yang Dialihkan
6. Apakah Perjanjian Perwaliamanatan atas obligasi Perseroan yang masih beredar memuat ketentuan
   yang mensyaratkan persetujuan RUPO, pemberitahuan, atau persetujuan Wali Amanat sehubungan
   dengan Penggabungan (termasuk klausul pembatasan penggabungan usaha)? Agar disampaikan
   status pemenuhannya.

   Jawaban:
   Perjanjian Perwaliamanatan atas obligasi Perseroan yang masih beredar tidak mensyaratkan
   persetujuan Rapat Umum Pemegang Obligasi (RUPO) dan/atau persetujuan Wali Amanat
   sehubungan dengan rencana Penggabungan, karena tindakan penggabungan OTMA dengan
   Perseroan merupakan tindakan yang telah dikecualikan sebagaimana diatur dalam Perjanjian
   Perwaliamanatan. Sehubungan dengan rencana tersebut, baik Perseroan maupun OTMA telah
   menyampaikan pemberitahuan secara khusus kepada Wali Amanat.

7. Agar dijelaskan mengenai kesiapan administratif Perseroan untuk mengambil alih kedudukan
   sebagai penerbit atas obligasi OTMA, termasuk amendemen Perjanjian Perwaliamanatan,
   perubahan data pada KSEI dan Bursa, serta kesinambungan pembayaran kupon tanpa gangguan
   pada masa transisi.

   Jawaban:
   Sejak Tanggal Efektif Penggabungan, kedudukan OTMA sebagai penerbit obligasi beralih demi
   hukum kepada Perseroan selaku perusahaan penerima Penggabungan. Sehubungan dengan hal
   tersebut, Perseroan akan memenuhi ketentuan administratif yang dipersyaratkan oleh Bursa dan
   KSEI terkait tindak lanjut pencatatan obligasi setelah Tanggal Efektif Penggabungan (apabila ada),
   termasuk jika diperlukan penyesuaian identitas penerbit dalam sistem Bursa dan KSEI.

   Perseroan dan OTMA akan berkoordinasi dengan Bursa dan KSEI untuk memastikan proses
   administrasi tersebut dilaksanakan sesuai ketentuan dan prosedur yang berlaku termasuk
   berkoordinasi dengan Wali Amanat mengenai perlu atau tidaknya melakukan amandemen
   Perjanjian Perwaliamanatan.

   Selanjutnya sehubungan dengan kesinambungan pembayaran kupon pada masa transisi, agar tidak
   terjadi gangguan. Selama proses Penggabungan, OTMA akan memastikan bahwa seluruh
   kewajiban pembayaran bunga (kupon) dan pokok atas obligasi OTMA akan tetap dipenuhi tepat
   waktu sesuai dengan jadwal yang telah ditetapkan. Sejak Tanggal Efektif Penggabungan, tanggung
   jawab atas pemenuhan seluruh kewajiban tersebut beralih demi hukum kepada Perseroan selaku
   perusahaan penerima Penggabungan.

8. Apakah terdapat perbedaan struktur jaminan, peringkat (ranking), atau perlindungan kontraktual
   antara obligasi Perseroan eksisting dengan obligasi OTMA yang akan dialihkan, dan bagaimana
   Perseroan memastikan tidak terjadi penurunan perlindungan bagi masing-masing kelompok
   pemegang obligasi (termasuk aspek pari passu)?

   Jawaban:
   Tidak terdapat perbedaan struktur jaminan, peringkat (ranking), atau perlindungan kontraktual
   antara obligasi Perseroan eksisting dengan obligasi OTMA yang akan dialihkan, sehingga tidak
   akan terjadi penurunan perlindungan bagi masing-masing kelompok pemegang obligasi.


Aspek Operasional dan Tata Kelola
9. Jadwal Penggabungan menyebutkan Tanggal Efektif Penggabungan secara hukum diperkirakan 1
   September 2026, sedangkan tanggal efektif penggabungan usaha secara operasional adalah 1
   September 2027. Agar dijelaskan mengenai kondisi operasional pada masa transisi selama satu
   tahun tersebut, termasuk pengelolaan portofolio, sistem, dan pelayanan debitur eks-OTMA, serta
   risiko yang mungkin timbul bagi pemenuhan kewajiban kepada pemegang obligasi.

   Jawaban:
   Kondisi operasional Perseroan pada masa transisi selama satu tahun akan dilakukan secara bertahap,
   dimana penggabungan cabang-cabang Perseroan dan OTMA akan dilakukan, namun pengelolaan
   portfolio tetap akan dilakukan secara terpisah, yaitu divisi OTO Mobil dan divisi OTO Motor.
   Untuk sistem secara bertahap akan dilakukan penyelarasan, meskipun secara umum tidak terlalu
   berbeda jauh implementasi sistem yang dilakukan baik di Perseroan maupun di OTMA.

   Setelah Tanggal Efektif Penggabungan, pelayanan debitur OTMA serta pemenuhan kewajiban
   kepada pemegang obligasi OTMA tidak akan ada perbedaan dari sebelumnya, dimana Perseroan
   akan mengambil alih kewajiban tersebut secara hukum dan melanjutkan operasional serta pelayanan
   kepada debitur maupun pemegang obligasi OTMA, dengan demikian tidak ada risiko yang akan
   timbul bagi pemenuhan kewajiban kepada debitur maupun pemegang obligasi OTMA.

10. Agar dijelaskan mengenai rencana integrasi manajemen risiko dan penanganan portofolio
    pembiayaan bermasalah gabungan, mengingat besarnya pembentukan cadangan kerugian pada
    kedua perusahaan di tahun 2025.


   Jawaban:
   Pembentukan cadangan kerugian pada Perseroan dan OTMA dibentuk dalam rangka membersihkan
   buku Perseroan sebagai perusahaan penerima penggabungan setelah Tanggal Efektif
   Penggabungan, dimana cadangan kerugian ini dibentuk untuk piutang-piutang bermasalah
   Perseroan dan OTMA yang telah direstrukturisasi pada periode tahun 2022-2024. Adapun
   penambahan cadangan kerugian OTMA yang dilakukan di tahun 2025 ini menunggu untuk dapat
   dihapusbukukan setelah Penggabungan menjadi efektif. Perseroan mempertimbangkan untuk tidak
   melakukan penghapusan buku di tahun 2025 melainkan menambah pembentukan cadangan
   kerugian sehubungan dengan manfaat yang akan diperoleh dari sisi pajak setelah Penggabungan.

11. Agar dikonfirmasi rencana penyampaian keterbukaan informasi kepada OJK Pasar Modal, Bursa,
    dan publik atas setiap perkembangan material Penggabungan, termasuk keterbukaan informasi Akta
    Penggabungan (dijadwalkan 21 Agustus 2026) dan laporan pasca-pelaksanaan Penggabungan (2
    September 2026), sesuai ketentuan yang berlaku.

   Jawaban:
   Sebagaimana yang telah kami cantumkan pada iklan rencana penggabungan yang telah kami
   publikasikan, penyampaian keterbukaan informasi atas penggabungan usaha yang akan dilakukan
   sebagai berikut:
   1. Pada saat keputusan Keputusan Sirkuler sebagai pengganti RUPS yang menyetujui rencana
      penggabungan memperoleh persetujuan dari seluruh pemegang saham, Perseroan akan
      menyampaikan laporan keterbukaan informasi atau fakta material paling lambat H+1 sebelum
      pukul 09.00 WIB.
   2. Perseroan akan menyampaikan Laporan keterbukaan informasi atau fakta material atas
      penandatanganan Akta Penggabungan paling lambat H+1 sebelum pukul 09.00 WIB.

   Adapun pasca-Penggabungan, penyampaian keterbukaan informasi yang akan dilakukan Perseroan
   antara lain:
   1. Menyampaikan Laporan Perubahan Anggaran Dasar Perseroan.
   2. Menyampaikan Laporan Perubahan Pengurus.
   3. Menyampaikan Laporan Perubahan Sekretaris Perusahaan.
   4. Menyampaikan Laporan Perubahan Internal Audit.
   5. Menyampaikan Laporan Perubahan Perjanjian Pewaliamatan.

12. Apabila terdapat pemegang obligasi atau kreditur yang mengajukan keberatan dan keberatan
    tersebut belum terselesaikan hingga jadwal RUPS/Keputusan Sirkuler, agar dijelaskan mengenai
    dampaknya terhadap kelangsungan jadwal Penggabungan.

   Jawaban:
   Sehubungan dengan kreditur-kreditur dari Perseroan dan OTMA berdasarkan perjanjian kredit,
   hanya sebagian kecil yang mensyaratkan untuk memperoleh persetujuan dari kreditur. Terhadap
   kreditur-kreditur tersebut proses permintaan persetujuan telah disampaikan dan Perseroan serta
   OTMA telah memperoleh persetujuan dari seluruh kreditur.

   Sedangkan terhadap pemegang obligasi tindakan penggabungan yang dilakukan Perseroan dengan
   OTMA merupakan tindakan yang telah disetujui sebagaimana diatur dalam Perjanjian
   Perwaliamanatan.

With reference to the Exchange’s letter dated July 6, 2026, regarding the Request for Clarification from
PT Summit Oto Finance (SOFN/the Company), the Company hereby provides the following
explanation to the Exchange:

   Financial Capacity and Ability to Meet Obligations
1. As the Merging Company, the Company will assume all of PT Oto Multiartha’s (OTMA)
   obligations, including OTMA’s bond debt of Rp2.74 trillion, bringing the total combined (pro
   forma) bond debt to approximately Rp4.24 trillion. Please explain the Company’s capacity and
   funding strategy to meet all of these bond obligations, including the combined maturity profile and
   refinancing plans.

    Answer:
    With regard to funding management, the Company implements a strategy of diversifying its funding
    sources, which include domestic loans, foreign loans, and bond issuances. In 2026, neither the
    Company nor OTMA issued any bonds. This decision was made in light of plans to carry out a
    corporate action in the form of a business merger during that year.

    As of the effective date of the merger, all of OTMA’s assets and liabilities, including all of its rights
    and obligations, will by operation of law be transferred to the Company as the merged entity. In
    light of this, the management of the financing portfolio and funding liabilities will be conducted in
    an integrated manner by the Company.

    In managing funding post-Merger, the Company will consistently monitor the adequacy of cash and
    cash equivalents, the availability of undrawn financing facilities, the acquisition of new financing
    facilities, and the execution of refinancing. In addition, the Company will carefully manage the
    maturity profiles of bank loans and bonds to maintain sufficient liquidity, meet maturing
    obligations, and sustain a healthy and sustainable funding structure.

    The maturity profiles of bank loans and bonds for both entities as of June 2026, based on interim
    (unaudited) data, are as follows:

2. The Company reported a net loss of Rp505.3 billion in 2025, including an impairment charge of
   Rp2.50 trillion, and the combined pro forma results show a net loss of Rp2.42 trillion. Please explain
   the projections for performance recovery following the Merger, as well as the key assumptions
   underlying them.

    Answer:
    The Company has established a loss reserve of Rp2.42 trillion for two companies in order to clean
    up the books of the merging company (SOFN) following the merger’s effectiveness; this loss
    reserve was established for the restructured non-performing loans of OTMA and SOFN during the
    2022–2024 period. The post-merger performance recovery measures to be implemented include
    increasing the Company’s new financing more cautiously, improving the Company’s collection
    management, and implementing digitalization to fine-tune the Company’s credit scoring system, as
    well as enhancing the effectiveness of the Company’s collection management.


3. Please provide the relevant post-Merger pro forma financial ratios for bondholders (including,
   among others, the gearing ratio, the capital adequacy ratio in accordance with POJK, and the ratios
   required under the Company’s Trust Agreement and OTMA), along with confirmation of
   compliance.

    Based on the Company’s and OTMA’s actual performance as of May 2026, the Company is
    confident that the projected post-Merger ratios can be achieved and that the required ratios can also
    be met.

4. The Merger Proposal Summary states that the Company’s financial health following the Merger is
   rated at Composite Rating 1 (very healthy). Given that both companies recorded material losses in
   2025, please explain the basis for the assessment and the date of the assessment, as well as whether
   the assessment has taken into account the current combined financial condition.

    Answer:
    With reference to OJK Circular Letter No. 11/SEOJK.05/2020 regarding the Assessment of the
    Financial Health of Financing Companies, the Company’s Composite Rating is based on an
    assessment of several factors, such as Corporate Governance, Risk Profile, Profitability, and Capital
    Adequacy. The profitability factor is not only based on the Company’s profit or loss and profitability
    ratios for the current year, but is also determined based on projected future profitability, as well as
    the Company’s fulfillment of its social responsibilities.

    The assessment date is December 31, 2025, using the Company’s pro forma figures and OTMA.

5. Have the credit rating agencies reviewed the Company’s bond ratings in light of the planned Merger
   and the addition of liabilities from OTMA? Please provide an update on the latest developments.

    Answer:
    Based on the Rating Monitoring Certificate issued on February 3, 2026, the monitoring of the
    Company’s bond rating was conducted taking into account the results of a review of the
    preliminary data and information submitted regarding the merger plan and the Company’s
    financial performance for the 2025 fiscal year.

The Company's Bonds and Transferred OTMA Bonds
6. Do the Trust Agreements governing the Company’s outstanding bonds contain provisions requiring
   the approval of the General Meeting of Bondholders, notice, or the Trustee’s approval in connection
   with the Merger (including merger restriction clauses)? Please provide an update on the status of
   compliance.

    Answer:
    The Trust Deed governing the Company's outstanding bonds does not require the approval of a
    Bondholders' General Meeting (RUPO) and/or the Trustee in connection with the proposed merger,
    as the merger between OTMA and the Company constitutes an exempted transaction under the
    provisions of the Trust Deed. In relation to the proposed merger, both the Company and OTMA
    have provided separate formal notifications to the Trustee.


7. Please explain the Company’s administrative readiness to assume the role of issuer of the OTMA
   bonds, including amendments to the Trust Agreement, updates to data at KSEI and the Stock
   Exchange, and the uninterrupted continuation of coupon payments during the transition period.

    Answer:
    As of the Effective Date of the Merger, OTMA’s status as a bond issuer is automatically transferred
    to the Company as the receiving entity of the Merger. In this regard, the Company will comply with
    the administrative requirements set forth by the Exchange and KSEI regarding the follow-up to the
    bond listing after the Effective Date of the Merger (if any), including, if necessary, adjustments to
    the issuer’s identity in the Exchange’s and KSEI’s systems.

    The Company and OTMA will coordinate with the Stock Exchange and KSEI to ensure that the
    administrative process is carried out in accordance with the applicable laws, regulations, and
    procedures, including coordinating with the Trustee to determine whether an amendment to the
    Trust Deed is required.

    Furthermore, regarding the continuity of coupon payments during the transition period, to prevent
    any disruptions. During the Merger process, OTMA will ensure that all obligations to pay interest
    (coupon) and principal on OTMA bonds will continue to be met on time in accordance with the
    established schedule. As of the Effective Date of the Merger, responsibility for fulfilling all such
    obligations will be transferred by operation of law to the Company as the receiving entity in the
    Merger.

8. Are there any differences in the collateral structure, ranking, or contractual protections between the
   Company’s existing bonds and the OTMA bonds to be transferred, and how does the Company
   ensure that there is no reduction in protection for each group of bondholders (including pari passu
   provisions)?

    Answer:
    There are no differences in the collateral structure, ranking, or contractual protection between the
    Company’s existing bonds and the OTMA bonds to be transferred; therefore, there will be no
    reduction in protection for any group of bondholders.


Operational and Governance Aspects
9. The Merger Schedule states that the legal effective date of the merger is estimated to be September
   1, 2026, while the operational effective date of the business merger is September 1, 2027. Please
   explain the operational conditions during this one-year transition period, including the management
   of the portfolio, systems, and services for former OTMA debtors, as well as any risks that may arise
   regarding the fulfillment of obligations to bondholders.


    Answer:
    The Company’s operational conditions during the one-year transition period will be implemented
    in phases, during which the Company’s branches and OTMA’s branches will be merged, though
    portfolio management will continue to be conducted separately—specifically by the OTO Mobil
    division and the OTO Motor division. System alignment will be carried out gradually, although in
    general there are no significant differences between the systems implemented by the Company and
    those by OTMA.

    After the Effective Date of the Merger, there will be no change in the service provided to OTMA
    debtors or in the fulfillment of obligations to OTMA bondholders compared to before, as the
    Company will legally assume these obligations and continue operations and services to both OTMA
    debtors and bondholders; thus, there will be no risk regarding the fulfillment of obligations to
    OTMA debtors or bondholders.

10. Please explain the plan for integrating risk management and handling the combined non-performing
    loan portfolio, given the significant amount of loss reserves set aside by both companies in 2025.


    Answer:
    The loss reserves at the Company and OTMA were established to clean up the Company’s books
    as the acquiring company following the Effective Date of the Merger; these reserves were set aside
    for the Company’s and OTMA’s non-performing receivables that were restructured during the
    2022–2024 period. As for the increase in OTMA’s loss reserves in 2025, these are pending write-
    off once the Merger becomes effective. The Company is considering not writing off these reserves
    in 2025 but instead increasing the loss reserves in light of the tax benefits to be derived following
    the Merger.

11. Please confirm the plan to disclose information to the OJK Capital Market Directorate, the Stock
    Exchange, and the public regarding any material developments related to the Merger, including the
    disclosure of the Merger Deed (scheduled for August 21, 2026) and the post-Merger
    implementation report (September 2, 2026), in accordance with applicable regulations.



    Answer:
    As stated in the merger plan announcement we have published, the disclosure of information
    regarding the proposed business merger will be as follows:
    1. Upon the Circular Resolution—which serves as a substitute for the General Meeting of
       Shareholders approving the merger plan—receiving approval from all shareholders, the
       Company will submit a disclosure report or material fact report no later than H+1 before 9:00
       a.m. WIB.
    2. The Company will submit a disclosure report or material fact regarding the signing of the Deed
       of Merger no later than H+1 before 09:00 WIB.

    Following the Merger, the disclosure reports to be submitted by the Company include the following:
    1. Submit a Report on Amendments to the Company’s Articles of Association.
    2. Submit a Report on Changes to the Board of Directors.
    3. Submit a Report on Changes to the Corporate Secretary.
    4. Submit a Report on Changes to the Internal Audit.
    5. Submit a Report on Changes to the Custodianship Agreement.

12. If any bondholders or creditors file objections and those objections remain unresolved by the date
    of the GMS or the Circular Resolution, please explain the impact on the continuation of the Merger
    schedule.

    Answer:
    With regard to the Company’s and OTMA’s creditors under credit agreements, only a small portion
    requires creditor approval. The process of requesting approval from these creditors has been
    completed, and the Company and OTMA have obtained approval from all creditors.

    As for bondholders, the merger between the Company and OTMA is an action that has been
    approved as stipulated in the Trust Agreement.
