RINGKASAN RISALAH
RAPAT UMUM PEMEGANG SAHAM TAHUNAN
PT NUSANTARA INFRASTRUCTURE Tbk
PT NUSANTARA INFRASTRUCTURE Tbk berkedudukan di Jakarta Selatan, Pada hari ini Rabu, tanggal 28 Mei 2025, berada di Equity
Tower Lantai 38, Jalan Jenderal Sudirman Kav. 52-53, SCBD Lot 9, Jakarta Selatan 12190, Indonesia, telah diadakan Rapat Umum Pemegang
Saham Tahunan (selanjutnya disebut “RUPST”) PT NUSANTARA INFRASTRUCTURE Tbk (selanjutnya disebut “Perseroan”). RUPST
dibuka pada pukul 14.28 WIB dan RUPST hanya dihadiri oleh anggota Direksi Perseroan yakni :

B. Mata Acara RUPST
1. Persetujuan Laporan Tahunan Perseroan termasuk pengesahan Laporan Keuangan Tahunan dan Laporan Pelaksanaan
Tugas Pengawasan Dewan Komisaris untuk tahun buku 2024;
2. Persetujuan penggunaan Laba Bersih Perseroan untuk Tahun Buku yang berakhir tanggal 31 Desember 2024;
3. Penunjukan Akuntan Publik untuk melakukan audit atas Laporan Keuangan Perseroan untuk Tahun Buku yang berakhir
pada tanggal 31 Desember 2025;
4. Persetujuan perubahan anggota Direksi dan anggota Dewan Komisaris Perseroan; dan
5. Penetapan tugas dan wewenang serta gaji dan tunjangan bagi anggota Direksi Perseroan, dan gaji atau honorarium dan
tunjangan bagi anggota Dewan Komisaris Perseroan untuk Tahun 2025.
C. Kuorum Kehadiran Para Pemegang Saham
Bahwa ketentuan mengenai kuorum untuk sahnya penyelenggaraan RUPST adalah berdasarkan :

➢ Kuorum kehadiran untuk seluruh Mata Acara RUPST berlaku ketentuan berdasarkan Pasal 41 ayat 1 (a) POJK 15/2020, bahwa
RUPST dapat dilangsungkan jika dalam RUPST lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham dengan hak suara
hadir atau diwakili dan RUPST adalah sah jika disetujui oleh lebih dari 1/2 (satu per dua) bagian dari seluruh saham dengan hak suara
yang hadir dalam RUPST.
-Dalam RUPST telah dihadiri oleh para pemegang saham atau kuasanya yang sah yang hadir atau diwakili dalam RUPST sebanyak
17.164.421.736 (tujuh belas miliar seratus enam puluh empat juta empat ratus dua puluh satu ribu tujuh ratus tiga puluh enam) saham atau
sebesar 99,07% (sembilan puluh sembilan koma nol tujuh persen) dari 17.325.253.194 (tujuh belas miliar tiga ratus dua puluh lima juta
dua ratus lima puluh tiga ribu seratus sembilan puluh empat) saham, yang merupakan hasil pengurangan seluruh saham yang telah
dikeluarkan oleh Perseroan sampai dengan tanggal 5 Mei 2025 pukul 16.00 WIB, yaitu sejumlah 17.710.708.194 (tujuh belas miliar tujuh
ratus sepuluh juta tujuh ratus delapan ribu seratus sembilan puluh empat) saham setelah dikurangi dengan Treasury Stock yaitu sebesar
385.455.000 (tiga ratus delapan puluh lima juta empat ratus lima puluh lima ribu) saham.
-Sehingga dengan demikian berdasarkan jumlah kuorum kehadiran tersebut di atas, maka RUPST adalah sah dan dapat mengambil
keputusan-keputusan yang sah dan mengikat untuk keseluruhan Mata Acara RUPST.
D. Kesempatan Tanya Jawab
Sebelum pengambilan keputusan, Pimpinan RUPST memberikan kesempatan kepada Pemegang Saham dan/atau kuasa Pemegang Saham
yang hadir baik secara fisik maupun secara elektronik untuk mengajukan pertanyaan dalam setiap pembahasan mata acara RUPST. Tidak
ada pemegang saham dan kuasa pemegang saham yang mengajukan pertanyaan pada setiap pembahasan Mata Acara RUPST.
E. Mekanisme Pengambilan Keputusan
Keputusan diambil secara musyawarah untuk mufakat, namun apabila Pemegang Saham atau Kuasa Pemegang Saham ada yang tidak
menyetujui atau memberikan suara abstain, maka keputusan diambil dengan cara pemungutan suara.

F. Sebelum melangkah pada acara tanya jawab, Pimpinan RUPST menyampaikan bahwa untuk memudahkan para Pemegang Saham
Perseroan dalam mengikuti pembahasan Mata Acara Pertama, maka tanya jawab serta pengambilan keputusan untuk Mata Acara Pertama
akan dirangkaikan setelah pembahasan Mata Acara Kedua, mengingat materi dari kedua mata acara ini sangat erat hubungan dan
kaitannya.

Purwantono, Sungkoro & Surja (A Member of Ernst & Young Global Limited) sebagaimana
dimuat dalam Laporan Nomor 00662/2.1032/AU.1/06/0690-1/1/IV/2025, Perihal: Laporan
Keuangan Konsolidasian 31 Desember 2024, tanggal 17 April 2025, dengan pendapat: “laporan
keuangan konsolidasian menyajikan secara wajar, dalam semua hal yang material, posisi
keuangan konsolidasian Perseroan dan Entitas Anaknya tanggal 31 Desember 2024, serta kinerja
keuangan dan arus kas konsolidasiannya untuk tahun yang berakhir pada tanggal tersebut, sesuai
dengan Standar Akuntansi Keuangan di Indonesia”; dan
2. Menyetujui pemberian pelunasan dan pembebasan tanggung jawab sepenuhnya (acquit et de
charge) kepada seluruh anggota Direksi dan anggota Dewan Komisaris Perseroan atas tindakan
pengurusan dan pengawasan yang telah mereka jalankan selama tahun buku 2024 sepanjang
tindakan-tindakan mereka tersebut bukan merupakan suatu tindakan pidana dan tindakan
tersebut tercermin dalam Laporan Tahunan Perseroan.

Keputusan Mata Acara 1. Menyetujui pada tahun buku yang berakhir tanggal 31 Desember 2024, Perseroan mencatatkan
Kedua RUPST Laba Tahun Berjalan sebesar Rp331.418.246.703 (tiga ratus tiga puluh satu miliar empat ratus
delapan belas juta dua ratus empat puluh enam ribu tujuh ratus tiga Rupiah).
2. Menyetujui penempatan penggunaan Laba Bersih Perseroan sebagai berikut:
− Sejumlah Rp3.231.475.739 (tiga miliar dua ratus tiga puluh satu juta empat ratus tujuh puluh
lima ribu tujuh ratus tiga puluh sembilan Rupiah) akan dialokasikan sebagai cadangan wajib
sesuai Pasal 70 Undang-Undang Perseroan Terbatas.
− Sisanya sejumlah Rp319.916.098.117 (tiga ratus sembilan belas miliar sembilan ratus enam
belas juta sembilan puluh delapan ribu seratus tujuh belas Rupiah) disisihkan sebagai
cadangan lainnya sesuai dengan Pasal 70 Undang-undang Perseroan Terbatas yang dapat
digunakan untuk kebutuhan Perseroan termasuk pengembangan usaha, modal kerja, sosial
dan pembagian dividen masa depan; dan
− untuk tujuan kepentingan Perseroan dan karena ekspansi Perseroan yang sedang
berlangsung, Perseroan tidak akan membagikan dividen kepada Pemegang Saham Perseroan.

Keputusan Mata − Menyetujui melimpahkan wewenang kepada Dewan Komisaris Perseroan untuk menunjuk Kantor
Acara Ketiga RUPST Akuntan Publik yang terdaftar di Otoritas Jasa Keuangan untuk memeriksa dan melakukan audit
terhadap Laporan Keuangan Perseroan untuk tahun buku 2025 serta menetapkan honorarium dan
persyaratan lain penunjukannya serta menunjuk Kantor Akuntan Publik pengganti bilamana
karena sebab apa pun juga berdasarkan ketentuan peraturan yang berlaku di bidang Pasar Modal
atau ketentuan perundangan lainnya yang berlaku, Kantor Akuntan Publik yang ditunjuk tidak
dapat melaksanakan tugasnya, selanjutnya Dewan Komisaris akan memberikan kuasa kepada
Direksi sehubungan dengan Penunjukan Kantor Akuntan Publik tersebut.

Keputusan Mata 1. Menyetujui pemberhentian dengan hormat (i) Bapak Christopher Daniel Cabrera Lizo dari
Acara Keempat jabatannya sebagai Direktur Perseroan; dan (ii) Bapak Rogelio Lazo Singson dari jabatannya
RUPST sebagai Komisaris Perseroan, dengan ucapan terima kasih setinggi-tingginya diikuti dengan
pelunasan dan pembebasan dari tanggung jawabnya atas tindakan pengawasan yang telah
dilakukan terhitung dari sejak menjabat sampai dengan ditutupnya Rapat (acquit et de charge),
sepanjang tindakan mereka tersebut bukan merupakan suatu tindakan pidana dan tercermin
dalam laporan tahunan dan laporan keuangan Perseroan untuk tahun buku yang bersangkutan.
2. Menyetujui untuk mengangkat (i) Bapak Luis Soriano Reñon sebagai Direksi Perseroan yang baru;
dan (ii) Bapak Jose Ma Kamantigue Lim sebagai Komisaris Perseroan yang baru, dengan masa
jabatan melanjutkan sisa masa jabatan dari Bapak Christopher Daniel Cabrera Lizo dan Bapak
Rogelio Lazo Singson, sesuai dengan Anggaran Dasar Perseroan, yang berlaku efektif sejak

ditutupnya Rapat.
3. Sehingga setelah dilakukan perubahan anggota Direksi dan Dewan Komisaris Perseroan, maka
susunan Direksi dan Dewan Komisaris Perseroan menjadi sebagai berikut:

menyampaikan pemberitahuan atas perubahan Data Perseroan tersebut kepada Menteri Hukum
Republik Indonesia dan instansi-instansi yang terkait termasuk tetapi tidak terbatas untuk
melakukan hal-hal yang dianggap perlu oleh Direksi Perseroan dan peraturan perundang-
undangan yang berlaku guna mendapat persetujuan dari instansi yang berwenang.

PT NUSANTARA INFRASTRUCTURE Tbk
PT NUSANTARA INFRASTRUCTURE Tbk having its registered office in South Jakarta, on this day, Wednesday, the 28th of May 2025,
held its Annual General Meeting of Shareholders (hereinafter referred to as the “AGMS”) at Equity Tower, 38th Floor, Jalan Jenderal Sudirman
Kav. 52–53, SCBD Lot 9, South Jakarta 12190, Indonesia. The AGMS was duly opened at 14:28 WIB (Jakarta Time) and was attended only by
the member of the Company’s Board of Directors, namely:

B. Agenda of AGMS
1. Approval of the Company’s Annual Report including the ratification of the Company’s Financial Statement and Report on
the Implementation of Supervisory Duties of the Board of Commissioners for the Financial Year 2024;
2. Approval of the determination of the Company’s Net Profit for the Financial Year ended December 31,2024;
3. Appointment of a Public Accountant to conduct an audit of the Company’s Financial Statements for the financial year ending
December 31st, 2025;
4. Approval of the change of the members of Board of Directors of the Company and the change of the members of Board of
Commissioners of the Company; and
5. Determination of the duties and authorities, as well as salaries and allowances, for the members of the Company’s Board of
Directors, and salaries or honoraria and allowances for the members of the Company’s Board of Commissioners for the year
2025.

C. Quorum of Attendance of Shareholders
That the provisions regarding the quorum for the validity of the convening of the AGMS are based on:
➢ The quorum requirement for all Agenda Items of the Annual General Meeting of Shareholders (AGMS) shall be in accordance with
the provisions of Article 41 paragraph 1 (a) of OJK Regulation No. 15/POJK.04/2020, which stipulates that the AGMS may be
convened if more than 1/2 (one-half) of the total shares with valid voting rights are present or represented at the meeting, and the
AGMS resolutions shall be deemed valid if approved by more than 1/2 (one-half) of the total shares with valid voting rights present at
the AGMS.
-At the AGMS, shareholders or their legitimate proxies were present or represented in the amount of 17,164,421,736 (seventeen billion one
hundred sixty-four million four hundred twenty-one thousand seven hundred thirty-six) shares, representing 99.07% (ninety-nine point
zero seven percent) of the total 17,325,253,194 (seventeen billion three hundred twenty-five million two hundred fifty-three thousand one
hundred ninety-four) shares. This number reflects the total shares issued by the Company as of May 5th, 2025 at 16:00 WIB, amounting to
17,710,708,194 (seventeen billion seven hundred ten million seven hundred eight thousand one hundred ninety-four) shares, less the
Treasury Stock of 385,455,000 (three hundred eighty-five million four hundred fifty-five thousand) shares.
-Accordingly, based on the quorum of attendance described above, the AGMS is valid and may adopt lawful and binding resolutions on all
Agenda Items.
D. Questions and Answer
Before the resolutions were passed, the Chairman of the AGMS provided an opportunity for Shareholders and/or their proxies who were
present either physically or electronically to raise questions during the discussion of each agenda item of the AGMS. No shareholders or
their proxies raised any questions during the discussion of any of the AGMS Agenda items.

E. Decision-Making Mechanism
Resolutions shall be adopted by way of deliberation to reach a consensus. However, in the event that any Shareholders or their Proxies do
not approve or abstain from voting, the resolutions shall be adopted through a voting mechanism.
F. Prior to proceeding to the question-and-answer session, the Chairperson of the AGMS informed that, in order to facilitate the Shareholders
of the Company in following the discussion of the First Agenda, the question-and-answer session as well as the decision-making process
for the First Agenda would be combined and conducted after the discussion of the Second Agenda, considering the material of both agenda
items is closely related and interconnected.

for the financial year ended December 31st, 2024, which have been audited by the Public
Accounting Firm Purwantono, Sungkoro & Surja (A Member of Ernst & Young Global Limited),
as set forth in Report Number 00662/2.1032/AU.1/06/0690-1/1/IV/2025, dated April 17th, 2025,
regarding the Consolidated Financial Statements as of 31 December 2024, which contains the
opinion that: “the consolidated financial statements present fairly, in all material respects, the
consolidated financial position of the Company and its Subsidiaries as of 31 December 2024, and
their consolidated financial performance and cash flows for the year then ended, in accordance
with Indonesian Financial Accounting Standards”; and
2. To approve and grant full release and discharge (acquit et de charge) to all members of the Board
of Directors and Board of Commissioners of the Company of their management and supervisory
activities conducted during the financial year ending December 31st, 2024 to the extent that their
actions do not constitute a criminal act and reflected in the Annual Report and Financial
Statement of the Company.

Agenda of the AGMS for the Year amounting to Rp331,418,246,703 (three hundred thirty-one billion four hundred
eighteen million two hundred forty-six thousand seven hundred three Rupiah).
2. To approve the appropriation of the Company’s Net Profit as follows:
- Amounting to Rp3.231.475.739 (Three billion two hundred thirty-one million four hundred
seventy-five thousand seven hundred thirty-eight Rupiah) will be allocated as the mandatory
reserve in accordance with the article 70 of the Company Law.
- For the rest, amounting to Rp319.916.098.117 (Three hundred nineteen billion nine hundred
sixteen million ninety-eight thousand one hundred seventeen Rupiah) will be allocated as other
reserves in accordance with the Article 70 of the Company Law and can be used for various
purposes of the Company including for business development, working capital, social and
dividend distribution in the future; and
- For the purpose of the Company’s interests and in view of the ongoing expansion of
the Company, the Company shall not distribute dividends to the shareholders.

Company, with the highest gratitude accompanied by granting of full release and discharge of
their responsibilities for their supervisory actions that have been carried out since taking office

criminal act and reflected in the annual report and financial statement of the Company for the
relevant financial year.
2. To approve the appointment of (i) Mr. Luis Soriano Reñon as the new Director of the Company;
and (ii) Mr. Jose Ma Kamantigue Lim as the new Commissioner of the Company, With a term of

Lazo Singson, in accordance with the Company’s Articles of Association, effective as of the
closing of this Meeting.
