Uraian Informasi atau Fakta Material Perseroan menyampaikan bahwa entitas anak Perseroan,
yaitu IPN, telah melakukan penerbitan saham baru sebanyak
5.300.000 saham seri B dengan jumlah nilai nominal Rp17.
000,- per saham atau seluruhnya sebesar Rp90.100.000.000,-
, yang seluruhnya telah diambil bagian dan disetor oleh
Perseroan.
Sebelum peningkatan modal tersebut, modal disetor IPN
tercatat sebesar Rp2.555.606.486.000,-, di mana Perseroan
memiliki penyertaan modal sebesar Rp2.545.606.486.000,-
atau setara dengan 99,99% dari seluruh modal ditempatkan
dan disetor. Setelah penerbitan saham baru tersebut, modal
disetor IPN meningkat menjadi Rp2.645.706.486.000,-,
dengan kepemilikan modal Perseroan menjadi sebesar Rp2.
635.706.486.000,- atau setara 99,99% dari seluruh modal
ditempatkan dan disetor dalam IPN.
Perseroan menyampaikan bahwa telah dilakukan penyesuaian
ketentuan Pasal 3 Anggaran Dasar Perseroan mengenai
Maksud dan Tujuan serta Kegiatan Usaha dalam rangka
sinkronisasi referensi kode KBLI dari yang sebelumnya
menggunakan KBLI 2020 menjadi KBLI 2025, sesuai dengan
ketentuan Peraturan BPS Nomor 7 Tahun 2025 tentang
Klasifikasi Baku Lapangan Usaha Indonesia.
Selain itu entitas anak Perseroan juga menambah KBLI baru
yaitu:
I. Pecahan dari Kode KBLI lama yaitu 68111 (Real Estat Yang
Dimiliki Sendiri Atau Disewa):
a. 68112 (aktivitas Penyewaan Bangunan dan Lahan
Hunian Milik Sendiri atau Sewa);
b. 68125 (Pengelolaan Pusat Perbelanjaan);
c. 68126 (Penyewaan Gudang dan Fasilitas
Penyimpanan Mandiri);
d. 68127 (Pengelolaan Gudang Perkantoran).
II. Penambahan KBLI baru:
a. 56101 (Aktivitas Penyediaan Makanan di Bangunan
Tetap);
b. 56301 (Aktivitas Bar).

Perseroan menyampaikan bahwa entitas anak Perseroan,
yaitu SMU, telah melakukan peningkatan modal dasar
sebanyak Rp38.400.000.000,-. Sebelum peningkatan modal
dasar tersebut, modal dasar SMU tercatat Rp1.200.000.000,-,
sehingga total modal dasar SMU menjadi Rp39.600.000.000,-.
SMU juga telah melakukan penerbitan saham baru sebanyak
23.001 saham dengan jumlah nilai nominal Rp600.000 per
saham atau seluruhnya sebesar Rp13.800.000.000,-, yang
seluruhnya telah diambil bagian dan disetor oleh Para
Pemegang Saham SMU.
Sebelum peningkatan modal tersebut, modal disetor SMU
tercatat sebesar Rp600.000.000,-, di mana Perseroan memiliki
penyertaan modal sebesar Rp599.400.000,- atau setara
dengan 99,90% dari seluruh modal ditempatkan dan disetor.
Setelah penerbitan saham baru tersebut, modal disetor SMU
meningkat menjadi Rp14.400.600.000,-, dengan kepemilikan
modal Perseroan menjadi sebesar Rp14.385.600.000,- atau
setara 99,90% dari seluruh modal ditempatkan dan disetor
dalam SMU.

Dampak kejadian, informasi atau fakta Peningkatan modal dan penyesuaian KBLI tersebut tidak
material tersebut terhadap kegiatan memberikan dampak material terhadap kegiatan operasional,
operasional, hukum, kondisi keuangan, aspek hukum, kondisi keuangan, maupun kelangsungan
atau kelangsungan usaha Emiten atau usaha Perseroan.
Perusahaan Publik Transaksi tersebut dilakukan untuk mendukung peningkatan
kinerja usaha Perseroan serta pengembangan kegiatan usaha
di masa mendatang, tanpa mengakibatkan perubahan
pengendalian maupun struktur kepemilikan Perseroan dan
penambahan KBLI diharapkan dapat menjadi pendukung
pengembangan dan diversifikasi usaha entitas anak
Perseroan.

Description of Material Information or The Company hereby informs that its subsidiary, IPN, has
Facts issued 5,300,000 series B new shares with a par value of
IDR17,000 per share, or a total of IDR90,100,000,000 of which
have been subscribed and fully paid up by the Company.
Prior to such capital increase, IPN issued and paid-up capital
amounted to IDR2,555,606,486,000, of which the Company
held IDR2,545,606,486,000, representing 99.99% of the total
issued and paid-up capital. Following the issuance of the new
shares, IPN issued and paid-up capital increased to IDR2,
645,706,486,000, with the Company shareholding increasing
to IDR2,635,706,486,000, representing 99.99% of the total
issued and paid-up capital in IPN.
The Company hereby informs that Article 3 of the Company
Articles of Association concerning its Purposes and Objectives
and Business Activities has been amended to synchronize the
reference to the Indonesian Standard Industrial Classification
(KBLI) codes from KBLI 2020 to KBLI 2025, in accordance
with Statistics Indonesia (BPS) Regulation No. 7 of 2025
concerning the Indonesian Standard Industrial Classification
(KBLI).
In addition, the Company subsidiary has added the following
KBLI codes:
I. Split-off classifications from the previous KBLI Code 68111
(Own or Leased Real Estate):
a. 68112 (Rental of Own or Leased Residential
Buildings and Land);
b. 68125 (Shopping Center Management);
c. 68126 (Rental of Warehouses and Self-Storage
Facilities);
d. 68127 (Office Warehouse Management).
II. Newly added KBLI codes:
a. 56101 (Food Service Activities in Permanent
Buildings);
b. 56301 (Bar Activities).

The Company hereby informs that its subsidiary, SMU, has
increased its authorized capital by Rp38,400,000,000. Prior to
the increase, SMU authorized capital was recorded at IDR
1,200,000,000. Accordingly, SMU total authorized capital has
increased to IDR 39,600,000,000.
SMU has also issued 23,001 new shares with a nominal value
of Rp600,000 per share, or a total of Rp13,800,000,000 of
which have been subscribed and fully paid up by the
Shareholders of SMU.
Prior to such capital increase, SMU issued and paid-up capital
amounted to Rp600,000,000, of which the Company held
Rp599,400,000, representing 99.90% of the total issued and
paid-up capital. Following the issuance of the new shares,
SMU issued and paid-up capital increased to Rp14,
400,600,000, with the Company shareholding increasing to
Rp14,385,600,000, representing 99.90% of the total issued
and paid-up capital in SMU.
