              Humpuss Intermoda Dapat Restu Go Private
                       dari Pemegang Saham

JAKARTA — Emiten pelayaran PT Humpuss Intermoda Transportasi Tbk. (HITS)
mendapatkan restu dari Pemegang Saham untuk merubah status HITS dari
Perusahaan terbuka menjadi Perusahaan tertutup (go private) dan delisting dari Bursa
Efek Indonesia (BEI), diputuskan pada Rapat Umum Pemegang Saham Luar Biasa
(RUPSLB), 2 Juni 2025, di Jakarta, dengan dua agenda. Pertama, persetujuan atas
rencana perubahan status Perseroan menjadi Perusahaan Tertutup (rencana Go
Private).

Kedua, persetujuan atas perubahan seluruh Anggaran Dasar Perseroan sehubungan
dengan perubahan status dari perusahaan terbuka menjadi perusahaan tertutup,
termasuk perubahan nama. Selain itu, pemberian wewenang kepada Direksi
Perseroan untuk melakukan seluruh tindakan yang diperlukan untuk melaksanakan
perubahan Anggaran Dasar Perseroan

“Dalam hal rencana go private dan delisting disetujui RUPSLB, penawaran untuk
membeli saham dari para pemegang saham publik pun akan dilakukan melalui
penawaran tender sukarela oleh PT Joyo Agung Permata (JAP),” jelas Setiawan T.
Widjojo, Direktur Utama HITS.

JAP akan melakukan tender sukarela dengan harga penawaran yang ditentukan
kemudian. Harga penawaran menggunakan formula yang ditetapkan dalam Pasal 36
POJK No. 45/2024, dimana Harga Penawaran akan lebih tinggi dari harga rata-rata
tertinggi perdagangan harian di BEI dalam jangka waktu 90 hari terakhir, sebelum
pengumuman RUPSLB pada 10 April 2025, yaitu sebesar Rp330 per saham.

Para pemegang saham publik yang tidak bersedia menjual sahamnya dalam
penawaran tender sukarela akan tetap menjadi pemegang saham perusahaan
tertutup. Dengan demikian, para pemegang saham publik tersebut tidak dapat lagi
menjual sahamnya setelah proses penawaran tender sukarela selesai dilaksanakan.

Setiawan T. Widjojo mengungkapkan alasan go private dan delisting saham HITS.
Pertama, terdapat perubahan strategi bisnis dalam grup perusahaan sehingga
kegiatan usaha utama grup perusahaan sebagian besar akan ditopang oleh PT
Humpuss Maritim Internasional Tbk. (HUMI), anak usaha Perseroan.

“Kami menghimbau kepada para pemegang saham untuk mengalihkan investasinya
ke HUMI. Kami sebagai pemegang saham utama HUMI, dapat memastikan bahwa
seluruh anak usaha di bawah HUMI memiliki kinerja yang baik, dan sebagai
Pemegang Saham utama HUMI, kami akan meminta kepada HUMI agar dapat lebih
aktif dalam melakukan Company Introduction dan Recognition kepada market dengan
cara lebih mengaktifkan Investor Relation-nya,’’ tambahnya.

"Selain itu, saat ini, Perseroan tidak lagi memerlukan pendanaan [capital raising] dari
pasar modal dan belum memiliki rencana untuk melakukan penggalangan dana
tersebut di masa depan," tuturnya.

Alasan Kedua, Perseroan ingin lebih fokus pada pengelolaan portofolio investasi dan
aset tanpa tekanan volatilitas harga saham atau publik.

Ketiga, Perseroan bermaksud untuk lebih memiliki fleksibilitas dalam menjalankan
kegiatan usahanya, termasuk dalam upaya untuk melakukan efisiensi, melakukan
pengembangan bisnis, serta restrukturisasi usaha.

“Keempat, mengingat dan dengan mempertimbangkan cash flow yang dimiliki,
Perseroan tidak lagi dapat memberikan dividen kepada pemegang sahamnya,”
ungkapnya.

  Humpuss Intermoda Gets Shareholders’ Approval to Go Private

JAKARTA — Shipping company PT Humpuss Intermoda Transportasi Tbk. (HITS)
has received shareholder approval to change its status from a public company to a
private company (go private) and delisting from the Indonesia Stock Exchange (IDX).
This decision was made at the Extraordinary General Meeting of Shareholders
(EGMS) held on June 2, 2025, in Jakarta, which included two agenda items.

The first was the approval of the plan to change the Company's status to a Private
Company (go private plan).

The second was the approval to amend the entire Articles of Association of the
Company in line with the status change from a public to a private company, including
a name change. In addition, authority was granted to the Company’s Board of
Directors to take all necessary actions to implement the changes to the Articles of
Association.

“If the go private and delisting plans are approved by the EGMS, a voluntary tender
offer will be made to purchase shares from public shareholders by PT Joyo Agung
Permata (JAP),” said Setiawan T. Widjojo, President Director of HITS.

JAP will conduct the voluntary tender offer at a price to be determined later. The offer
price will follow the formula stipulated in Article 36 of OJK Regulation No. 45/2024, in
which the offering price must be higher than the highest average daily trading price on
the IDX within the last 90 days prior to the EGMS announcement on April 10, 2025,
which is IDR 330 per share.

Public shareholders who choose not to sell their shares during the voluntary tender
offer will remain shareholders of a private company. Consequently, they will no longer
be able to sell their shares after the tender offer process is completed.

Setiawan T. Widjojo outlined several reasons behind the go private and delisting
move. First, there has been a shift in business strategy within the group, where the
group’s main operations will largely be supported by PT Humpuss Maritim
Internasional Tbk. (HUMI), a subsidiary of the Company.

“We urge shareholders to redirect their investment to HUMI. As the main shareholder
of HUMI, we can ensure that all subsidiaries under HUMI are performing well. As
HUMI’s majority shareholder, we will also encourage HUMI to actively enhance its
company introduction and market recognition by strengthening its Investor Relations
function,” he added.

“Moreover, the Company currently does not need capital raising from the capital
market and has no plans to do so in the future,” he said.

The second reason is that the Company wants to focus more on managing its
investment portfolio and assets without the pressure of stock price volatility or public
scrutiny.

The third reason is to gain greater flexibility in conducting its business operations,
including efforts to improve efficiency, business development, and corporate
restructuring.

“Fourth, considering the Company’s current cash flow, it is no longer able to distribute
dividends to its shareholders,” he revealed.
